A share buyback is a company’s purchase of its own outstanding shares. It sends cash to shareholders who sell, while those who keep their shares receive no direct payment; their ownership percentage may rise if the bought shares are retired. Whether that helps continuing shareholders depends on the price paid, the company’s finances and prospects, and what else it could have done with the money.
How do share buybacks work?
A company uses corporate funds to buy shares that it previously issued and that investors currently hold. A board may authorize a program with a maximum dollar amount or number of shares. The company can then repurchase shares in the market over time, invite shareholders to sell through a tender offer with stated terms, or use another negotiated structure. An authorization is not the same as completed purchases: the amount actually bought depends on the program and its execution.
When repurchased shares are retired, the company has less cash and fewer shares remain outstanding. The reduction in share count can affect per-share measures, but it does not itself create new earnings or make the underlying business more valuable.
A simple EPS example
Suppose a company earns $100 million and has 100 million shares outstanding. Its earnings per share (EPS) is $1.00. If it buys and retires 10 million shares, and earnings remain $100 million, EPS becomes about $1.11 ($100 million divided by 90 million shares). This arithmetic assumes unchanged earnings and a 90-million share count after the repurchase; it says nothing by itself about whether the company’s value or shareholders’ wealth increased.

How do buybacks affect shareholders?
Shareholders who sell
A shareholder who sells receives the price paid for the shares under the transaction’s terms and gives up ownership in those shares. In a market repurchase, the sale generally takes place through the market. A tender offer instead has its own terms and procedures for holders who choose to participate.
Shareholders who continue to hold
If shares are retired, continuing holders own a larger proportion of the company because fewer shares remain outstanding. They do not receive the buyback cash directly. Their economic result depends on what the company paid and how the use of cash affects its assets, liabilities, future earnings and valuation.

A repurchase can be attractive if the company buys below a defensible estimate of its value and has no better use for the funds. Paying too much, borrowing imprudently or foregoing worthwhile investment can instead leave remaining shareholders worse off. Share-based compensation can also offset a reduction in shares outstanding, so the gross number repurchased may not match the net change in the company’s diluted share count.
Do buybacks make the stock price go up?
Not necessarily. The market may respond to an announcement or actual purchases, but there is no guaranteed price increase. The share price reflects expectations about the business, the price paid, funding choices and other information—not just the lower share count. An EPS increase caused by the smaller denominator is not, by itself, evidence that total earnings or intrinsic value rose.

How should you assess a company’s repurchase?
Look beyond the authorization headline. In company filings and disclosures, check what was actually bought, when, and at what average price. Compare that price with a reasoned estimate of the business’s value, rather than treating management’s decision to repurchase as proof that the shares were cheap.
- Funding and resilience: Consider whether the company used excess cash or took on debt, what cash it needs for operations, and how its balance sheet would hold up in weaker conditions.
- Alternatives: Compare the repurchase with investment in the business, debt reduction, acquisitions and dividends. Each use has a different expected return, balance-sheet effect and execution risk.
- Net share-count change: Check diluted share counts and stock-compensation disclosures to see whether employee equity awards offset shares repurchased.
- Terms and rationale: Read the relevant company filing for program terms, reported purchases and management’s stated reason. An announcement alone does not show how much was executed.
- Governance context: Insider trading around an announcement may merit attention, but it is not automatic evidence of misconduct.
Then-SEC Commissioner Robert J. Jackson Jr. described the signaling theory in a June 11, 2018 speech: “Basic corporate-finance theory tells us that, when a company announces a stock buyback, it is announcing to the world that it thinks the stock is cheap.” That is a characterization of a possible signal, not proof that a particular company is undervalued or that a repurchase will perform well: Jackson’s speech.

Buybacks compared with dividends, reinvestment and debt reduction
There is no universally superior choice. The right comparison is what shareholders and the company receive for the capital used, given the company’s valuation, prospects and financial condition.

Tax outcomes also differ by transaction form and investor. Do not assume buybacks are always taxed more favorably than dividends: account type, individual circumstances and jurisdiction matter.

What U.S. rules govern open-market buybacks?
In the United States, SEC Rule 10b-18 offers a conditional safe harbor for qualifying issuer open-market purchases of common stock. The SEC staff FAQ says its conditions concern the manner, timing, price and volume of purchases; failing any one condition removes that day’s purchases from the safe harbor. The rule is not the only route for an issuer to repurchase shares without manipulation, and a purchase outside the safe harbor does not automatically create a presumption of manipulation. The FAQ also distinguishes private or accelerated transactions from open-market activity for safe-harbor purposes. Application depends on the facts and current rules, so this is not legal advice: SEC staff FAQ on Rule 10b-18.
Disclosure rules have also changed. The SEC’s 2024 document says a court vacated the 2023 share-repurchase disclosure amendments effective December 19, 2023, reverting to the earlier disclosure framework. Do not rely on the 2023 amendments’ daily-disclosure requirements as current law; consult the company’s current filings and current SEC rules for a specific program: SEC document on the vacatur and reversion.
How are stock buybacks taxed?
There is no single tax answer for every buyback. The result can depend on how the repurchase is structured, the shareholder’s circumstances and account type, and the applicable jurisdiction’s rules. The IRS’s Topic 404 explains dividends as distributions of corporate earnings and profits, but it is not a complete guide to the tax treatment of every repurchase structure. How large are buybacks?
As a historical U.S. figure, SEC Commissioner Jaime Lizárraga reported in a May 3, 2023 statement that S&P 500 companies set an annual record of $923 billion in share repurchases in 2022. That is a 2022 total cited in a 2023 statement, not a current annual figure: Lizárraga’s statement.
