Evaluate a token launch as a set of connected promises and controls—not as a forecast of price. Before a sale, you should be able to verify what the token does and what rights it gives, how supply is issued and unlocked, who controls changes, where the money goes, what the project must deliver, and how security and liquidity arrangements work.
The framework below helps identify missing evidence and questions to resolve. It is due diligence, not a legal determination or a prediction of token value.
Start by identifying the offer and the rules that may apply
First establish who is making the offer and what, exactly, is being offered. Record the issuer, promoters, affiliated entities, jurisdictions targeted, purchaser eligibility, sale method, marketing claims, and any earlier or concurrent token sales. Compare those details across the website, white paper, sale terms, and other offering materials; inconsistencies need an explanation.
Legal classification depends on the actual token, parties, distribution, communications, and jurisdictions—not just the label a project uses. The SEC’s March 17, 2026 interpretive release, effective March 23, 2026, concerns certain crypto assets and transactions; it is not a blanket ruling on every launch. The SEC Corporation Finance FAQs issued September 25, 2026 and updated September 28, 2026 expressly represent staff views without legal force or effect. Neither should be treated as a substitute for specialist counsel’s analysis of a particular offer.

For a US securities offering, the SEC Division of Corporation Finance’s April 10, 2025 disclosure statement identifies information that may be material, depending on the security and issuer. That disclosure guidance does not establish that every token is a security or that every listed item applies to every offer. In the EU, requirements also depend on the asset category. For example, ESMA’s MiCA single-rulebook white-paper items discussed below apply specifically to asset-referenced tokens, not automatically to all crypto-assets.
Check whether the token has a real, present use and clear rights
Compare launch claims with the product that exists on the sale date. Establish whether the network is live, in testnet, or still planned, and identify what a holder can do now. Separate working functionality from future utility, governance aspirations, and promotional claims about potential value.
Ask for a plain-language description of the rights attached to the token. Does it confer access, governance, redemption, or another contractual right? Which entity is responsible for honoring that right, and what terms govern it? If a right is conditional, limited, or dependent on a future product, the conditions should be stated. If there is no contractual entitlement, do not infer one from marketing language.
Token demand and product demand are different questions. A useful product does not by itself establish demand for its token, and a token’s transferability or possible resale does not establish product utility. The CFTC’s consumer advisory tells prospective buyers to understand attached rights, factors that can affect value, and how sale proceeds will be used; it also cautions against buying solely in expectation of resale at a higher price.

Reconstruct supply, allocations, and unlocks
A headline circulating-supply figure is incomplete without the rules that govern future supply and access to locked tokens. Ask the project to provide one reconciled schedule, sourced to offering documents and on-chain contracts where available. It should distinguish current facts from planned or conditional amounts.
- Supply: genesis supply, maximum supply if one exists, current circulating amount, and how each figure is calculated.
- Issuance and supply powers: whether an authorized party can mint, burn, freeze, redeem, or otherwise adjust tokens, and who can exercise or change those powers.
- Allocation: amounts for the sale, founders and other insiders, treasury, grants, ecosystem incentives, and other recipient classes.
- Release schedule: each allocation’s initial unlock, any cliff, linear or discrete release cadence, vesting conditions, and final release date.
- Enforcement and amendments: the wallet or contract that enforces each restriction, the person or entity able to amend it, and any process or delay required for a change.
Check whether the stated circulating supply reconciles with sale allocations, unlocked insider holdings, treasury balances, and tokens already released. If it does not, ask which definition or date explains the difference. The SEC Division of Corporation Finance’s April 10, 2025 statement identifies total supply, issuance method, treasury reserves, vesting and lock-ups, authority over supply rules, and market-maker arrangements as possible disclosure topics in securities offerings.
Follow the money from sale terms to project runway
Trace the route from purchaser payment to project-controlled funds. The terms should state the fundraising target, any minimum goal, sale phases, allocation method, fees and expenses, and treatment of oversubscription or a shortfall. Ask which accounts receive the proceeds, who can authorize transfers, and whether founders or affiliates receive funds directly or indirectly.
Then connect the proposed spending to a budget and delivery plan. Look for the amount assigned to development, operations, security, marketing, reserves, and other material uses; the period those funds are expected to cover; and the milestones that spending is meant to support. A broad statement such as “fund ecosystem growth” does not show how long the project can operate or what must be delivered.

Ask what happens if the project raises less than its target, spends more than planned, or misses a milestone. The CFTC advisory recommends understanding how funds will be used, whether money may be returned, and what rights the token provides. In the EU, ESMA’s MiCA white-paper items for asset-referenced tokens include target amounts, oversubscription treatment, refunds in specified minimum-goal cases, sale phases, expenses, and conflicts. Those items are specific to that category and should not be generalized as a complete checklist of obligations for every token.
Test the roadmap against owners, resources, and evidence
Treat a roadmap as a series of commitments to test, not a promise that a token will appreciate. For each important feature or milestone, identify:
- what will be delivered and how its completion can be verified;
- its current status and dependencies;
- the responsible team or entity and the resources allocated;
- the target date or delivery window; and
- what the project says it will do if the work is delayed or abandoned.
Compare those claims across the white paper, website, code repository, and sale terms. Note whether the product is operational or aspirational, whether its development has a credible funding source, and whether a named entity remains responsible for maintaining it after launch. A stated future exchange listing or price increase is not evidence that a product feature has been completed or that token holders have a right to sell at a particular price.
In an August 15, 2025 written submission, SEC Commissioner Hester M. Peirce proposed disclosure categories including development stage, roadmap, funding, token utility, supply, and non-speculative value drivers. This is a recommendation, not binding law. It can inform questions to ask without being presented as a universal legal requirement.

Inspect contract security and who has privileged control
Use primary technical documentation to identify the deployed token contract, its chain, and its verified source code. Confirm that the address shown in launch materials matches the contract the project identifies as official. A contract address alone does not establish that the surrounding system is secure or that the project’s claims are accurate.
Document administrative powers and who holds them. Depending on the design, check whether an administrator can mint, upgrade, pause, blacklist, or otherwise restrict transfers, and whether those powers are held by an individual, multisignature wallet, or timelocked process. Ask how keys are protected, what approvals are required, how a proposed change is communicated, and whether there is an incident-response plan. Also identify material bridge or third-party dependencies and who is responsible if one fails.
Read the audit report rather than relying on an “audited” badge. Check the reviewed code and components, audit date and scope, findings, severity, and evidence of remediation. An audit is a review of specified material at a particular time; it cannot guarantee that the code is free of flaws or that later changes are safe. The SEC’s April 10, 2025 disclosure statement discusses code modification, wallets and keys, recordkeeping, and third-party audit status and results as potentially relevant disclosure areas in securities offerings.

Find out whether the project has an arrangement with a market maker or another liquidity provider, rather than assuming one exists because the launch materials mention liquidity. If there is an arrangement, ask who the provider is, who pays, what services or conduct are required, how long the arrangement lasts, and whether it involves token inventory, loans, incentives, fees, or other conflicts. Look for documentary terms and public evidence that distinguish a signed arrangement from an aspiration to secure one.

Ask what the plan is if support ends or trading is thin. A listing or liquidity arrangement cannot guarantee a functioning market or a buyer at a chosen price. The SEC disclosure statement identifies market-maker or liquidity arrangements as potentially relevant in securities offerings, while the CFTC advisory lists liquidity among factors that can affect token value. Neither makes liquidity a promise of resale.
Compare launch plans on the same evidence-based axes
When comparing projects, use identical questions for each and separate verified facts from claims, intentions, and unanswered questions. A consistent comparison can include:
- offer structure, jurisdictions, and purchaser eligibility;
- current product functionality, token rights, and actual utility;
- total and maximum supply, allocations, unlock schedules, and insider or treasury concentration;
- use of proceeds, treasury controls, and expected runway;
- milestone specificity, responsible parties, and funding;
- administrative and upgrade powers, key controls, audit scope, and unresolved findings;
- liquidity dependencies, provider terms, and conflicts; and
- the completeness and consistency of disclosures across primary documents.
These are due-diligence dimensions, not a validated scoring formula. The SEC disclosure statement, CFTC advisory, and Commissioner Peirce’s submission support examining many of these topics, but they do not rank particular projects or establish which one is best. Do not let a numerical score conceal a critical unknown, such as undocumented unlocks or an administrator’s undisclosed powers.
Turn gaps into questions before participating
For each material claim, ask what document or on-chain evidence would confirm it. Keep a short record of the claim, its source, the evidence provided, the date checked, and any unanswered question. Seek clarification before relying on a claim that affects rights, supply, proceeds, delivery, or the ability to transfer tokens.

If the project does not answer, treat the item as unknown rather than filling the gap with an assumption. For legal questions, have qualified counsel assess the actual offer and relevant jurisdictions.
