Before buying a tokenized asset, establish exactly what legal claim the token gives you, who must honor that claim, and how you could transfer, redeem, or recover value if something goes wrong. A token that tracks or refers to an asset is not necessarily ownership of that asset. The checks below focus on tokenized securities, where U.S. Securities and Exchange Commission (SEC) materials provide specific distinctions; the legal treatment of other tokenized assets depends on the asset, documents, and jurisdiction.

First, find out what the token actually represents

Start with the offer documents and the governing terms, not labels such as “tokenized stock,” “backed,” or “1:1.” In its January 28, 2026 staff statement, the SEC describes a tokenized security as a security whose ownership record is maintained in whole or in part on or through crypto networks. The statement distinguishes issuer-sponsored arrangements from products sponsored by an unaffiliated third party. In the latter case, a token may be an entitlement to a security held in custody, a synthetic product, or another security issued by the third party. SEC staff statement on tokenized securities

Structure What the token may represent Question to resolve
Issuer-sponsored tokenized security The issuer or its agent may use the network as part of the official ownership record. Do the issuer’s records recognize you as a holder, and what rights do the governing documents grant?
Third-party custodial entitlement A third party may hold the referenced security and issue tokens representing an interest or entitlement tied to that position. What claim do you have against the third party or custodian, and what happens to that claim if either becomes insolvent?
Third-party synthetic product A third party may issue a product designed to track or provide exposure to a referenced security without giving you the security itself. Is your claim against the product issuer alone, and which rights, if any, pass through from the referenced security?
Linked security The third party’s own security may be linked to a referenced security; the link does not itself make the referenced issuer responsible for the product. Which entity issued the security you are buying, and what does that issuer promise to do?

These labels describe possible structures, not a guarantee about a particular offering. SEC staff says that a third-party token may or may not represent ownership in, or a contractual obligation of, the issuer of the referenced security, and may not confer rights from that issuer. The SEC’s Investor Advisory Committee also distinguishes native equity tokens from wrapped tokens representing an interest in a custodied position; either can be issuer-sponsored or created by an unaffiliated third party. Who issued the token, and who owes you what?

Map every party between you and the asset. Identify the token issuer, referenced-asset issuer, platform, custodian, transfer agent or recordkeeper, and trading venue. One company may perform several roles, or different companies may control issuance, records, custody, and trading. For each party, read what obligation it actually accepts and which contract governs your claim.

  • Find the legal name and jurisdiction of the token issuer and the entity responsible for the referenced asset.
  • Determine whether the issuer or an agent records you as a direct holder, or whether your only claim is against an intermediary.
  • Check whether a custodian holds the referenced asset for token holders, for the platform, or in some other capacity.
  • Look for governing law, dispute forum, and the terms governing suspension, amendment, termination, or redemption.
  • Work out which claims would remain if the issuer, custodian, platform, or venue entered bankruptcy or stopped operating.

Do not infer a claim on an underlying company from a token’s ticker, price feed, or branding. SEC staff explains that a linked security is the third party’s own security; linking it to another security does not create an obligation of the referenced issuer or convey that issuer’s rights to the linked-security holder.

Which economic, voting, and information rights come with it?

Verify each right in the documents rather than assuming that a token balance works like a conventional shareholding. The SEC Investor Advisory Committee notes that an owner of a third-party wrapped equity token may not have the same voting or bankruptcy rights as an owner of native equity issued on behalf of a public company.

  • Economic rights: Are dividends, interest, or other distributions owed to you, passed through by an intermediary, or merely reflected in the token’s price? Check timing, deductions, and conditions.
  • Voting and corporate actions: Can you vote, receive proxy materials, or participate in a merger, split, or other action? If an intermediary votes or acts for holders, find out how it decides and whether you can give instructions.
  • Information and recourse: What issuer or asset information will you receive, and against whom can you bring a claim if payments or records are wrong?
  • Transfers and conversion: Can you transfer the token freely, or are eligibility rules, whitelists, or other restrictions imposed? Is conversion into the underlying asset available, and under what terms?

For synthetic security-based swaps, SEC staff says holders typically do not receive equity, voting, information, or other rights regarding the referenced security. Do not treat tracking the asset’s price as evidence that these separate rights exist.

How can you verify backing, custody, and records?

If a seller says tokens are backed by underlying assets, find out what supports that claim and what legal entitlement you have to those assets. A displayed balance or a statement of one-to-one backing does not, by itself, establish that assets are present, segregated for holders, or recoverable by you.

  • Identify the custodian and the legal capacity in which it holds the assets.
  • Read whether assets are segregated from the issuer’s or custodian’s own property and whether token holders have a direct claim to them.
  • Look for independent audit or assurance reports, their scope and date, and how often records are reconciled. Establish whether they cover asset existence, ownership, liabilities, or only selected controls.
  • Check how on-chain token balances are matched to off-chain ownership records, and who corrects discrepancies.
  • Find out whether the asset can be lent, pledged, rehypothecated, or otherwise used, if the documents address those practices.

A July 1, 2026 public comment to the SEC proposed standards including one-to-one backing, regulated custody, regular independent audits, explicit shareholder rights, and defined custody, redemption, bankruptcy, and recovery rules. Can you exit, redeem, or recover value?

Separate the ability to move a token on a network from the ability to sell it at a fair price or exchange it for the underlying asset. Network transferability does not establish that a buyer will be available, that redemption is guaranteed, or that the issuer can meet a redemption request.

  • Read redemption rules: eligibility, minimum amounts, fees, required documentation, settlement timing, and whether redemption can be paused or refused.
  • Check transfer rules: approved wallets, geographic or investor restrictions, permitted networks, and whether transfers can be frozen or reversed.
  • Identify who controls the relevant keys, contracts, and administrative functions, and what happens if access is lost or a transaction is sent to an unsupported destination.
  • Review the issuer’s and custodian’s failure procedures, including what holders can claim, who administers recovery, and whether the documents specify priority or timing.
  • Look for conditions allowing the platform to suspend trading, withdrawals, or redemptions, and what notice or remedy holders receive.

SEC staff specifically identifies potential third-party bankruptcy exposure for holders of some third-party tokenized products—an exposure a holder of the underlying security would not necessarily face. The exact result depends on the product’s legal structure and governing documents.

Where and how does the token trade?

Find the venue’s operator and rules, then assess how a quoted price is produced and whether you can independently verify it. A token may trade on a different venue from its referenced asset, with different participants and protections; price linkage alone does not establish equivalent liquidity or oversight.

  • Check who operates the venue, what jurisdictions it serves, and what eligibility or account restrictions apply.
  • Look for disclosures on pricing, spreads, market depth, trading hours, and how the venue handles disruptions or conflicting prices.
  • Read what the venue says about surveillance, cybersecurity, conflicts of interest, complaints, and dispute resolution.
  • Determine whether transfers between venues or networks are supported and what could prevent them.

IOSCO’s 2025 report says that potential benefits promoted for tokenization and whether they will materialize remain uncertain; it also notes that risks may emerge or be amplified as arrangements develop. What regulatory statements do—and do not—tell you

For U.S. securities, SEC staff’s January 28, 2026 statement says that using a crypto network to maintain an ownership record does not, by itself, change how federal securities laws apply to a security; the statement discusses registration unless an exemption applies. It is expressly a staff statement, not a Commission rule or regulation, and it creates no new legal obligations. The SEC Investor Advisory Committee separately recommends clear ownership disclosures, oversight of intermediaries, fair trading protections, and retaining core investor protections; that recommendation is advisory, not a final rule. These materials provide context, not a legal determination that a specific token is compliant or that its buyers receive a particular protection.

The sources cited here chiefly address U.S. securities and IOSCO’s international market perspective. They do not settle the rights of every tokenized asset, offering, or buyer. Those rights turn on the offer documents, governing law, issuer and intermediary arrangements, and the buyer’s jurisdiction.

A practical pre-purchase decision check

Before sending money, write down the answers to these questions from the documents. If a material answer is missing or conflicts with the marketing description, treat that uncertainty as part of the risk rather than filling it in by assumption.

  1. What is the legal instrument? Identify whether you acquire the security itself, an entitlement to a custodied security, a contractual claim, or synthetic exposure.
  2. Who is your counterparty? Name the entity that owes you performance and determine what you could claim if it fails.
  3. What rights are explicit? Confirm distributions, voting, information, conversion, transfer, and recourse rights in writing.
  4. What evidence supports the asset claim? Identify custody, segregation, independent assurance, record reconciliation, and the holder’s legal claim.
  5. How do you exit or recover? Check sale venues, redemption terms, restrictions, suspension powers, and failure procedures.
  6. What protections apply where you live? Determine the relevant jurisdiction, regulated entities, venue rules, and dispute process; do not assume protections for a conventional security automatically apply to a third-party token product.
