Ultralife Corporation acquired Able New Energy Co., Ltd. (ABLE), a lithium-battery maker based in Shenzhen, China, on May 19, 2006. The January announcement described a $4.2 million cash-and-stock deal; Ultralife’s later SEC filing provided a more detailed breakdown of consideration and acquisition costs, which uses a different basis.
Who was the battery maker Ultralife acquired?
ABLE was a Shenzhen-based manufacturer of lithium batteries. Ultralife’s SEC filing described it as an established, profitable company with more than 50 products, including lithium-thionyl chloride and lithium-manganese dioxide batteries as well as coin cells. EE Times reported that ABLE had been established in 2003.
Ultralife agreed to acquire ABLE in January 2006. Its filing later recorded the acquisition date as May 19, 2006. EE Times reported the proposed acquisition on January 26, 2006; the acquisition date and product details appear in Ultralife’s Form 10-Q.
Why did Ultralife say it bought ABLE?
Ultralife said the acquisition would broaden its portfolio of high-energy power sources and could help the company enter China’s growing market, strengthen its global presence, and gain access to lower material and manufacturing costs. It also pointed to remote meter reading and radio-frequency identification (RFID) as applications that could benefit from the acquired battery chemistries. These were the company’s stated rationale and expectations, not proof that the anticipated benefits were achieved.

What was the acquisition worth?
The figures differ because they refer to distinct transaction measures. EE Times’ January 2006 announcement put the proposed cash-and-stock deal at $4.2 million. Ultralife’s later filing itemized the consideration and acquisition-related costs rather than repeating that headline figure as a final purchase price.

What did ABLE contribute financially at the time?
EE Times reported that ABLE generated $2.3 million in revenue and $300,000 in operating profit in 2005. The same January 2006 report said Ultralife expected the acquisition to be accretive to earnings that year; that was a forecast, not a verified result in the cited report.

What later filings say about ABLE
Ultralife’s 2025 annual report lists ABLE New Energy Co., Limited and its subsidiary among the company’s subsidiaries. That establishes that ABLE remained in Ultralife’s reported subsidiary group in that filing, but it does not establish current manufacturing activity, staffing, or which ABLE products are still available. Ultralife’s 2025 Form 10-K is the source for the subsidiary listing.
