Structure milestone payments around reviewable deliverables, not an arbitrary percentage formula. For each phase, agree in writing on what will be delivered, how the client will accept it, when it is due, and what amount becomes payable. There is no evidence-backed universal milestone count or split; the right schedule depends on the project’s scope, dependencies, and risk.
Build the schedule around decisions and deliverables
A milestone should mark a distinct piece of work the client can inspect and a clear decision point for the project. Upwork’s guidance describes a good milestone as having a clear deliverable, estimated delivery date, and agreed payment amount. Its advice is useful for planning, though the platform’s payment procedures apply only to Upwork contracts.
For a software project, a practical sequence might look like this. Combine or divide phases to fit the scope rather than treating this as a standard formula.
- Discovery and specification: document requirements, constraints, and the agreed scope. The milestone could be a specification or a signed-off plan.
- Core feature or prototype: deliver a working version of the central feature so the client can review the direction before more work builds on it.
- Integrations and agreed testing: connect the specified services or systems and demonstrate the tests or checks included in scope.
- Deployment and handoff: complete the agreed release, documentation, and transfer of project materials.
A phase is a weak milestone if it describes effort alone—such as “work for two weeks”—without identifying what the client can review. If a deliverable cannot be fully demonstrated yet, define an interim artifact or decision, such as a test report, interface prototype, or documented integration result.

Write down the terms for every milestone
Agree on the details before work begins. Upwork recommends aligning in advance on exact work, timing, feedback, revisions, and success criteria. Put the following information in the contract or statement of work for each milestone:
- Deliverable and exclusions: identify what will be supplied and what is outside the agreed scope.
- Acceptance criteria: describe observable conditions for completion, such as a demonstrated workflow or specified test results. Avoid relying only on subjective terms like “polished” or “satisfactory.”
- Target date and dependencies: state the expected delivery date and what the client or a third party must provide first.
- Amount and payment trigger: specify the amount and the event that makes it due—for example, delivery for review or written approval under the agreed process.
- Review and feedback: set how the client will review the work, how feedback is submitted, and the response window.
- Revisions and changes: state which revisions are included and how new or changed requirements will be estimated, approved, and billed.
- Delays and ending the project: explain how a delayed dependency or changed requirement affects dates, and how completed work will be paid for if the engagement ends early.
These terms make the payment trigger less ambiguous, but whether a particular clause is enforceable depends on the applicable law and the full agreement. Get jurisdiction-specific legal advice for high-value or high-risk work.

Choose how milestone funds will be held and released
Payment structure is not only about the schedule; it is also about when funds are secured and what action releases them. Compare the available arrangements before starting, and confirm current fees, availability, and dispute processes directly with the provider.

Upwork’s fixed-price help page says the client has 14 days to review submitted work and that funds are automatically released if the client does not act before the deadline. That describes Upwork’s workflow, not a general deadline or guarantee for direct contracts or other services. Check the current platform terms before relying on it.

Protect the project from unpaid work and scope drift
- Do not begin substantial work on a milestone until its funding or payment arrangement is in place. Upwork advises freelancers not to start until the milestone is funded; outside the platform, agree on a comparable safeguard in the contract.
- Make each next phase contingent on a clear approval or review event, and avoid carrying a large amount of completed but unpaid work into later phases.
- When a client requests something outside the agreed deliverable, pause that work and agree on the change, price, and schedule in writing before proceeding.
- If feedback is late, follow the contract’s review and delay procedure rather than assuming silence means acceptance—unless the agreement and applicable law clearly establish that result.
- Keep the signed scope, submitted deliverables, feedback, approvals, invoices, and payment records together.
These are project-management safeguards, not guarantees of payment or a substitute for contract terms. Disputes, termination rights, intellectual-property transfer, and late-payment remedies vary by jurisdiction and agreement.

Account for taxes in your cash-flow plan
For U.S. freelancers, the IRS says gig workers with net self-employment earnings of $400 or more must file a tax return, and independent contractors may need to make estimated tax payments. The IRS lists estimated-tax due dates as April 15, June 15, September 15, and January 15, with payment due the next business day when a date falls on a weekend or legal holiday. It points taxpayers to Form 1040-ES and online, mail, or phone payment options. These are U.S. federal guidelines; tax rules differ elsewhere and individual situations can change the result.
