OpenAI and AMD announced a planned, multi-year partnership on October 6, 2025, covering six gigawatts of AMD Instinct GPU deployments across multiple generations. The first phase is a planned one-gigawatt deployment of AMD Instinct MI450 GPUs, targeted to begin in the second half of 2026. The agreement also includes a conditional warrant allowing OpenAI to earn up to 160 million AMD shares; it is not an immediate ownership stake.

What the AMD deal includes

The companies describe the agreement as a six-gigawatt deployment of AMD Instinct GPUs and rack-scale AI solutions over multiple generations. Gigawatts measure planned power capacity here, not a count of GPU cards. The announcement does not specify how many individual GPUs that capacity represents.

The first named phase is one gigawatt of MI450 GPUs, with deployment planned to start in the second half of 2026. That is a target, not confirmation that the systems have been installed or are already serving OpenAI workloads. AMD’s SEC-filed announcement identifies deployment timing and related expectations as forward-looking statements that are subject to uncertainty. How OpenAI and AMD got here

The MI450 plan follows earlier hardware and software collaboration. The companies say their work began with AMD’s MI300X and continued with MI350X. The new agreement extends that relationship to a larger, multi-generation deployment rather than describing a one-off purchase.

What the warrant means

AMD issued OpenAI a warrant for up to 160 million AMD common shares. The shares vest in tranches as specified conditions are met: the initial tranche is tied to the one-gigawatt deployment, with additional tranches tied to purchases scaling toward six gigawatts. Vesting also depends on technical and commercial milestones and AMD share-price targets. The maximum number of shares is therefore conditional, not an immediate grant or guaranteed 10% stake. What the deal could mean financially

AMD’s CFO said the partnership was expected to generate tens of billions of dollars in revenue for AMD. That figure is a company forecast, not revenue already earned or guaranteed. Actual deployment, purchases, and financial results may differ from the announced expectations, as AMD’s SEC filing cautions.

Is this replacing OpenAI’s other chip partnerships?

No replacement is established by the AMD announcement. In an August 2026 account of its compute strategy, OpenAI lists AMD alongside AWS, Broadcom, Cerebras, CoreWeave, Oracle, SB Energy, and SoftBank. OpenAI says it weighs providers and systems across capability, speed, reliability, efficiency, and cost; different options can suit different workloads. That account describes a portfolio approach, not a claim that AMD displaces other suppliers. OpenAI’s compute strategy overview provides that later context.

The announcement itself provides no MI450-versus-competitor benchmark, so it does not establish that the planned systems will outperform another provider’s hardware on any of those measures. OpenAI says it uses premium systems where capability matters most and optimizes for efficiency where scale and cost matter more.

Why the announcement matters—and what it does not establish

For OpenAI, the deal is a planned source of additional compute capacity. For AMD, it is a major prospective customer relationship tied to accelerator deployments and a warrant whose vesting depends on milestones. OpenAI CEO Sam Altman called it “a major step in building the compute capacity needed to realize AI’s full potential.” That is OpenAI’s stated rationale, not an independent performance finding.

  • The six-gigawatt figure is planned capacity across multiple AMD Instinct generations, not a GPU-card count.
  • The initial MI450 phase is planned for the second half of 2026; the target does not confirm deployment has begun.
  • The warrant’s maximum share count depends on deployment and other milestones, as well as share-price targets.
  • The announced financial benefit is a forecast, not realized revenue.

The announcement is about enterprise accelerators and rack-scale infrastructure, not a consumer graphics card available for individual purchase.
