Its core electronic components are order handling, an order book and a matching function—but an exchange is only one part of the market. Brokers route customer orders, and separate clearing and settlement organizations help complete trades.
What a stock exchange does—and what it does not do
An exchange provides a venue and rules for trading securities. In U.S. markets, a stock’s listing exchange is not necessarily where a particular investor’s order executes. The U.S. Securities and Exchange Commission (SEC) explains that orders for listed stocks may be routed to the listing exchange, another exchange or a market maker: SEC Investor.gov: Executing an Order.
The wider market includes brokers and other trading venues and participants, including electronic communications networks (ECNs) and market makers. An exchange is therefore one component of a larger system, not a single place through which every stock trade must pass.
How orders are handled and matched
Orders and the order book
An order is an instruction to buy or sell. A limit order sets a price constraint: a buyer specifies the maximum price to pay, or a seller specifies the minimum price to accept. An electronic order book records buy and sell interest that is available on a venue.

The matching function
A matching function applies the venue’s rules to incoming orders and orders already resting in the book. For example, a draft venue manual filed with the SEC describes a continuous matching function that compares incoming orders with resting orders: SEC-filed draft venue manual. That filing illustrates one venue’s documented design; it should not be taken as a universal specification. Exchanges can set different rules, and not every venue uses the same matching method.
Where the broker fits in
A customer generally sends an order to a broker. The broker decides where to route it, considering available market centers and the order’s terms. The order may reach an exchange, a market maker or another destination; the listing venue does not determine the execution venue by itself.

An execution at a displayed price is not guaranteed. Prices can change while an order is being routed, and a quoted price applies to a particular quantity of shares. The SEC says: “Your broker has a duty to seek the best execution that is reasonably available for its customers’ orders.” See SEC Investor.gov’s explanation of order execution.
What happens after a trade: clearing and settlement
Execution, clearing and settlement are separate stages. Matching produces a trade; clearing and settlement infrastructure helps ensure that the agreed securities and funds are delivered and recorded.

These clearing and depository functions are described by SEC Investor.gov’s overview of clearing agencies. They are distinct from an exchange’s order-matching function.
