The deal was completed in December 2021. ExpressVPN told customers the service would remain a separate brand, and its privacy policy—last updated January 1, 2026—says ExpressVPN, not Kape Technologies PLC, controls account personal data. Those are company statements and policy terms, not independent verification of how the service is operated or how every data flow works.
What happened in the ExpressVPN acquisition?
On September 13, 2021, Kape Technologies PLC announced that a wholly owned subsidiary had agreed to acquire the assets, liabilities, and service entities comprising the ExpressVPN business from Access Global Limited and its subsidiaries. Kape described the approximate US$936 million total consideration as a combination of cash, deferred cash, and newly issued shares—not a simple all-cash purchase price. Kape’s September 2021 announcement sets out the proposed transaction.
The deal moved from agreement to completion in December. On December 15, Kape said it expected completion on December 16; ExpressVPN’s December 16 announcement confirmed it had officially joined Kape.
What did ExpressVPN tell customers?
In a FAQ published alongside the September 2021 deal announcement, ExpressVPN said there would be no immediate changes to subscriptions or service directly as a result of the acquisition. It also said it would continue operating as a separate brand and service, run by its existing team. These were assurances made at the time of the announcement; they should not be read as independent confirmation of organizational arrangements in later years. The FAQ said the company would update its terms and privacy policy to reflect relevant ownership or legal-entity changes. Its current privacy policy, last updated January 1, 2026, identifies ExpressVPN as the controller of account personal data rather than its ultimate holding company, Kape Technologies PLC. The policy also allows limited processing by related entities for stated purposes. The policy describes the company’s stated approach; its text alone does not establish every actual data flow.
What do the acquisition figures mean?
Kape’s announcements also included business forecasts alongside the headline consideration. They are useful context, but they should not be confused with realized results:

- About US$936 million: Kape’s approximate total consideration for the acquisition, announced in September 2021. The consideration comprised cash, deferred cash, and newly issued shares.
- About 28% expected earnings accretion: Kape’s forecast in its December 2021 completion update, not a reported realized outcome.
- US$610–624 million revenue and US$166–172 million adjusted EBITDA: Kape’s guidance for 2022 in that completion update, not actual results. Kape’s December 2021 update provides the forecast context.
What can customers conclude today?
The acquisition itself is established by Kape’s transaction announcements and ExpressVPN’s completion notice. For customers assessing the implications, the key distinction is between ownership, company assurances, and independently established practice: ExpressVPN said in 2021 that subscriptions and service would not change directly at that time; its current policy says it controls account personal data and describes limited related-entity processing. Neither the announcement nor policy wording independently verifies every operational detail or data-handling practice.
