Fortinet announced and completed its acquisition of AccelOps on June 7, 2016, saying the deal would add security information and event management (SIEM), monitoring, and analytics to its Security Fabric strategy. Fortinet’s headline figure was approximately $28 million in cash, subject to adjustments, plus up to $4 million in contingent consideration. Later SEC filings reported lower cash-consideration figures on different accounting bases.

What Fortinet acquired

AccelOps provided network security monitoring and analytics. Its technology was intended to help organizations collect and interpret security and operational data across their IT environments.

SIEM systems bring together event data from multiple sources so security teams can identify patterns, investigate incidents, and respond. In Fortinet’s account of the deal, AccelOps would add those capabilities to Fortinet’s own security products while also providing visibility into multi-vendor environments.

Why AccelOps fit Fortinet’s Security Fabric

Fortinet had unveiled its Security Fabric on April 25, 2016, describing it as an architecture for connecting security solutions to support unified, rapid threat response. The AccelOps acquisition announcement framed analytics and visibility across different vendors’ products as an extension of that strategy.

Support threat intelligence and automated response

The company said the combined capabilities would provide threat intelligence and enable automated, actionable security responses. In explaining the rationale, Fortinet CEO Ken Xie said the acquisition would combine security and compliance monitoring with analytics across multi-vendor solutions. That statement describes Fortinet’s intended outcome; the announcement did not include independent performance testing of the combined offering.

Extend services for MSSPs and support customers

Fortinet also said AccelOps’s security operations center (SOC) and network operations center (NOC) capabilities could support managed security service providers (MSSPs) and Fortinet Support Services. The announcement described a possible use for those capabilities, not evidence of later service availability or customer outcomes.

What the $28 million headline includes—and what later filings reported

Fortinet’s June 7, 2016 Form 8-K reported approximately $28 million in cash consideration, subject to adjustments, and up to $4 million in additional contingent cash consideration tied to future performance. The contingent amount was a maximum, not part of the stated cash figure already paid.

Subsequent quarterly filings reported cash-consideration figures on accounting bases that differ from the announcement:

The market context was a 2016 forecast, not a current measure

Fortinet’s acquisition announcement described SIEM as a $2 billion market and said Gartner projected it would reach $2.9 billion by 2019. Those are historical figures reproduced by Fortinet in 2016; they are not current market-size data.
