Protect trade secrets during an employee’s departure by controlling access, recovering company property, documenting a clear exit conversation, and responding proportionately to credible signs of misuse. Start before the final day where lawful, and apply local privacy and employment rules throughout: secrecy measures help protect trade secrets, but they do not turn an employee’s general experience and skills into company property.

What must be protected—and what must not be restricted

A trade secret is not simply anything marked “confidential.” Under EU Directive 2016/943, information qualifies as a trade secret when it is secret, has commercial value because it is secret, and has been subject to reasonable steps to keep it secret. The directive is relevant to EU law; national implementation and other applicable laws still matter.

Build protection around identifiable information and real safeguards. Examples might include nonpublic technical, commercial, or operational information, but an employer should assess each item’s secrecy and business value rather than assume a broad label or a confidentiality clause does the job. WIPO’s trade-secret checklist describes practical measures such as clear confidentiality obligations, employee training, and documentation.

Keep this program distinct from restrictions on employee mobility. The EU directive says trade-secret protection does not justify limiting employees’ use of experience and skills honestly acquired in the normal course of employment. A new job, competition, or an employee’s use of general professional know-how is not, by itself, evidence of misappropriation.

Before the employee leaves: prepare the handoff

Inventory sensitive information and access

Maintain a working inventory of the information you seek to protect, its business value, who needs access, and the controls intended to preserve secrecy. The inventory should help managers and IT identify relevant systems, repositories, physical materials, and responsible owners; it need not become a blanket claim that everything an employee encountered is a trade secret.

Assess access through the final day

Decide whether the employee still needs access to each system and information set through their last day. Consider the person’s role, the sensitivity of the material, concrete risk indicators, and business continuity. WIPO’s departure checklist calls for assessing the risk of continued access. There is no universal rule in the cited sources that every account must be disabled immediately upon notice; plan a proportionate, documented approach with HR, the manager, IT, and security.

Coordinate the technical and physical offboarding plan

Assign who will disable accounts, revoke credentials, recover property, record outstanding items, and conduct any exit interview. NIST SP 800-171 Rev. 3 calls for disabling system access within an organization-defined period, revoking authenticators and credentials, and retrieving security-related property when employment ends. See the NIST SP 800-171 Rev. 3 publication. It is a security control framework, not a universal employment-law deadline.

Review agreements and applicable notice obligations

Check the employee’s confidentiality agreement and applicable policies before the exit. For U.S. agreements governing the use of trade secrets or other confidential information, review the notice requirement in 18 U.S.C. § 1833(b), 2024 U.S. Code edition. The statute provides immunity for certain confidential disclosures to government officials or attorneys solely to report or investigate suspected legal violations, and for qualifying lawsuit documents filed under seal. It requires notice of that immunity in covered agreements or an appropriate policy cross-reference. Failure to provide notice can affect eligibility for exemplary damages and attorney fees in an action against an employee who lacked notice. Do not draft or enforce a policy as if it prohibited protected reporting.

On the final day: close access and recover property

Disable access and revoke credentials

At the planned time, disable accounts and revoke authenticators and credentials in line with your organization’s process. Coordinate across relevant services rather than assuming that turning off one login closes every route. NIST’s termination control is a useful technical baseline, while the appropriate timing depends on the organization’s defined process and circumstances.

Collect and record company property

Recover security-related property, including applicable badges, keys, tokens, devices, manuals, and other company materials. Record what was returned and identify anything outstanding so it can be followed up through the normal process. Do not access a former employee’s personal account or device merely because it may contain company information; that requires careful review under applicable law and policy.

Conduct and document the exit conversation

Where practical, hold an exit interview. Remind the employee of continuing confidentiality duties, identify company information and materials to return, and explain the return process. Record that the conversation took place, what was requested, what was returned, and any unresolved items. WIPO’s departure checklist notes that exit interviews can reinforce obligations and help demonstrate reasonable steps to preserve secrecy.

Limit any device or system review

If you review company devices or systems, use a documented and limited process tied to a legitimate purpose. Check applicable privacy, labor, and monitoring rules first; WIPO’s checklist specifically cautions that device checks are subject to applicable privacy and other laws. Rules vary by location and may depend on whether the device or account is personal or company-managed.

After departure: preserve evidence and respond proportionately

Retain relevant records lawfully

Preserve relevant access logs and other records under established retention and legal-hold processes. Monitoring should be lawful and proportionate, particularly where specific indicators justify closer attention. WIPO’s checklist discusses considering communications to former employees or new employers and monitoring relevant activities in appropriate circumstances, while emphasizing that enforcement differs across countries.

Distinguish suspicious conduct from ordinary mobility

A departure to a competitor or use of general professional skills does not alone establish that a trade secret was taken or used. Focus on credible, specific indicators connected to protected information, while respecting applicable employee-mobility rules. Do not use trade-secret measures as a substitute for a noncompete or a broader restriction on ordinary work.

Escalate credible concerns carefully

If evidence suggests misuse, preserve it without altering relevant records and promptly seek advice from counsel familiar with the governing jurisdiction. WIPO’s enforcement guidance explains that proving illegitimate use can be difficult and that proceedings can themselves risk public disclosure if the information is not adequately protected. Any request, investigation, or contact with a former employee or new employer should be reviewed under local law.

Adapt the process to the governing law

Employee location, governing law, industry, and company practices can change what an employer may do. Have local counsel review agreements, device monitoring, access to personal accounts or devices, retention practices, and any contact with a former employee’s new employer. The U.S. statutory notice discussed above is specific to U.S. law; the EU definition and mobility principle come from Directive 2016/943 and depend on national implementation.
