An IPO valuation is reasonable when the offer price can be explained by the company’s expected growth, profitability, cash generation and risks—and by comparisons with genuinely similar public companies. No single multiple is a universal industry rule. Use several valuation lenses, check the assumptions behind them, and distinguish the IPO offer price from the price investors establish once trading begins.
Start with the prospectus, not the headline multiple
The registration statement, usually a Form S-1 in a U.S. IPO, is the primary source for understanding the issuer. It describes the business, financial condition, operating results, risks, management, audited financial statements and offering terms. The SEC explains what registration statements disclose in its registration statement overview.
Read the prospectus to understand what the company sells, how it makes money, what could disrupt its business, how it has performed, and what the offering will fund. Pay particular attention to the risk factors, management’s discussion of financial results, use of proceeds, share count and dilution. A valuation cannot be assessed well without knowing what financial figures and ownership structure it is built on.
SEC staff reviews filings for compliance and apparent disclosure deficiencies. That review is not an investment recommendation: the SEC’s investor bulletin says “the SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” See SEC: Investing in an IPO.

Choose metrics that fit the business
A multiple compares a company’s price or enterprise value with a financial measure. Its usefulness depends on whether that measure captures the business’s economics and whether the comparison uses consistent definitions and periods. The CFA Institute’s 2026 curriculum on market-based valuation describes the strengths and limits of common multiples.

This is a framework, not a set of current industry benchmark ranges. The metrics for banks, property companies and clinical-stage firms are applications of general valuation principles, not sector-specific rules established by the cited sources. A sector label alone does not make two issuers comparable.
Understand what each multiple says—and leaves out
P/E: price relative to earnings
Price-to-earnings compares equity price with earnings per share. Trailing P/E uses past earnings; forward P/E uses estimates for a future period. State which period is being used. P/E is most informative when earnings are positive and meaningful, but EPS can be volatile, distorted or negative. Expected growth can support a higher P/E, while a higher required return can weigh on it.

P/B: price relative to book value
Price-to-book compares share price with accounting equity per share. Return on equity and required return help explain differences between companies. Book value may be a weaker guide when inflation, technological change or accounting treatment makes recorded assets a poor proxy for shareholder value.
P/S and EV/Sales: price or enterprise value relative to revenue
Revenue can be steadier than earnings, which can make sales multiples useful when profits are absent or temporarily distorted. But price-to-sales ignores the cost structure: two companies with similar revenue can have very different margins and cash needs. Revenue-recognition differences can also affect comparisons.
Enterprise value generally combines the market value of debt, common equity and preferred equity, less cash and investments. EV/Sales can therefore reduce capital-structure mismatch compared with equity price-to-sales. It still does not show whether revenue produces attractive margins or cash.

EV/EBITDA: enterprise value relative to operating earnings before certain expenses
EV/EBITDA is often used to compare companies with different leverage and can be helpful for capital-intensive businesses. EBITDA is not cash flow: among other things, it omits working-capital movements and does not capture all cash demands. It should not be treated as a substitute for cash generation or investment requirements.
DCF: forecast cash flows discounted to present value
A discounted cash flow analysis estimates value from projected cash flows and a discount rate. It provides a different check from market multiples, but it is sensitive to uncertain forecasts and the discount rate. A DCF output is not a precise, objective answer; small changes in assumptions can materially change the result.

Build a defensible comparison set rather than selecting companies simply because they share an industry label. Compare each issuer’s business mix, maturity, growth outlook, margins, cash conversion, earnings quality, cyclicality, capital intensity, leverage and risk. For financial firms, include balance-sheet measures such as asset quality and capital; for property or resource businesses, account for the assets and assumptions that drive reported results.

Use consistent periods and definitions. If one company’s multiple uses forward estimates and another’s uses trailing results, the comparison is not like-for-like. Where unusual or cyclical earnings distort the picture, explain how earnings were normalized and why that adjustment is appropriate. The NYSE’s IPO Guide describes the use of existing public companies as comparators in IPO preparation.
A lower multiple than a broad sector average does not by itself mean an IPO is cheap. It may reflect slower growth, lower margins, weaker cash conversion, greater risk, leverage or a different business mix. A higher multiple needs a credible explanation in expected fundamentals—not just optimistic presentation.
Use a practical valuation checklist
- Identify the business model. Determine what drives revenue, costs, cash needs and the company’s main risks.
- Select genuinely comparable issuers. Explain both the similarities and the differences that could justify a different multiple.
- Choose a fitting metric. Use earnings multiples when earnings are meaningful; use sales multiples cautiously when earnings are absent or distorted; match specialized businesses with measures that reflect their economics.
- Normalize unusual figures. Distinguish recurring performance from cyclical peaks, one-off items or other distortions, and make the adjustment transparent.
- Test the fundamentals behind the multiple. Compare growth, margins, cash generation, risk, capital intensity and capital structure.
- Cross-check with forecast cash flows. Make clear that DCF results depend on assumptions about future cash flows and the discount rate.
- Read the offering terms. Check the share count, potential dilution and use of proceeds alongside the company’s financial disclosures.
- Separate offer valuation from trading. Consider the proposed offer terms as one event and first-day market pricing as another.
Why the offer price can differ from the first-day price
In a typical IPO, underwriters collect indications of interest and recommend a share price; the issuer ultimately determines the offer price. After trading starts, supply and demand can move the market price away from that offer price. The SEC’s explanation of IPO pricing differences describes how an offering with demand exceeding supply may rise sharply at first and later fall. It explains a market mechanism, not a prediction about a particular IPO.

For context, the SEC’s IPO statistics page, updated September 22, 2026, reports 375 U.S.-market IPOs in 2025 and 208 in the first half of 2026. Those counts use pricing date and include corporate, blank-check (SPAC) and fund issuers; the SEC notes that its estimates, calculated from commercial datasets, may change. Counts measure offering activity, not whether valuations were reasonable.
Why valuation remains a range, not a verdict
Comparable-company multiples are relative measures: they show how the market values one company against others, not an uncontested intrinsic value. DCF adds a forecast-based perspective, but its assumptions are uncertain too. IPO pricing also reflects investor demand and market conditions at the time. The CFA Institute Research Foundation’s 2017 overview of equity valuation discusses the limits of valuation and IPO-specific influences such as timing, information asymmetry and behavioral effects.
A reasonable valuation is therefore one whose assumptions and comparisons can be examined and defended: the selected metrics fit the company, differences from peers have explanations, risks and dilution are visible, and forecast-based checks are treated as estimates rather than certainties.
