Before signing, find out exactly what rights the document gives the developer, how long those rights last, what it may do on your land, and who must pay for damage and restoration. Get the complete agreement, including every map and exhibit, and have a real-estate lawyer familiar with the law where the property is located review it. An option or access agreement may shape what you can negotiate later; an easement may affect how the property can be used long after the initial payment.
What is the difference between an option, an easement, a sale, and a ground lease?
The document’s title does not tell the whole story. Read the actual grant of rights, its term, and its limits. The same label can cover different arrangements, and the governing property law varies by jurisdiction.

These are general descriptions, not guaranteed legal effects. Compare the particular documents and get advice on how local law treats them.
What should you review in an option or access agreement?
Who is taking the rights?
Confirm the full legal name of the entity signing and whether it is the developer, an intermediary, a utility, or a project company. Find out which entity will own or operate the project and who is financially responsible for the promises in the agreement. If a different company may take over, check whether the original signer remains liable.

How long is the land tied up, and what will you be paid?
Identify the initial option period, each extension right, the payment due for each period or extension, and when and how the option must be exercised or terminated. Check whether any later payment or transaction term is already set by this document or an attached form. Do not assume an extension is optional for you to approve; read the exact language.
There is no supported national benchmark here for a fair option payment or easement price. The value depends on the specific rights, property, and local circumstances, so seek local advice rather than relying on a supposed standard rate.
What entry, testing, and disturbance are allowed?
List every permitted investigation, such as surveys, soil borings, environmental or geotechnical testing, and utility investigations. Check notice requirements, timing, entry routes, security arrangements, and limits on disturbance. The agreement should say how the parties will document existing conditions and address damage to roads, fences, gates, crops, drainage, and other improvements, including when repairs must be completed.

Can the agreement be assigned or bind future owners?
Check whether the developer can transfer its rights without your written consent, whether a parent company guarantees performance, and what happens if a project company is sold, dissolved, or abandons the project. Ask which provisions may be recorded, run with the land, bind future owners, or restrict future uses.
Do not treat a preliminary document as harmless
Read every exhibit, map, nondisclosure agreement, release, and future lease or easement form referenced or incorporated into the agreement. The Australian Energy Infrastructure Commissioner warns that an initial agreement can bind a landholder to later terms. Its guidance is Australian, not U.S. law; it states: “It is essential that landholders obtain sound legal, financial and other professional advice before signing any agreement with the proponent.”
What rights should a data center easement spell out?
Ask for a marked map and complete legal description. The written grant should identify the easement route, width, work area, access route, and permitted purpose, as well as any surface or subsurface rights. Check whether the easement allows construction, inspection, repair, replacement, or maintenance, and whether the rights are temporary, permanent, renewable, or otherwise limited.

- Scope: Which facilities and activities are allowed, and can the route or work area be expanded?
- Access and use: Who may enter, by which routes, for what work, and under what notice or operating limits?
- Transfer and sharing: Can the rights be assigned or shared with other users? Does a transfer require consent?
- Costs and responsibility: Who pays for maintenance and damage, and who must restore affected areas?
- End of use: What happens if the project does not proceed or the facilities are no longer used? Is removal or restoration required, and who remains responsible?
Do not assume a site option automatically grants utility, construction, or access rights. A U.S. Department of Energy transmission-project process used a proposed easement form and a sketch of the affected area as part of land-agent discussions. That is an example of useful documentation, not a rule governing private data center agreements. The signed document and applicable law determine the rights actually granted.
Could the agreement cover power, water, fiber, or other infrastructure?
A data center may require facilities beyond its main site, including substations and transmission lines, fiber routes, water lines, roads, drainage, backup generation, and construction access. Treat each proposed facility as a separate question: which parcel, route, width, work area, access rights, permitted use, and term does it involve?

Ask whether the draft grants any power, water, sewer, fiber, road, or other utility rights, or whether those rights will be negotiated separately. Look for provisions allowing future expansion, additional facilities, or use by other parties. Require the affected areas and rights to be shown clearly in the agreement and its exhibits.

Who pays for damage, restoration, maintenance, and abandonment?
Make the agreement allocate responsibility rather than relying on an informal promise. It should address the condition of the property before entry, how damage will be recorded, who repairs it, and the deadline and standard for completing repairs. Consider roads, gates, fences, crops, drainage, and other improvements affected by testing or construction.
For easements and other continuing rights, identify who maintains the facilities and access routes and who is responsible if work damages the property. Ask what happens if permits, power, water, financing, or construction do not materialize, and whether the party taking the rights must remove work, restore the land, or remain liable after a transfer or abandonment.

- What exact parcel, acreage, route, work area, and access routes are covered? Where are the map and complete legal description?
- How long does the option last, how many extensions are allowed, and what additional payment is due for each?
- What testing and entry are permitted, what notice and limits apply, and who must repair damage by when?
- Can the agreement or easement be assigned, expanded, shared, or transferred without your written consent?
- Does it include power, water, fiber, sewer, road, or other utility rights, or will those be negotiated separately?
- Who pays taxes, fees, crop or surface damage, restoration, maintenance, and legal costs, as applicable?
- What happens if permits, power, water, financing, or construction do not materialize? Who removes work, restores the property, and remains liable?
- Can a public utility or other entity condemn the requested right? Which legal authority applies to this specific entity and purpose?
- What parts of the agreement will be recorded, run with the land, bind future owners, or restrict future uses?
How should you evaluate condemnation and local rules?
Do not assume either that a developer or utility can condemn the requested rights or that it cannot. The answer depends on the particular entity, the purpose of the project, and the law that applies in the property’s jurisdiction. Ask a local lawyer to verify the specific authority rather than relying on a general claim made during negotiations.

Rules may also depend on who owns the land. For example, Oregon administrative rules address easements on Oregon state-owned land; they do not establish compensation or contract terms for private landowners negotiating with a data center company. That distinction is one reason not to treat a rule from another state or a public-land process as a private-deal standard.
Who should review the agreement?
Have a lawyer who works with real estate in the property’s jurisdiction review the complete agreement and all exhibits before you sign. Property rights, recording, enforceability, and condemnation authority are jurisdiction-specific. If boundaries or the proposed easement footprint are unclear, a licensed surveyor may be able to help clarify them.
