Tokenization represents an asset, right, or financial instrument as a digital token, often using a blockchain or similar network to record ownership. For an investment, the token’s format alone does not tell you what you own: the key questions are whether it conveys the same legal and economic rights as the traditional investment, which record of ownership controls, and which intermediaries you rely on.

What does tokenization mean?

Tokenization is the process of representing an asset or a claim on an asset in digital token form. In investing, a tokenized security is a financial instrument that is a security under federal law and is represented by a crypto asset, with ownership recorded in whole or in part through one or more crypto networks, according to the SEC’s January 28, 2026 statement.

The important distinction is between changing how an investment is represented or recorded and changing the investment itself. A token might represent the same security, an indirect interest in a security held by a custodian, or a separate instrument whose value is linked to a security. The word “tokenized” does not, by itself, establish which arrangement applies.

Does a tokenized asset give you the same rights as a traditional investment?

Not necessarily. A token’s price may follow a stock or other asset without giving its holder ownership, voting rights, distributions, or a claim against the issuer of that asset. Investor.gov notes that a synthetic token can track a referenced security’s price while leaving its holder without rights against that security’s issuer. Price exposure and ownership are different things.

SEC Commissioner Hester M. Peirce put the point plainly in a July 9, 2025 statement: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” Her statement also says, “Tokenized securities are still securities.” These are a commissioner’s statements, not a substitute for the laws and documents governing a specific product.

Three common tokenized-security structures

Investor.gov describes three broad structures. The details of a particular offering may differ, so its legal documents—not its marketing label—determine what the holder receives.

Issuer-sponsored

The issuer, or someone acting for it, sponsors the tokenization. The token may represent the same class of security and carry its associated rights, although the token itself could instead be a different class. The ownership record may be maintained on a crypto network or across onchain and offchain systems. Check which record is authoritative and whether token holders receive the rights attached to the security.

Custodial

A securities intermediary holds the underlying security, while the token represents an indirect interest in it. The holder’s rights and remedies depend on the intermediary arrangement, including how the assets are held and treated if the custodian or another platform fails. The token is not automatically equivalent to holding the security directly.

Synthetic

A third party creates a token whose value or payout is linked to a security or another asset. That link may provide price exposure, but it does not necessarily confer ownership or rights against the referenced issuer. The token holder may instead rely on the third party’s promise or mechanism for delivering the linked value.

Tokenized assets versus traditional investments

“Traditional” describes the familiar form or infrastructure of an investment; it does not mean risk-free or free of intermediaries. The practical comparison is whether the tokenized product changes the legal claim, recordkeeping, custody, transfer process, or counterparties involved.

What to compare Traditional-format investment Tokenized form: what to verify
Legal instrument Identify the share, bond, fund interest, or other instrument you hold. Does the token represent the same security, a security entitlement, a newly linked instrument, or a derivative?
Issuer relationship The issuer or its agents maintain recognized ownership records. Is the token issued by or for the issuer, held through a custodian, or created by an unaffiliated third party?
Rights Review applicable voting, distribution, ownership, and contractual or statutory rights. Do holders receive those rights directly, indirectly, differently, or not at all?
Record and custody Identify the broker, transfer agent, custodian, or other recordkeeper. Which onchain or offchain record controls? What happens if a wallet, custodian, or platform fails?
Trading and transfer Consider the trading venue, settlement, transfer restrictions, and liquidity. Check eligible venues, wallet restrictions, network dependencies, and whether liquidity claims are supported for this specific asset.
Counterparty and insolvency Understand exposure to the issuer, broker, or custodian. Identify additional token issuer, custodian, smart-contract, and platform dependencies; review how the arrangement may be treated in insolvency.

What may change—and what is not guaranteed

Tokenization may alter how an investment is issued, traded, transferred, settled, or recorded. SEC commissioners have discussed possible uses in capital formation and collateral, as well as potential cost, transparency, and liquidity benefits. Those are possibilities, not assured results for every product or market. Any claimed improvement depends on the implementation and the market structure around it.

Tokenization can also add dependencies. A third-party token may expose its holder to that party’s credit and bankruptcy risk, in addition to risks involving the underlying asset. In some structures, the blockchain record may function as the ownership database; in others, an offchain register or intermediary may remain central. Are all crypto tokens securities?

No. “Crypto asset” is a broad category that can include digital securities, commodities, collectibles, tools, and stablecoins. Whether a particular asset or offering is subject to federal securities laws depends on its characteristics and the transaction; an asset that is not itself a security may still be offered or sold through an investment contract. This U.S. regulatory framing is not an exhaustive legal analysis of every token or transaction.

What to check before evaluating a tokenized investment

Read the offering and account documents, and look for specific answers to these questions:

  • What does the token legally represent? Is it the security itself, an indirect interest held through an intermediary, or a separate instrument linked to an asset?
  • Who issues or sponsors it? Establish whether the issuer, its agent, a custodian, or an unaffiliated third party is responsible for the token.
  • What rights do you receive? Check for voting, distributions, ownership claims, and any rights against the underlying issuer or token issuer.
  • Which ownership record controls? Determine whether the blockchain record is authoritative, whether an offchain register also matters, and how errors or disputes are handled.
  • Who holds the underlying asset? If a custodian or intermediary is involved, learn how the assets are held and what the documents say about failure or insolvency.
  • How can you transfer or trade it? Check permitted venues, wallet and network requirements, transfer limits, and the evidence behind any liquidity claims.
  • What happens if a key party or system fails? Review the consequences of issuer, platform, custodian, wallet, or smart-contract problems.
