Evaluate a crypto treasury as part of a company’s capital structure and operating business—not as a token balance in isolation. Separate what it holds from how it funded those holdings, what it reports as revenue or gains, whether it produces spendable cash, and what could restrict access to assets or force a sale.
The examples below are dated disclosures from U.S. public-company filings, not recommendations or performance benchmarks. For any issuer, start with its latest periodic and material-event filings; a company announcement or weekly holdings snapshot is not a substitute for financial statements.
Start by identifying what the company actually holds
For each material crypto asset, record the quantity, reported value and valuation date. Then establish whether the assets are corporate treasury reserves, customer assets, collateral, inventory, or held through a subsidiary. Those categories can have different implications for liquidity, accounting, and who bears a loss.

- Concentration: Identify the share of treasury assets tied to each token and whether the company’s operating prospects depend on the same crypto market.
- Custody and control: Find the custodian, who controls the keys, how access is divided, and what recovery procedures are disclosed.
- Restrictions: Check whether tokens are pledged, lent, committed to a product, or otherwise unavailable for ordinary corporate use.
- Reporting: Reconcile announcements with the latest periodic filing and subsequent material-event disclosures. Note the reporting date; token values can change materially between that date and publication.
Fold Holdings’ 2025 Form 10-K says its Investment Treasury held 827 bitcoin as of March 17, 2026. The company also describes possible sales for corporate purposes, collateralized financing, product-reserve collateral, and income opportunities. The figure is a dated holding disclosure, not a measure of cash on hand or recurring income. Read Fold’s Form 10-K.

Trace how purchases were funded—and what they obligate the company to do
A company can acquire crypto using existing cash, operating cash flow, equity issuance, debt, mining production, asset sales, or a mix of sources. The source matters: equity issuance can dilute shareholders; debt creates interest and maturity obligations; collateralized borrowing can expose assets to liquidation or collateral demands; mining production depends on the economics and operating risks of mining.
Compare financing costs and maturities with available liquidity and expected cash needs. Look for covenants, refinancing dependence, preferred obligations, and any reliance on future capital raises. Consider whether funding operations by selling tokens could crystallize losses, reduce future exposure to price gains, or disrupt a stated treasury plan.
Company filings illustrate different approaches without establishing which is superior. American Bitcoin Corp.’s 2025 Form 10-K describes a $100 million Bitcoin treasury strategy announced September 15, 2025, funded through an at-the-market equity program and bitcoin generated from mining. It also says the company publishes weekly holdings; that cadence is useful context, but weekly snapshots do not replace periodic financial reporting. Read American Bitcoin’s Form 10-K.

Separate operating revenue, treasury gains, and cash
Do not treat “revenue,” “yield,” derivative proceeds, realized gains, unrealized fair-value changes, and token-sale proceeds as interchangeable. Read the accounting policy and financial statements to see how the issuer defines and presents each item, then compare them with the cash-flow statement. A reported gain can raise earnings without providing cash for payroll, interest, or debt repayment.
Build a simple bridge using separate lines for:
- Core business revenue and operating cash flow.
- Realized gains or losses when crypto is sold or a position is otherwise closed.
- Unrealized fair-value changes on assets still held.
- Derivative results, including premiums received and losses on contracts.
- Cash proceeds from token sales, which are not the same thing as operating revenue.
Then ask whether ordinary operations can cover expenses and financing costs without favorable token prices or repeated capital raises. A 2025 SEC-filed annual report explicitly notes that unrealized gains can coexist with negative cash flow: improving reported results does not necessarily improve the company’s ability to pay near-term obligations.
Check what a company means by “yield” or trading proceeds
Determine whether a stated return recurs, whether it is net of fees and losses, and whether it is paid in cash or tokens. Also ask what risk produced it: lending, staking, derivatives, or trading activity can create counterparty, market, liquidity, or operational exposure.

CleanSpark, Inc.’s Form 10-K for the fiscal year ended September 30, 2025, reports approximately $12.1 million in proceeds from premiums and incremental Spot+ trading. It describes covered calls and put options collateralized by treasury Bitcoin. The filing explains that rising Bitcoin prices can result in realized losses on written calls while the underlying Bitcoin increases in value. These are company-specific reported proceeds and accounting explanations—not a general measure of treasury revenue, net recurring income, or proof that the strategy hedges risk in every market. Stress-test liquidity, access, and controls
Price volatility is only one part of crypto risk. The SEC’s investor materials identify risks that include illiquidity, legal or regulatory changes, counterparty failure, hacking, malware, and potential loss. SEC investor alert on crypto asset securities and SEC investor bulletin on crypto interest-bearing accounts.
Test the strategy against several conditions: a steep token-price decline, a sharp drop in trading liquidity, a custodian or counterparty failure, derivative losses or collateral demands, and an inability to issue new capital. For each scenario, determine which expenses can still be paid, which obligations come due, and which assets can be liquidated without disrupting operations.

Disclosed controls show what a company says it does; they are not independent proof that those controls work. A strong evaluation distinguishes documented procedures from verified operating effectiveness.

For a U.S. issuer, read the financial-statement accounting policy, valuation inputs, risk factors, management discussion, and cash-flow statement for the specific reporting period. Record the accounting treatment and date rather than assuming that every token, transaction, or issuer is treated the same way.
The SEC’s crypto-asset resource page lists a March 2026 interpretive release and September 2026 staff FAQs. The interpretation was issued March 17 and became effective March 23, 2026; it provides a token taxonomy and addresses staking and wrapping. SEC Chairman Paul S. Atkins said in the March 17 release, “This is what regulatory agencies are supposed to do: draw clear lines in clear terms.” That statement describes the purpose of the interpretation; it does not guarantee a settled outcome for every asset or transaction. Read the SEC interpretation and the SEC’s March 17, 2026 press release.

The SEC’s September 2026 FAQs are staff views, not a rule or regulation, and do not create new obligations. The SEC’s January 2025 Staff Accounting Bulletin 122 rescinded SAB 121’s interpretive guidance about entities’ obligations to safeguard crypto-assets held for platform users. Do not present SAB 121 as current SEC staff guidance without explaining that rescission. These materials do not settle every issuer’s accounting treatment or every jurisdiction’s rules. See the SEC’s crypto-asset resource page and the Staff Accounting Bulletin index.
