The CFTC administers the Commodity Exchange Act (CEA), including its rules for commodity derivatives and other activity within its statutory authority. A crypto asset’s label—or the fact that it uses a blockchain—does not settle which laws apply; the asset, the transaction, and the conduct must be considered separately.
Which U.S. agency regulates which crypto activities?
The practical distinction is between the legal character of an instrument and the activity involving it. The SEC’s focus is securities and conduct governed by federal securities laws. The CFTC’s focus is the CEA, particularly commodity derivatives and other markets or conduct within that law’s reach. A single crypto ecosystem can raise questions for both agencies without every token or transaction being subject to both agencies’ rules.

When does the SEC regulate crypto?
The SEC’s April 2026 educational guidance says the agency regulates offers and sales of all securities, including crypto assets when they are securities. It also explains that a crypto asset that is not itself a security may be sold as part of an investment contract. That distinction matters: an analysis should consider both the asset and the offer or sale involving it.
The U.S. Supreme Court’s Howey test remains binding legal precedent for determining whether an arrangement is an investment contract. The SEC-CFTC interpretation issued March 17, 2026, and effective March 23, 2026, discusses how that analysis applies to crypto but does not replace the test. Whether an investment contract exists depends on the facts, including the relevant promises and the efforts of others.

When does the CFTC regulate crypto?
The CFTC administers the CEA. The joint March 2026 interpretation says some crypto assets that are not securities may nevertheless qualify as commodities under that law. Whether the CFTC has authority over a particular activity is a separate question from whether the asset is a commodity: the activity must also fall within the CEA’s statutory scope.
For that reason, distinguish spot transactions from futures, swaps, and other derivatives. Do not infer from a commodity classification alone that all spot trading is regulated in the same way as a commodity derivatives market.

How the March 2026 interpretation groups crypto assets
The joint SEC-CFTC interpretation describes five categories. These categories help frame the analysis; they are not a shortcut around the facts of a particular asset, offer, or market activity.

The interpretation also addresses protocol mining, protocol staking, wrapping, airdrops, and circumstances in which a non-security crypto asset may become subject to—or cease to be subject to—an investment contract. Those topics turn on their specific facts; the category name alone does not resolve the legal question.

How to assess a crypto activity
For a practical first pass, separate the asset or instrument from the conduct involving it. Ask:
- What rights and function does the asset have? Consider what it represents and what holders can do with it, rather than relying on its marketing label.
- What was promised, and by whom? Examine an issuer’s, promoter’s, or other party’s promises and managerial efforts relevant to the offer or arrangement.
- What transaction or conduct is at issue? Identify whether the question concerns an offer or sale, a secondary transaction, or another activity.
- Is the activity spot or a derivative? Distinguish ordinary spot activity from futures, swaps, or other derivatives before drawing conclusions about the CEA.
- What is the authority of the source being relied on? Separate binding law and precedent from an agency interpretation and from nonbinding staff views.
This framework can identify the relevant questions, but it cannot classify every named token or protocol without the full facts and current law. The 2026 interpretation itself notes that crypto analysis can be challenging because assets, network functionality, control, and associated conduct vary.

How much weight should you give the latest SEC materials?
The joint interpretation is current agency guidance, effective March 23, 2026, and it preserves Howey as binding precedent. SEC Division of Corporation Finance FAQs issued September 25, 2026, may explain the staff’s reading of the interpretation, but the SEC page describes them as staff views—not a rule, regulation, or Commission statement—and says they create no additional obligations.
