Start with the SPAC’s latest SEC transaction filing—not the announcement or investor presentation—and trace the deal’s terms, dilution, financing, crypto exposure, and shareholder deadlines. That filing, together with its amendments and related reports, is the core record for deciding whether to vote, redeem, remain invested, or wait for more information. A crypto SPAC merger is not one uniform kind of investment: the target’s business, the deal structure, and the shareholder’s choices all need to be assessed on their own facts.
Which documents should you read first?
Use the SEC’s EDGAR company search to find the SPAC’s filings. Start with its IPO prospectus and subsequent periodic and current reports, then locate the latest filing for the proposed transaction. Depending on the structure, that may be a proxy statement/prospectus, information statement/prospectus, or tender offer statement. Read amendments and updates as well as the original document; material deal terms and deadlines can change.
The SEC explains that a SPAC is typically a shell company that later combines with an operating business. After the transaction, the resulting public company carries on the target’s business. The investment therefore changes from an interest in a trust-backed shell to ownership in an operating company with a different risk profile.
The transaction filing is where to look for the target’s business and financial statements, deal terms, transaction history and negotiations, financing, shareholder and redemption rights, parties’ interests, and the board’s determination. A press release, presentation, or sponsor interview can help you understand the pitch, but it is not a substitute for these filed disclosures.

Check what each headline claim actually represents
For every prominent claim about revenue, users, customers, token holdings, or profitability, find its source in the filing. Establish whether it is historical data, a management estimate, or a forward-looking projection. If a claim does not appear in the filed record, do not treat the presentation alone as verification.
How do sponsor incentives and dilution affect the deal?
Work out who receives what at closing, not just how much cash appears to be in the SPAC’s trust. Review sponsor promote and other securities issued for nominal consideration, sponsor or affiliate compensation, conflicts, side agreements, and any additional financing. The SEC cautions that sponsors may have more favorable economics than public shareholders and may benefit from completing a transaction on terms less favorable to those shareholders.
Use the transaction’s disclosed capitalization to compare the public shares and trust with the fully diluted post-close share count. Include warrants, earnouts, PIPE or other financing, debt, and transaction expenses where disclosed. Sponsor-linked financing can dilute public holders further or give its providers different rights. The trust amount is not automatically the cash the combined company will have available after closing.

The SEC’s SPAC rules adopted in 2024 enhanced disclosure requirements concerning sponsor compensation, conflicts, dilution, target information, and projections. Those rules became effective July 1, 2024. Use the deal’s actual disclosures to calculate its economics rather than assuming any one structure applies to every SPAC.

Treat forecasts for revenue, user growth, token adoption, or margins as assumptions to test, not established results. Under the SEC’s 2024 rules, when projections are disclosed, the filing includes information about their purpose and preparer, their material bases and assumptions, and whether they reflect management’s or the board’s views as of the specified time.
Compare the assumptions with the target’s historical financials and evidence of customers, technical capacity, and funding runway. Identify whether forecast results depend on token prices, transaction volume, market share, regulatory approvals, or network growth. A detailed assumptions section helps explain how management constructed a forecast; it does not prove the assumptions will hold. Projections are not SEC-verified or guaranteed.

What crypto exposure does the target’s business actually have?
Begin with a simple question: what does the company sell, and who pays it? Distinguish recurring operating revenue from a financial condition that depends chiefly on crypto the company holds, token issuance, trading activity, staking, lending, or transaction fees. Then map its reliance on any particular token, blockchain, exchange, custodian, market maker, or protocol.
Follow that exposure through the business: how could a token’s price or liquidity affect revenue, cash needs, collateral, and ultimately the listed company’s value? Consider whether a network, service provider, or trading venue is important enough that disruption there could affect operations. SEC guidance identifies potential crypto-related disclosure risks including volatility, holder rights, valuation and liquidity, custody, technology, cybersecurity, business operations, network dependencies, and legal or regulatory issues.
The SEC’s investor alert also identifies risks such as illiquidity; custodian or counterparty failure or insolvency; opaque ownership or control; withdrawal restrictions; hacking; and gaps in investor protections. Which of these matters most depends on the target’s actual business and arrangements, so look for issuer-specific disclosures rather than treating “crypto company” as a complete risk description.

What do the financial statements and custody disclosures establish?
Read the target’s audited financial statements alongside the auditor’s opinion, notes, cash-flow information, debt, related-party transactions, and any going-concern disclosures. To understand custody and asset claims, determine what the company legally owns, where assets are held, who controls the keys, whether assets are pledged or lent, and whether customer assets are separated from company assets.
Do not confuse a financial statement audit with a proof-of-reserves report or on-chain snapshot. The SEC cautions that proof-of-reserves reports are not equivalent to financial statement audits performed by independent registered public accounting firms under SEC and PCAOB rules and standards. A reserve report may not establish that an entity has enough assets to back customer balances or reveal its liabilities. It is not a substitute for audited statements or full disclosure of liabilities.

Find the transaction’s exact redemption deadline and procedures, per-share trust amount, voting mechanics, extension terms, and closing conditions. The SEC says SPAC shareholders typically may redeem for their pro rata share of trust funds or remain invested, but the specific filing controls the actual mechanics and available choices.

Compare the disclosed redemption amount and deadline with the risks and economics of staying invested. For the latter, use the post-close ownership and cash figures, sponsor economics, financing conditions, audited financial condition, crypto dependencies, custody arrangements, and evidence behind projections. Comparing headline share prices alone leaves out these deal-specific differences.
Do not assume an announced merger will close, that every transaction requires a shareholder vote, or that all shareholders receive identical treatment. Follow amendments and closing updates in EDGAR, and use the current filing to confirm how the deal affects your own choice and timing.
What regulatory questions should you check?
Crypto’s legal treatment depends on the asset, offering, and activity involved. In an interpretation issued March 17, 2026, the SEC and CFTC addressed crypto-asset categories and the application of federal securities laws to transactions and activities including staking. Consult the interpretation and the issuer’s disclosures for the specific issues raised by the deal; a label such as “crypto” or “utility token,” or the company’s own characterization, does not settle the legal analysis.
Regulatory status can change and is fact-specific. The useful question is not whether crypto businesses as a whole are compliant, but what legal issues the particular company’s assets and activities raise, what the filing says about them, and whether material uncertainties could affect its operations.

Build a short, deal-specific comparison before acting. Record the filing date and any amendments so you know which version supports each figure, then use the document’s own terms rather than estimates drawn from a general SPAC pattern.
- Transaction record: Identify the latest proxy/prospectus or equivalent filing and any pending updates.
- Shareholder choice: Record your redemption value, procedure, deadline, voting terms, and relevant closing conditions.
- Ownership and cash: Compare public shares and trust with fully diluted post-close ownership, expected cash availability, debt, and financing conditions as disclosed.
- Incentives: Note sponsor and affiliate compensation, conflicts, securities, and rights that differ from public holders’.
- Business evidence: Separate operating results from forecasts and identify the assumptions most important to the target’s outlook.
- Crypto dependencies: Trace the effect of relevant token, network, exchange, custodian, or protocol risks on revenue, assets, liquidity, and operations.
- Asset and audit evidence: Check audited statements and custody arrangements; do not treat proof of reserves as a financial statement audit.
The SEC’s SPAC investor bulletin says a SPAC will typically provide a two-year period to identify and complete a de-SPAC transaction, but it can be as long as three years. That is general SEC guidance, not a promise about any particular SPAC: use its governing documents for its actual deadline and terms.
