The broker coordinates the deal; it does not operate the truck or itself transport the freight. In the United States, businesses conducting covered brokerage activity need authority from the Federal Motor Carrier Safety Administration (FMCSA).
How freight brokerage works
A brokered shipment involves at least three parties: the shipper, the broker and the motor carrier. The shipper has freight to move; the broker arranges transportation with a carrier; and the carrier performs the haul. The broker may have one contract with the shipper and a separate contract with the carrier. FMCSA explains this basic structure in its broker guidance.
In practice, a broker helps match a transportation need with a carrier able to handle it, documents the transaction and records its compensation. The precise sequence, software, pricing method and communications vary; federal rules define the parties and required records, not a single workflow every brokerage must follow.
What a freight broker does—and does not do
FMCSA describes a broker as the “middle person” between a shipper and a motor carrier. The broker arranges transportation but does not transport the property, operate motor vehicles or provide drivers. It does not assume responsibility for the cargo being transported. The carrier, by contrast, performs the transportation.

These distinctions matter because the labels are not interchangeable:

A broker also is not automatically the same as a carrier’s bona fide agent or a dispatch service. FMCSA’s 2023 final guidance clarifies the definitions and when operations require broker authority. Classification depends on the actual arrangement and its facts, so a business should not rely on its chosen label alone.

U.S. broker authority and financial security
For covered U.S. brokerage activity, FMCSA requires broker authority and financial security. Its registration materials describe applying through the agency’s registration system, submitting a BOC-3 process-agent filing, and providing either a BMC-84 surety bond or a BMC-85 trust fund agreement. FMCSA lists a $75,000 financial-security amount.
FMCSA’s registration page lists a $300 nonrefundable application fee and an estimated processing time of approximately four to six weeks; the page was last updated May 22, 2023, so those figures may have changed. Check the current broker registration instructions before applying.

Financial-responsibility rules changed on January 16, 2026. FMCSA’s current materials say a trust fund must contain $75,000 in eligible assets that can be liquidated to cash within seven calendar days. Eligible categories include cash, qualifying irrevocable letters of credit and Treasury bonds. Trust-provider eligibility and transition issues are also addressed in the agency’s current materials. Because these are compliance requirements that can change, consult FMCSA’s financial-responsibility requirements and broker and freight forwarder financial-responsibility FAQs before choosing or filing financial security.

- The consignor’s name and address.
- The originating carrier’s name, address and registration number.
- The bill of lading or freight bill number.
- The broker’s compensation and who paid it.
- Freight charges collected and the date the carrier was paid.
FMCSA’s broker operational guidance says these records must be retained for three years, and parties to the brokered transaction have the right to review the transaction record. The requirement documents compensation; it does not establish a typical brokerage margin or earnings figure.

What to check when dealing with a broker
- Confirm the role: determine whether the business is arranging the shipment as a broker, moving it as a carrier, or operating as a freight forwarder.
- Check authority and filing details: for a U.S. broker, use FMCSA’s current registration and financial-responsibility information rather than relying on an old fee or filing summary.
- Understand the transaction terms: identify the shipper-broker and broker-carrier arrangements and how compensation and freight charges are documented.
- Know the record rights: FMCSA says parties to a brokered transaction may review the transaction record.
