But a merger alone does not prove that prices rose or service declined. The likely effect depends on which freight services and lanes the firms competed for, what alternatives remain, and what happens to rates and service terms after the deal.
How could a freight broker merger affect rates?
When two brokers compete for the same shipper business, combining them removes that direct rivalry. If the remaining brokers are less attractive or less available for the same shipments, shippers may have less leverage to negotiate rates and other terms. U.S. merger agencies assess whether a proposed deal may reduce competition, including through higher prices or lower-quality services; they do not treat every merger as proof of harm. The effect is not necessarily uniform across shipments. A broker may face strong competition for some services or lanes and fewer credible alternatives for others. A national market-share headline cannot answer whether competition is limited in the particular market that matters to a shipper.
Can a merger affect service, not just price?
Yes. Competition can constrain quality and choice as well as price. Relevant questions include whether shippers still have brokers that can cover their lanes and service needs, whether the merging firms offered meaningfully different services, and whether the merged company could affect access to services that rival brokers rely on to compete. These are ways to assess potential effects, not evidence that a particular deal caused service failures.

For a specific transaction, compare service terms and outcomes over comparable periods and account for market conditions. Useful measures may include tender acceptance, coverage, accessorial charges, and other service-quality measures, alongside the prices and terms shippers were offered.
Why market definition matters
Before interpreting market shares or concentration, identify the services and geographic areas in which customers can realistically switch among suppliers. The Department of Justice’s 2023 Merger Guidelines explain that market definition has both service and geographic dimensions. Relevant considerations can include customers’ willingness or ability to substitute, suppliers’ ability to serve an area, transportation costs, regulation, and local service availability.

In practice, do not assume every broker competes equally for every shipment. Define the relevant brokerage services, customer groups, and lane or geographic markets before drawing conclusions from shares. The DOJ says concentration measures are most informative when the market captures the products or services at the center of the competitive concern; a market drawn too broadly can understate the significance of the firms that are merging. Any published share or concentration calculation should identify its market definition, data source, and period. See the DOJ guidelines on market definition and concentration.
What other competitive risks should be examined?
Fewer meaningful rivals and coordination
A smaller group of meaningful competitors can make coordination concerns more relevant, particularly where there is evidence such as prior attempts to coordinate or a deal removing a disruptive competitor. The DOJ’s guidelines also identify broader industry consolidation as a factor that can heighten concerns about lost rivalry, coordination, and reduced entry. These are factors to test against evidence; a merger does not establish that coordination occurred.

Bargaining leverage and wider consolidation
A merger may change a broker’s bargaining position with trading partners. The DOJ’s guidance on assessing competitive effects describes a possible dynamic in which firms consolidate to gain leverage over counterparts and other firms respond by consolidating. For freight brokerage, that is a mechanism to investigate in the relevant market—not proof of a sector-wide cycle.
Entry, switching, and access
Assessment should also consider whether new or existing competitors can enter or expand, how readily shippers can switch, and whether access to capacity or services affects rivals’ ability to compete. A count of brokers alone does not show whether alternatives are practical for a shipper’s particular needs.

How to assess a specific freight broker deal
A transaction-specific conclusion needs deal and market evidence, not just the announcement. Gather and document:
- Transaction details: buyer, seller, announcement and closing dates, and any regulatory action or remedy.
- Overlap: the services, customer groups, lanes, and geographies where the two firms competed.
- Market measures: each party’s share or another suitable measure, with the market definition, source, and year stated.
- Direct rivalry and alternatives: evidence that the firms bid against one another or served the same customers, and which alternatives customers could realistically use.
- Rates and service terms: comparable before-and-after pricing, accessorial charges, service terms, tender acceptance, coverage, and quality measures, interpreted in light of market conditions.
- Competitive constraints: evidence about entry, switching, capacity access, differences in the firms’ competitive incentives, and relevant consolidation history.
This checklist follows the agencies’ merger-analysis framework; it does not imply that these data are publicly available for every transaction. The federal framework is forward-looking and fact-specific: the FTC describes merger review as examining whether a proposed merger may reduce competition and lead to higher prices, lower-quality services, or less innovation. The DOJ and FTC say their analysis considers the totality of available evidence in the 2023 Merger Guidelines.

Broker registration is a separate question
For interstate brokerage, 49 U.S.C. § 14916 generally requires a person acting as a broker to be registered under § 13904 and to comply with the financial-security requirements in § 13906, subject to specified exceptions. Those requirements concern registration and financial security; they do not establish that a broker’s rates are competitive or that its service is good.
