Evaluate a refinery investment by defining exactly what you would own, modeling the refinery’s sustainable cash flow, and testing whether the price and financing still work under adverse conditions. Nameplate capacity, a single year’s margin, or a headline crack spread cannot establish value on its own: realized returns depend on the refinery’s feedstocks, yields, reliability, costs, logistics, capital needs, financing, and regulatory exposure.
What exactly are you investing in?
Start with the legal and economic perimeter of the investment—not the refinery’s name or advertised capacity. You might be buying a direct interest in an asset, shares in its operating company, or shares in a diversified public company that owns refineries alongside other businesses. Those investments confer different rights and expose you to different liabilities.
For a private asset or company interest
- Identify the legal owner, operating entity, assets included in the sale, and any assets excluded or shared with another business.
- Review voting and control rights, distribution priorities, transfer restrictions, guarantees, and obligations to contribute more capital.
- Establish who bears debt, working-capital needs, environmental obligations, and eventual closure or decommissioning costs.
- Check whether pipelines, terminals, storage, utilities, product marketing, or offtake agreements are included, separately owned, or available only under contract.
For a listed-company investment
Determine how much of the company’s value and cash flow comes from refining, what debt and other businesses sit at the corporate level, and how management allocates capital among them. Consolidated company value is not the same as the value of its refineries. Phillips 66’s Form 10-Q for the quarter ended March 31, 2026, and Marathon Petroleum’s 2025 filings illustrate that refining sits within wider business and capital-allocation structures.
What drives a refinery’s cash flow?
Model the actual plant and the markets it can reach. A benchmark refining margin is only a reference point; the refinery’s realized economics can differ because of its crude mix, product yields, operating costs, inventory accounting, and local market conditions.

Feedstocks and delivered cost
Establish which crude grades and other feedstocks the refinery can process, the delivered cost of each, and whether its access to ports, pipelines, storage, or supply contracts is dependable. A discount to a benchmark crude price is valuable only if the plant can consistently obtain and process the relevant grades at an advantageous delivered cost. CVR Energy’s 2025 Annual Report identifies crude differentials and the conditions behind historical discounts as factors that can affect margins, earnings, and cash flow.
Product mix and market access
Estimate the saleable products produced from the refinery’s feedstock slate and the value those products can capture in the markets the refinery actually serves. Phillips 66 identifies product yield and market capture as return drivers. Check the cost and capacity of moving products to buyers, along with exposure to pipeline constraints, interrupted offtake, imports, exports, and tariffs.
Throughput, utilization, and reliability
Review actual throughput, planned turnarounds, unplanned downtime, and reliability history. Distinguish nameplate capacity from the volume the refinery can sustain after maintenance and operating interruptions. Higher utilization does not automatically mean higher profitability: compare it with realized margin, operating cost, asset condition, and required capital.

Margins and costs
Reconcile the operator’s definition of refining margin before using it in a model or comparing it with another company’s figure. Check how the reported measure treats crude mix, crude costs, yields, intersegment sales, inventory valuation, operating expenses, and other adjustments. Marathon Petroleum says its reported refining and marketing margin differs from market indicators because of factors including crude mix, market structure, RIN prices, yields, and inventory valuation. HF Sinclair’s 2025 Annual Report provides another example of why operating and margin measures need definition-by-definition comparison.

How should you value a refinery?
Use a valuation method only after you have an asset-specific operating case. A discounted cash flow model is one way to translate expected cash generation into an estimated value; its result is only as credible as its assumptions about operations, capital, market conditions, and liabilities.

- Set a realistic operating baseline. Forecast throughput and utilization from asset capability, maintenance plans, reliability, and market access—not nameplate capacity alone.
- Estimate realized revenue and margin. Model the feedstock slate, delivered differentials, product yields, product values, and relevant costs. Reconcile the model with the operator’s reported definitions.
- Deduct operating and investment needs. Include fixed and variable costs, sustaining and reliability capital, turnaround timing, compliance projects, working capital, taxes, and any environmental obligations that belong to the investment.
- Set out the financing and ownership economics. Distinguish cash flow available to the asset from cash flow available to equity holders. Account for debt service, funding obligations, distribution rights, and transaction structure.
- Value more than one scenario. Vary crude and product prices, crack spreads, crude differentials, throughput, costs, and capital needs. Report a range of outcomes and identify which assumptions have the greatest effect on value.
Be precise about the return you report: asset-level or equity-level, levered or unlevered, pre-tax or after-tax, and nominal or inflation-adjusted. Do not present a universal refinery valuation multiple or typical return as an established benchmark; the reviewed company disclosures do not establish one.
How should capital spending affect the investment case?
Separate spending that keeps the plant safe and reliable from compliance spending and discretionary growth projects. A refinery can appear inexpensive if its required maintenance or regulatory investment has been deferred.

- Sustaining and reliability spending: Test whether the forecast includes the work needed to maintain safe, dependable operations and realistic throughput.
- Compliance spending: Identify applicable emissions and other regulatory requirements, their timing, and the cash the investment must provide.
- Growth and optimization projects: Require a clear explanation of how a project is expected to improve reliability, cost position, product yield, product value, or market access, and compare the expected benefit with cost, timing, and execution risk.
Phillips 66 describes prioritizing low-capital, higher-return projects aimed at reliability and market capture. Marathon Petroleum’s 2025 Form 10-K describes projects involving optimization, higher-value products, residue upgrading, and export capacity. These are examples of stated investment rationales, not evidence that a particular project will achieve its forecast return.

Which risks belong in the downside case?
- Margin and commodity risk: Test narrower product spreads, changes in feedstock costs, weaker product demand, and regional oversupply. Refining margins can move with supply and demand, inventories, operations, and utilization.
- Feedstock and differential risk: Test whether a change in crude discounts, quality advantages, or supply availability erases the refinery’s cost advantage. Do not assume a historical differential will persist.
- Operating interruptions: Include planned maintenance and possible unplanned outages, weather, fires, labor or materials shortages, and reliability failures that reduce throughput or increase cost.
- Logistics and market access: Test disruptions to supply, pipelines, product offtake, imports, exports, or other routes to market, as well as changes in trade policy.
- Capital and liquidity pressure: Examine whether weak margins combined with maintenance or compliance needs could force additional borrowing, deferred spending, reduced distributions, or other changes to the capital plan. CVR Energy reported suspending its cash dividend and deferring growth spending amid adverse conditions; that is a company-specific example, not a forecast for other refiners.
- Policy and transition exposure: Assess the rules applicable to the particular asset and jurisdiction, including emissions requirements and carbon costs where relevant, as well as possible effects on demand or market access. BP’s 2025 Annual Report and Form 20-F describe carbon-cost treatment in certain investment cases and identify policy and transition shifts as risks to hydrocarbon business value; applicable rules and impacts vary.
- Geopolitical and economic exposure: Consider sanctions, trade policy, regional market conditions, and economic changes that could affect supply, prices, or access to customers.
Use multiple price and margin paths rather than relying on one forecast. Shell’s 2025 Annual Report describes using short-, medium-, and long-term uncertainty ranges in project and portfolio evaluation; BP describes comparing investment cases under alternative commodity assumptions.

Company disclosures can help illustrate operating performance, but their figures are specific to the company and its definitions. Utilization is not a return measure, and reported margins should not be treated as directly comparable without reconciling what each company includes.

Neither company’s utilization figure is a sector-wide target, and the figures do not establish a typical investment return. Use them as company disclosures, not as substitutes for diligence on the asset under consideration.

How can you compare two refinery investments fairly?
Put the opportunities on the same basis and period before comparing them. Definitions matter as much as headline values.
- Ownership, control, distribution rights, and liabilities included in the transaction.
- Feedstock access, delivered cost, and crude differentials.
- Product slate, yields, and access to end markets.
- Utilization, throughput, turnaround schedule, and reliability.
- Normalized margin and operating costs, reconciled to each company’s definition.
- Sustaining, reliability, compliance, and growth capital.
- Logistics, leverage, liquidity, and funding obligations.
- Regulatory, emissions, transition, and geopolitical exposure.
What should stop you from treating an offer as fairly valued?
- The investment perimeter or liability allocation is unclear.
- The forecast uses nameplate capacity as if it were sustainable throughput.
- A single favorable year, benchmark spread, or historical crude discount is treated as a durable earnings level.
- Reported margins or utilization figures are compared without reconciling definitions, periods, and scope.
- Required maintenance, compliance work, turnaround timing, or working capital is missing from the cash-flow case.
- Growth projects are credited with their forecast benefits without examining cost, timing, execution, and downside cases.
- The return presented does not say whether it is asset- or equity-level, levered or unlevered, or before or after tax.
What can be concluded without a specific deal?
A refinery’s value and return cannot be determined from sector-wide figures alone. They depend on the specific asset, transaction price, ownership rights, liabilities, operating plan, and financing. A sound evaluation makes those inputs explicit, shows how cash flow changes across plausible conditions, and tests whether the investment remains viable when operating and market assumptions deteriorate.
