It may set out each company’s intended role, resources, work-sharing, funding, and plans for a more detailed agreement. But the title “MOU” does not decide whether any promise is legally enforceable: the wording, the parties’ intent, the applicable law, and the circumstances all matter.
Before signing or starting work, identify which clauses are intended to bind the companies, what each must do, and what happens if a party does not perform. There is no universal rule that makes every manufacturing MOU either binding or non-binding.
What a manufacturing MOU can cover
The parties choose what to include. An MOU can describe the purpose of a proposed manufacturing relationship and how the companies expect to contribute. For example, it may identify a coordinating company, outline shared tasks or resources, and say whether either party expects to fund work.
Canadian Department of National Defence MOU guidance includes work-sharing and financial arrangements, such as a financial framework and funding arrangement. An MOU may stay at the level of broad principles and leave detailed responsibilities to a later agreement. In its international law-enforcement context, a Philippine National Police circular distinguishes an MOU addressing general principles from an MOA that describes specific responsibilities or actions and possible recourse for non-compliance. That distinction illustrates one drafting approach; it is not a universal legal definition for commercial manufacturing.
Do not assume that anticipated production, pricing, delivery dates, quality standards, tooling, or minimum volumes are enforceable just because they appear in an MOU. If the companies need those terms to be binding, they should state them clearly in the appropriate definitive agreement and have the wording reviewed under the applicable law.

Does a manufacturing MOU legally bind the companies?
There is no universal answer based on the document’s name. Government guidance sometimes describes MOUs as non-binding within a particular setting. Australia’s Department of Foreign Affairs and Trade says that an instrument of less-than-treaty status, commonly an MOU in that context, is intended to express political commitment without creating legal rights or obligations of its own force. UK Department for Education guidance describes an MOU in a school-partnership context as a statement of serious intent with moral force, rather than a source of legal obligations. Neither statement establishes a rule for private manufacturing companies.
In the UK, the Single Source Regulations Office explains that contract formation normally involves offer and acceptance, consideration, and an intention to create legal relations. It also cautions that an arrangement intended to move parties toward a later contract—sometimes called an MOU or comfort letter—may itself be a contract if the usual requirements are met. A UK government guide on knowledge assets likewise warns that MOU wording can unintentionally create binding terms.

Different provisions in one document may have different effects. Hong Kong Department of Justice commentary notes that parties can describe substantive commitments as non-binding while making procedural provisions, such as confidentiality, binding. Whether that approach works in a specific case depends on the actual text and applicable law.

What to clarify before signing or starting work
- Mark binding and non-binding clauses. State plainly which provisions create obligations and which only record intentions. Do not rely on “MOU” in the title to communicate that distinction.
- Describe contributions. Name each company’s role, expected resources, and any work-sharing arrangement. If a contribution is only an expectation, say so rather than presenting it as a definite duty.
- Explain funding. If either company is expected to pay for work, specify the proposed financial framework, how funding decisions will be made, and whether and how costs will be reviewed or reconciled.
- Set limits for information sharing. Before technical exchanges, address what confidential information, trade secrets, data, or intellectual property may be shared, for what purpose, and under what confidentiality and use restrictions. The UK knowledge-asset management guidance highlights the risks of sharing knowledge assets before more formal agreements are in place.
- Identify governing law and the route to a definitive contract. If a company expects the MOU to authorize production, spending, technical disclosure, or other work before a fuller agreement is signed, get jurisdiction-specific legal review before acting.
How to compare two proposed MOUs
When reviewing alternative drafts, compare their actual commitments rather than their titles or overall labels.

The cited guidance does not establish a standard manufacturing MOU form or provide statistics on how often these agreements are enforced. A general guide also cannot determine a specific company’s obligations without the document, its governing law, and the transaction facts.
