Micro-cap stocks generally represent the smaller, less liquid, and higher-risk end of publicly traded companies; small-cap stocks are a broader category whose boundaries depend on the index or data provider. There is no universal market-cap cutoff separating them. The U.S. Securities and Exchange Commission (SEC) gives below $250 million or $300 million as a typical micro-cap convention in its 2013 investor guide—not a binding or current market-wide rule.

What do micro-cap and small-cap mean?

Both labels describe a company’s size by market capitalization, not its share price or the exchange where its stock trades. The SEC generally defines market capitalization as the market value of a public company’s shares, calculated by multiplying outstanding shares by the market price per share. There is no single universal boundary between micro-cap and small-cap. In its September 17, 2013 investor guide, the SEC says a typical definition of micro-cap is a company with a market capitalization below $250 million or $300 million. The guide says companies below $50 million are sometimes called nanocaps and uses “microcap” to include them. A 2016 SEC bulletin also describes companies below $250 million or $300 million as often called microcaps. These are dated conventions, not formal classifications that every provider follows.

Small-cap ranges vary by index and data provider. One commonly used U.S. benchmark, the Russell 2000, measures the small-cap segment of the U.S. equity universe. Its membership is determined by index rules, not by a universal dollar threshold. FTSE Russell says the Russell indexes are fully reconstituted annually in June, with semiannual December reconstitution beginning in 2026. Check the provider’s current Russell 2000 information when a precise benchmark definition matters.

How do micro-cap and small-cap stocks differ?

Dimension Micro-cap stocks Small-cap stocks
Company size Typically among the smallest public companies. The SEC’s 2013 guide gives below $250 million or $300 million as a typical convention. A broader segment of smaller companies; the Russell 2000 is a prominent U.S. small-cap benchmark.
Trading venue Many trade over the counter (OTC), but not all do. Benchmark universes such as the Russell 2000 draw from securities eligible under the index’s rules.
Company information Information may be limited, and some issuers do not file periodic reports with the SEC. There may be more public-company coverage, but disclosure and analyst attention vary by issuer.
Liquidity and volatility Often lower trading volume and liquidity; a trade can have a large effect on the share price. Can also be more volatile and less liquid than large-cap stocks.
Manipulation exposure Limited information and promotional activity can make manipulation easier. Small-cap status does not imply fraud, though smaller issuers may have fewer resources or less analyst coverage.

These are category-level tendencies, not guarantees about any company. Market capitalization, venue, disclosure status, trading volume, and investment risk are related considerations but separate facts to verify for each issuer.

Are micro-cap stocks riskier than small-cap stocks?

Generally, micro-caps carry greater practical risks because they can combine sparse public information, low trading volume, and greater susceptibility to promotional schemes. The SEC’s 2013 guide states: “While all investments involve risk, microcap stocks are among the most risky.” That is a broad warning about the category, not a ranking that proves every micro-cap is riskier than every small-cap.

Small-cap stocks are not low-risk simply because they are larger than micro-caps. Smaller companies can have less liquidity and more share-price volatility than large companies, and an individual small-cap issuer can still face serious financial or disclosure problems.

Low volume can make it difficult to buy or sell at a desired price. A large order relative to the available trading activity may move the price, and a quoted price may not be a reliable indication of what a substantial trade will receive. Do micro-cap stocks trade OTC?

Many do, but OTC is a trading venue, not another name for micro-cap. Some micro-cap stocks trade on exchanges, and some OTC securities may fall outside the micro-cap convention. Determine the venue and the company’s market capitalization separately.

For OTC securities, current public company information can affect liquidity. The SEC’s Over-the-Counter Securities resource explains the role of company information in OTC trading. If an issuer does not file reports with the SEC, the SEC guide notes that a broker may have a Rule 15c2-11 file; such information may be stale or inaccurate.

What should you check before buying a micro-cap stock?

Use primary company disclosures where available, and treat promotional claims as leads to verify rather than evidence. The SEC cautions that it cannot guarantee the accuracy of companies’ filings, so even official documents do not eliminate investment risk.

  1. Confirm the issuer and its disclosures. Check whether the company is registered with the SEC and review its latest available annual, quarterly, and event filings. Compare promotional claims with the company’s own disclosures.
  2. Understand the business and finances. Look for a clear account of the products or services, operating history, revenue, cash position, debt, and whether financial statements are audited. Identify what is missing or difficult to verify.
  3. Assess trading conditions. Review trading volume and the bid-ask spread. Consider whether your order could be large relative to normal trading activity and whether a market order could have an outsized price effect.
  4. Check that information is current. For an issuer with little or no SEC reporting, do not treat a broker’s Rule 15c2-11 file as a substitute for current, verified company disclosures; the SEC warns such information may be stale or inaccurate.
  5. Look for promotional red flags. Be skeptical of unsolicited emails or online posts, paid stock promoters, high-pressure cold calls, questionable press releases, guaranteed-return promises, urgency, or claims of inside information. The SEC guide describes how promotional campaigns can be connected to pump-and-dump schemes.

These checks can help you identify gaps and warning signs, but they cannot guarantee that information is accurate or that an investment will perform well. The SEC’s 2016 microcap stock bulletin also discusses limited information and risks associated with micro-cap stocks.
