When a company funds an acquisition by issuing shares, the new shares give the target’s former owners a stake in the combined company. That can reduce the percentage ownership and voting influence of the acquirer’s existing shareholders. It does not, by itself, mean their shares lost the same percentage of economic value or that earnings per share (EPS) will fall.
How issuing shares changes ownership
Suppose an acquirer has A shares outstanding and issues N new shares to target shareholders. In a simple one-class example, the original acquirer shareholders collectively own A / (A + N) of the combined company after the issuance. A holder with h shares owns h / (A + N), compared with h / A before the deal.
The percentage-point change for that holder is the post-deal ownership percentage minus the pre-deal percentage. This arithmetic describes ownership, not a forecast of share price or value per share. A 2026 SEC-filed company risk disclosure identifies acquisition-related share issuance as a possible source of reduced ownership percentage or voting power, and notes that it may also affect EPS: SEC filing.
How to estimate your post-merger ownership
- Find your share count. Use the number of acquirer shares you hold, and determine whether the deal’s ownership figures refer to basic shares, fully diluted shares, or an as-converted basis.
- Find the shares issued as consideration. Review the merger agreement for the exchange ratio and the number of target shares eligible for the stock consideration. In a simple fixed-ratio deal, estimated new shares equal the exchange ratio multiplied by eligible target shares.
- Adjust for the actual terms. Cash elections, excluded shares, fractional-share rules, options, warrants, preferred stock, conversion rights, earn-outs, and other contingent securities can alter the result. Use the agreement’s definitions rather than assuming every target share converts identically.
- Divide by the pro forma total. For a simple single-class calculation, divide your unchanged acquirer share count by acquirer shares outstanding before the deal plus the new shares issued. If other securities can convert or be issued, use the filing’s applicable fully diluted or as-converted capitalization figures instead.
For example, an SEC-filed 2025 merger agreement provides 0.305 acquirer shares for each covered target share. That is a term of that particular agreement, not a typical or recommended exchange ratio: 2025 merger agreement.

A 2026 SEC filing for a separate transaction described expected post-merger ownership of about 83.3% for former Powerus holders and 16.7% for existing AGH holders. Those are transaction-specific expectations and may change with amendments or closing outcomes; they are not a general pattern for stock deals: Powerus/AGH filing.
What the exchange ratio means
The exchange ratio states how many acquirer shares a target shareholder receives for each target share covered by the agreement. A fixed ratio sets the share amount per target share, while the total shares issued still depend on the eligible target share count and the contract’s conversion rules. The ratio determines a key part of the share issuance; it does not by itself establish the value shareholders receive, which also depends on the relevant share prices and deal terms.

Ownership dilution is not the same as EPS dilution
Ownership dilution concerns the fraction of the combined company represented by existing shares. EPS compares earnings with a share-count denominator, so an acquisition can affect both sides of that calculation: the acquired business may add earnings, while shares issued as consideration increase the number of shares used in EPS.
IAS 33, published by the IFRS Foundation, defines EPS dilution as “a potential reduction in EPS or a potential increase in loss per share” from assumed conversions, option or warrant exercises, or share issuance when specified conditions are met. Its diluted-EPS rules account for potential ordinary shares in the denominator. To assess whether a deal is expected to be EPS-accretive or EPS-dilutive, compare the earnings contribution under the deal’s accounting assumptions with the relevant weighted-average share count. A lower ownership percentage alone cannot answer that question.
What to compare when evaluating stock-funded deals

Where to find the deal terms and approval details
For SEC-reporting companies, merger information may appear in a proxy statement, information statement, or—in transactions where consideration includes acquirer shares—a Form S-4. Investor.gov explains that acquiring-company shareholder approval can also be required in some circumstances, such as when exchange listing standards trigger an approval threshold. Neither disclosure form nor approval requirement is universal; the transaction terms, applicable law, and listing rules matter: Investor.gov: Mergers and Acquisitions.

For U.S. Hart-Scott-Rodino (HSR) premerger notification, the FTC’s transaction-size calculation for stock-for-stock deals can depend on whether the companies are publicly traded and whether the acquisition occurs within 45 days. That is a regulatory filing calculation, not a general measure of shareholder dilution or deal value: FTC: Premerger Notification Program.
