When a public company buys Bitcoin, it exchanges cash or newly raised capital for a volatile asset. The purchase can affect shareholders through dilution, debt or dividend obligations, accounting swings, and liquidity or custody risks. It does not give shareholders a direct claim on the Bitcoin, and it does not guarantee the company’s stock will track Bitcoin’s price.
How a public company can fund a Bitcoin purchase
The headline that a company “bought Bitcoin” does not tell you where the money came from. A company can use existing cash, issue common shares, borrow, sell convertible securities, issue preferred stock, or combine these methods. Each choice changes the risks carried by the business and its shareholders.
Using cash
Buying Bitcoin with cash reduces the funds available for payroll, working capital, debt service, and other investments. Strategy says its Bitcoin is its primary treasury reserve asset, subject to market conditions and anticipated business cash needs. That policy is specific to Strategy; it is not a standard approach for every public company. Strategy’s 2025 Form 10-K
Issuing common shares
If the company sells new common shares and uses the proceeds to buy Bitcoin, the share count rises. An existing shareholder then owns a smaller percentage of the company unless they buy additional shares. The effect depends on how many shares are issued, the price received, and how the proceeds are used.

Borrowing or issuing convertible securities
Debt adds interest and repayment obligations. Convertible securities may become common shares if converted, depending on their terms, creating potential dilution as well as a debt claim before conversion. Strategy’s filing describes debt and convertible notes among its capital-raising methods and warns that future securities offerings may substantially dilute existing shareholders. Issuing preferred stock
Preferred stock can carry dividend obligations and priority over common stock in distributions or liquidation. Those senior claims can affect what remains for common shareholders even though the preferred securities are not common shares. What dilution means for shareholders
Dilution means an increase in shares outstanding—or in securities that may become shares—that reduces an existing holder’s proportional ownership. It is not the same thing as the company buying more Bitcoin. Whether a share issuance benefits or harms a particular investor depends on the capital raised, what the company does with it, the resulting claims on the business, and the price at which the shares trade.
Per-share Bitcoin measures can be incomplete if they do not account for debt, preferred claims, or future conversion into shares. Strategy cautions that some Bitcoin-related or per-share metrics may omit these claims, and that some share issuance can increase diluted shares without a corresponding increase in Bitcoin holdings. Buying a company’s shares also does not give an investor a direct right to withdraw a proportional amount of its Bitcoin. Strategy states: “Ownership of our securities, including our class A common stock and preferred stock, does not represent an ownership interest in, or a redemption right with respect to, the bitcoin we hold.” That statement describes the rights attached to Strategy’s securities; investors should check the governing documents for any other issuer. Why Bitcoin can increase company and shareholder risk
Price volatility and financial results
Bitcoin’s price can move sharply, affecting the reported value of a company’s holdings. Fold Holdings’ 2026 annual report says Bitcoin traded below $77,000 and above $126,000 per Bitcoin on BitGo during 2025. That is Fold’s reported range on that venue for that year—not a forecast or a universal measure of Bitcoin’s price movement. Fold also says it measures Bitcoin at fair value under ASU 2023-08 and recognizes fair-value gains and losses in net income each reporting period. Fold identifies changes in Bitcoin’s value as a potential source of financial-result volatility, tax consequences, and changes in its stock price. The relationship between reported gains or losses and the share price is not automatic: the stock also reflects the company’s operating business, financing, and market valuation.
Liquidity and collateral pressure
Bitcoin may be harder to turn into cash at a favorable price than cash itself, particularly during market instability. If a company needs money for operations, debt payments, or dividends, selling Bitcoin in a downturn can crystallize losses. Borrowing against Bitcoin adds another exposure: a price decline or disrupted market may lead to pressure to sell collateral to meet obligations. What the available evidence can—and cannot—establish
A 2026 peer-reviewed study of U.S. public entities used Bitcoin-holdings data from August 2020 through December 2024. It identified 34 entities in its holdings dataset and used a 14-firm subset for market and financial analyses. The cited evidence does not establish one universal amount by which a Bitcoin purchase changes shareholder returns. A company’s stock price can reflect its operating performance, share count, financing structure, Bitcoin holdings, and valuation relative to its assets—not Bitcoin holdings alone.
How to assess a company that buys Bitcoin
Use the issuer’s filings and offering documents to determine how the purchase was funded and what obligations accompany it. Focus on the following:

- Funding and potential dilution: Identify cash spent, shares issued, convertible securities outstanding, conversion terms, and possible future issuance.
- Debt and senior claims: Check maturities, interest, collateral, preferred dividends, and priority over common stock.
- Bitcoin exposure: Review holdings, disclosed acquisition cost and valuation date, whether assets are pledged, and whether the company may sell them.
- Liquidity and operations: Compare available cash with working-capital needs and scheduled obligations; consider whether a downturn could force a Bitcoin sale.
- Custody and accounting: Read how the assets are held, what custody or counterparty risks are disclosed, and how fair-value changes affect reported results.
- Business and share valuation: Assess the operating business, share count, financing mix, and market valuation relative to assets. Do not assume that the stock must rise or fall in lockstep with Bitcoin.
