To compare an e-commerce company with listed competitors, first choose peers with similar business models and economics, then calculate each company’s enterprise value and valuation multiples using the same date, financial period, and definitions. Compare the resulting median and range alongside growth, margins, cash generation, geography, and risk. A peer multiple is a reference point—not a valuation answer by itself.
1. Define the valuation question
Before assembling competitors, establish what is being valued and on what basis. Specify the target’s business model, valuation date, currency, consolidated scope, and whether you need enterprise value (EV) or equity value. This matters because enterprise value reflects the value of the operating business and relevant financing claims, while equity value is the value attributable to shareholders.
Decide whether the comparison will use trailing results, such as last-twelve-month (LTM) revenue, or forecasts, such as next-twelve-month (NTM) revenue. Use the same convention for the target and peers, or label and explain any difference. Public-company values and forecasts change over time, so every comparison should be tied to a specific date.
2. Choose competitors for economic similarity
“E-commerce” is too broad to define a peer group on its own. A marketplace that earns commissions and seller-service fees does not have the same revenue economics as a retailer that buys and resells inventory. A hybrid company may combine both models, while a commerce software provider may earn subscriptions or service fees. Start with how the company makes money, not the label applied to its industry.

Screen candidates across the following dimensions and record why each company is included or excluded:
- Business model and revenue mix: Marketplace commissions, seller services, advertising, subscriptions, first-party product sales, or a combination.
- Geography: Countries served, currency exposure, regulation, and regional demand. Geography can materially affect comparability; an HKEX-hosted valuation report states that “The geographic location and revenue concentration of an e-commerce company can significantly impact the valuation.” The statement appears in a valuation report included in a filing dated October 3, 2024 (HKEX-listed circular, Appendix IV valuation report).
- Scale and concentration: Revenue, customer base, transaction volume, fulfillment footprint, dependence on major customers, suppliers, platforms, or product categories.
- Growth and durability: Historical and forecast growth, repeat purchasing, customer retention, and reliance on particular sales channels.
- Profitability and capital needs: Gross and operating margins, EBITDA, cash generation, inventory exposure, working capital, and capital expenditure.
Use a candidate universe broad enough to show alternatives, then document screening criteria and the reason for each decision. One HKEX filing’s valuation report used case-specific screens that included Asia business location, market capitalization between US$100 million and US$1 billion, more than 90% of revenue in the target industry, inventory turnover below eight, and available EV/sales data. Those thresholds describe that valuation exercise, not universal rules for e-commerce peers.
Separate or exclude diversified companies when their filings do not provide enough segment detail to isolate the relevant business. Do not let a company with a superficially similar name or online sales channel distort the median if its underlying economics are different.

3. Read filings before comparing multiples
For each shortlisted company, review its latest annual and interim reports. Record fiscal year-end, revenue-recognition policy, segment definitions, one-off items, and the company’s definition of any non-GAAP measure such as adjusted EBITDA. These details reveal whether two apparently similar figures actually measure the same thing.

That distinction can matter when comparing it with a company whose reported revenue is predominantly product sales. The filing also reports Etsy marketplace gross merchandise sales (GMS) of $10.5 billion in 2025, down 4%, and 86.5 million active marketplace buyers, down 3.4% year over year; these are company-specific operating indicators, not valuation multiples or sector-wide benchmarks (Etsy FY2025 Form 10-K).
4. Calculate enterprise value consistently
A common EV definition is ordinary equity value plus preferred equity and debt, less cash and cash equivalents. Start with market capitalization on the selected valuation date, then apply the same treatment to the target and every peer for preferred securities, debt, cash, leases, minority interests, and other material claims or non-operating assets. Disclose adjustments rather than silently mixing definitions.

Market capitalization should correspond to the same date as the other market inputs. Reconcile the source data and currency, and state the date and calculation convention. If lease liabilities or minority interests are material, decide whether to include them and apply that choice consistently; otherwise a comparison can reflect accounting treatment rather than business value.
5. Match the multiple to the business
Calculate more than one useful multiple when the company’s economics support it. At minimum, consider EV/revenue and EV/EBITDA where meaningful. Depending on the business model, EV/gross profit or price-to-earnings (P/E) may add context. Keep the numerator, denominator period, currency, and accounting basis consistent across companies.

Use the same reporting basis for each company: LTM with LTM, or NTM with NTM, for example. If forecasts are used, label them as forecasts and identify the source and date. Do not compare a target’s trailing multiple with peers’ forward multiples as if they were on the same basis.

Revenue, GMV, and GMS are not interchangeable
Marketplaces may report revenue primarily from commissions, fees, advertising, or services, while first-party retailers generally report the sale value of goods. Gross merchandise value (GMV) or gross merchandise sales (GMS) measures transaction activity under an issuer’s definition; it is not automatically recognized company revenue. As a result, EV/GMV and EV/revenue are not interchangeable multiples.
Amaze Holdings’ FY2025 Form 10-K reports $9.429 million in GMV and $1.967 million in revenue for 2025, defines GMV as order value facilitated through its platform, and says, “GMV does not represent revenue earned by us.” Those figures and that definition are specific to Amaze’s filing, which was published April 1, 2026; do not assume other issuers calculate GMV the same way (Amaze Holdings FY2025 Form 10-K).

Before ranking the companies, check that the numbers are comparable. Reconcile adjusted EBITDA to reported results, identify exceptional items, and apply a consistent policy for adjustments. Do not mix analyst forecasts with reported figures without labeling the distinction. Treat a negative or near-zero denominator as not meaningful rather than presenting a misleading multiple.

Show the peer count, median, and range for each relevant multiple. Review outliers: investigate whether a value reflects a genuinely different business, a temporary result, a data issue, or a denominator close to zero. Exclude a company only for a stated reason, and show how the selected peer set changes the result when the exclusion is material. A median is generally more resistant than a mean to extreme values, but neither substitutes for explaining the companies in the set.
7. Explain the valuation spread with operating evidence
A multiple is an output to interpret, not a conclusion. Compare each company’s growth with its margins and cash generation: faster growth may support a premium, but weak gross economics, high customer-acquisition costs, heavy inventory needs, or poor cash conversion can offset it. Consider repeat purchasing, active customer trends, concentration, competitive position, and the durability of the sales channel.
Then explain why the target may deserve a premium or discount to the peer median. Tie that judgment to observable differences—such as growth, margins, scale, geography, concentration, capital intensity, or risk—rather than asserting that a lower multiple automatically means the company is undervalued.
8. Turn the comparison into an implied value
- Select a justified peer range. Use the relevant multiple’s peer median and range, after explaining peer selection and material outliers.
- Apply it to the matching target metric. For example, an EV/revenue range must be applied to revenue measured on the same LTM or NTM basis and with a sufficiently comparable revenue definition.
- Convert enterprise value to equity value. Use the target’s own balance sheet and the same treatment of debt, cash, preferred equity, and other relevant claims used in the peer analysis.
- Cross-check the result. Where the assignment permits, compare it with a standalone cash-flow valuation or another suitable method. If the results differ, investigate assumptions rather than selecting the more favorable figure without explanation.
9. Treat published sector multiples as dated context
Published e-commerce valuation figures can help orient an analysis, but they are not interchangeable standards. Their samples, dates, definitions, and methods differ, so neither should replace a target-specific peer set.

The first figure is a forward revenue multiple and the second is reported as EV/revenue; the samples and methods also differ. Use them only with their stated dates and definitions. Refresh market capitalization, EV, estimates, and multiples for the actual valuation date.
10. Make the comparison auditable
A reader should be able to reproduce the analysis and see why each peer belongs. For every benchmark, state the source, valuation date, currency, financial period, calculation convention, peer count, and material adjustments. Keep reported results distinct from forecasts and company-reported operating KPIs. If no company, geography, revenue model, financial period, or valuation date has been specified, an implied valuation range cannot be calculated responsibly; the method can be set out, but the target-specific inputs still determine the answer.
