Startup valuation is an estimate or negotiated reference point used to describe a company’s worth for a particular purpose, such as raising investment. In a funding round, it helps determine how much ownership an investor receives. It is not a guaranteed sale price or a definitive measure of what the business is economically worth.
The number depends on when it is calculated, the method and assumptions used, the financing instrument, and the rights attached to the shares or securities. A SAFE can defer the valuation calculation until a later triggering event.
What does startup valuation mean?
The U.S. Securities and Exchange Commission (SEC) defines a company’s valuation as its worth as determined by an analyst or agreed between the company and its investors. In a financing, “the valuation establishes how much equity the investor will receive in exchange for its investment.”
That makes valuation useful for negotiating a financing, but its meaning depends on the question being asked. An estimate of what a business might be worth in a sale is not necessarily the same as the valuation used to price a particular investment security.

What is the difference between pre-money and post-money valuation?
Pre-money valuation is the agreed value of the company before the current investment is added. Post-money valuation is the value after adding that new investment. Under the simple priced-round convention, post-money equals pre-money plus the new investment.
The SEC illustrates the ownership difference with a $250,000 investment and a $1 million valuation. These are example figures, not market averages:

The denominator is the post-investment valuation in the first case and the stated post-money valuation in the second. Always check whether a term sheet quotes a pre-money or post-money figure; the same headline amount can imply different ownership.

These calculations simplify real cap tables. The fully diluted share count, option-pool treatment, outstanding convertible securities, and the specific security’s terms can all affect actual ownership. The simple formula is a starting point, not a substitute for reviewing the financing documents.

Why isn’t a funding valuation the company’s “actual value”?
For an early-stage business, there is no single, directly observable figure that answers every meaning of “actual value.” A funding-round valuation records the price and terms that a company and investors agree to for a particular security at a particular time. An estimate of underlying economic value instead depends on matters such as future prospects, risk, assets, liabilities, and the rights attached to the securities.
A financing price can be informative, but it does not prove that the company could be sold for the same amount, that its shares can be sold readily, or that a future financing will use the same valuation. The SEC-filed offering document discussed below also notes that valuation methods and assumptions can produce materially different results; no single method establishes a precise value.

Nor does every share necessarily have equivalent economics. Preferred stock may include rights that common stock does not, such as liquidation preferences or anti-dilution protections. A preferred-share price should not automatically be treated as the value of each common share without considering those differences.
How do investors value startups?
Investors and analysts may use several reference points. Each focuses on a different aspect of the company, and each has limitations. The following approaches are described in an issuer-filed offering document, not endorsed as a definitive method by the SEC.

When comparing estimates, ask what is being valued—assets, expected future benefits, or a financing security—and which assumptions drive the result. Also check how closely any comparison fits the company, which security rights are included, and how current the inputs are.

How do SAFEs and convertible notes affect valuation?
A priced equity round assigns a price to the securities being sold at that time. Other instruments can postpone or frame that calculation differently.
Convertible notes
A convertible note is a loan that may convert into equity, often in a later funding round. Early-stage companies may use convertible notes when agreeing on a valuation is difficult. The note’s terms govern how conversion works, so the later share price and resulting ownership cannot be inferred from the label alone.
SAFEs
A SAFE promises future ownership if a specified trigger occurs. Unlike a convertible note, it generally does not establish an equity valuation when issued; the calculation is deferred until the trigger. A SAFE’s valuation cap is a term that can affect conversion, not the same thing as a priced-round valuation.

Y Combinator’s guide distinguishes pre-money and post-money SAFE caps. Under the guide’s post-money SAFE framework, investment divided by the cap measures the ownership sold through that SAFE. That calculation is specific to the instrument’s terms; it is not the ownership calculation for a later equity financing. Consider the amount raised on SAFEs separately from the subsequent round, and account for option-pool treatment. Review the signed document and seek qualified counsel for a live transaction.
What should founders assess beyond the valuation headline?
A financing number is only one part of fundraising readiness. The SEC’s Ready to Raise CAPITAL guide, dated June 12, 2024 and last reviewed or updated August 8, 2025, advises companies to prepare the underlying information and plan that investors need to assess the opportunity.
- Cap table: Keep an accurate record of ownership and outstanding securities.
- Financial statements and runway: Understand the company’s financial position and estimate how long its cash will last based on projected expenses.
- Use of proceeds: Explain what the new capital will fund.
- Investor fit: Consider whether an investor’s expertise matches the company’s stage and sector.
- Investor return path: Be prepared to explain how the company intends to return capital to investors.
