A tokenized U.S. stock is a security or security-linked instrument represented by a crypto token. The token does not, by itself, prove that you own the company’s share: it might be the share itself, an entitlement to shares held by a custodian, or a synthetic instrument that tracks the share price. To understand what a particular token gives you, check the legal instrument, the official ownership records, the rights attached to it, and the intermediaries and trading rules involved.

What are tokenized stocks?

“Tokenized stock” describes a way of representing a security using a crypto asset, not one standard type of investment. The SEC’s January 2026 staff statement describes tokenized securities as securities represented by crypto assets, with ownership records maintained partly or wholly on a crypto network. In practice, the token’s connection to the underlying security—and the rights its holder receives—depends on the product’s legal structure and terms.

A blockchain record can be part of an official ownership system, a record of an indirect interest, or simply a way to transfer a separate instrument. An issuer connection alone does not settle the question: SEC staff also describes issuer-issued tokens that do not themselves carry the security’s rights and are not integrated into the issuer’s master securityholder file. They may instead prompt an update to ownership records maintained off-chain.

Do tokenized stocks give you ownership of the shares?

Sometimes, but not always. There are three common structures to distinguish:

Structure What the token represents What to establish
Issuer-sponsored The issuer or its agent issues a security in token format. The network may be part of the issuer’s official ownership records. Whether the token appears in the issuer’s master securityholder file, what class of security it represents, and whether that class differs from the traditional shares.
Custodial A token represents a direct or indirect interest in a security held by a custodian, often through a security entitlement. Who holds the shares, what legal entitlement the token holder has, which intermediaries are involved, and what rights and transfer limits apply.
Synthetic A third party issues an instrument or derivative designed to track a referenced stock’s price. Whether the holder has any claim involving the company’s shares or only contractual exposure to the token issuer or another counterparty. Investor.gov says the synthetic model gives no claim or rights against the referenced issuer.

These categories matter because a token’s price may follow a company’s stock even when the token holder has no ownership claim against that company. Read the offering and account terms to identify what you are buying rather than relying on labels such as “tokenized stock” or “stock token.”

How share ownership through a brokerage account works

Buying shares through a U.S. brokerage account commonly gives an investor a beneficial interest held through securities intermediaries, rather than placing the investor individually on the issuer’s registered shareholder list. That does not mean the investor has no shareholder rights; it means the recordkeeping and the route for exercising those rights can involve intermediaries.

A filed fund disclosure illustrates the distinction: for conventionally held shares in that fund, DTC or its nominee is recognized as the record owner, while beneficial owners rely on DTC participants and other intermediaries to exercise rights. For the fund’s tokenized shares, a holder entered in the transfer agent’s official book-entry records can instead be recognized as the registered owner. A token holder who is not recorded there still relies on an intermediary or record holder. This is an example from one fund disclosure, not a universal rule for every issuer or token.

So neither broad claim is reliable: conventional brokerage shares are not always held directly in an investor’s name, and tokenized shares are not always indirect. The relevant question is whose official records recognize the holder and what the instrument’s terms say.

What rights can token holders have?

Rights depend on the security, the ownership records, the custody and intermediary arrangements, and the product terms. Check the actual documents for each of these:

  • Underlying instrument: Is it the issuer’s stock, a security entitlement to stock held in custody, a receipt-like interest, or a synthetic linked instrument?
  • Official ownership record: Which issuer, transfer agent, broker, custodian, or other record controls ownership and when a transfer becomes effective?
  • Voting and notices: Is the holder entitled to vote? How are proxy materials and voting instructions delivered?
  • Dividends and distributions: Is the holder entitled to payments, and which party must pass them through?
  • Company and liquidation rights: Does the instrument carry an interest in the company and a share of residual assets on liquidation, or only price exposure?
  • Custody and counterparty: Who holds any underlying shares, who owes the holder performance, and what do the terms say about intermediary failure or transfer restrictions?
  • Transfers and trading: Which wallets, networks, venues, and participant types are permitted? Do issuer objections or other conditions limit transfers?

Do not assume that a token pays dividends, provides a vote, or can be transferred freely simply because it tracks a publicly traded stock. Those rights and restrictions must be established for the specific instrument.

How tokenized instruments differ from conventional shares

The key difference is not simply “blockchain versus brokerage.” Both conventional and tokenized arrangements can involve intermediaries, and some tokenized structures can provide direct registration. Compare the arrangement across these dimensions:

What is held? Commonly a beneficial interest in shares through a securities intermediary. May be the issuer’s share, an entitlement to shares held in custody, or a synthetic instrument.
Whose records establish ownership? Often the issuer’s registered list reflects a nominee or intermediary, while brokerage and intermediary records identify beneficial owners. May be an issuer or transfer-agent record, custody and intermediary records, or records for a separate linked instrument. Verify which record controls.
What rights attach? Depend on the shares and the brokerage and intermediary arrangements. Depend on the token’s legal structure and terms; a synthetic token may provide price exposure without rights against the referenced issuer.
How are transfers handled? Through the brokerage and securities-market arrangements applicable to the shares. May depend on approved networks, wallets, eligible participants, venue rules, and other restrictions.
What does the format establish? The brokerage entry alone does not describe every detail of the ownership chain. A blockchain record alone does not establish that the holder is a shareholder or has particular rights.

Are tokenized stocks regulated like regular stocks?

A blockchain format does not exempt a security from federal securities laws. In its January 28, 2026 staff statement, the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets said: “The format in which a security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws.” The statement is staff guidance, not a claim that every tokenized product has the same legal status or protections.

SEC Commissioner Hester M. Peirce separately said in a July 9, 2025 statement, “While blockchain-based tokenization is new, the process of issuing an instrument representing a security is not.” Peirce also cautioned that a token without legal and beneficial ownership could, depending on its facts and circumstances, be a security-based swap. That is a Commissioner’s statement, not a Commission rule.

A September 17, 2026 SEC order granted temporary, conditional relief for certain permissioned trading venues and liquidity providers dealing in tokenized NMS stock. The order excludes synthetic linked securities and security-based swaps from its definition of covered tokenized stock. Among its conditions, a venue must verify equivalent rights—including an interest in the company, dividends, voting, and residual assets on liquidation—and the order allows an issuer to object to certain third-party tokenized stock. This is a limited venue exemption, not blanket approval of all tokenized-stock products or platforms.

What is available in the U.S. market?

The institutional market is developing, but institutional activity does not establish that an individual investor can buy a token directly. DTCC announced on December 11, 2025 that DTC had received a no-action letter authorizing a defined tokenization service for DTC Participants and their clients, on pre-approved blockchains, for three years. The announced asset scope included Russell 1000 constituents, ETFs tracking major indexes, and U.S. Treasury bills, bonds, and notes. DTCC described the Russell 1000 as representing the 1,000 largest publicly traded U.S. companies by market capitalization when discussing that initial eligible asset set.

On July 15, 2026, DTCC reported production trades using tokens representing DTC-custodied assets and described October 2026 as the expected launch of its Tokenization Service. As of October 7, 2026, those announcements establish that production trades had occurred and a service launch was expected; they do not establish that the service had launched, that a particular stock was available, or that individuals could buy tokens directly. DTC’s stated custody of more than $114 trillion in assets in a May 2026 update describes its scale, not the value or volume of tokenized-stock trading.

How to evaluate a specific tokenized-stock offer

  1. Identify the legal instrument. Find out whether the offer is for the issuer’s share, an interest in shares held in custody, or a synthetic instrument linked to the stock.
  2. Find the controlling ownership record. Check the offering documents and issuer or transfer-agent information to learn which record recognizes ownership and makes transfers effective.
  3. Read the rights and payment terms. Confirm voting, notices, dividends, other distributions, company interest, and liquidation rights rather than inferring them from the stock ticker or token name.
  4. Map the intermediaries. Determine who holds any underlying shares, who owes you performance, and what the documents provide if an intermediary fails or restricts transfers.
  5. Check transfer and venue restrictions. Establish which wallets, networks, venues, and participant categories are allowed and whether the issuer can object to transfers or issuance.
  6. Verify current availability and jurisdiction. Confirm the product’s current terms with the provider and check whether it is available to you; an institutional service announcement is not proof of retail access.
