Construction contracts manage delays, payments, and disputes most effectively when they spell out the process: what triggers a claim, what notice and records are required, who makes the first decision, and how that decision affects time or money. The details depend on the governing law, project, contract form, and parties’ roles, so the examples below illustrate clause functions rather than universal deadlines or ready-to-use wording.

What should these clauses do?

A contract clause is useful when it turns a foreseeable project problem into a defined process. For each type of claim, the parties should be able to identify the trigger, the required notice, the evidence to provide, the decision-maker, the time for a response, and the consequences for the completion date or payment. A clause should also say what happens if the parties disagree with the initial decision.

These provisions work together. A delay may involve an owner-directed change; the change may affect both the price and completion date; and disagreement over either adjustment may become a payment or dispute issue. The contract should explain those connections instead of leaving them to informal assumptions.

How should a contract handle delay notices and extensions of time?

Define qualifying delay events and the claim process

Identify which events may entitle a contractor to more time, how and when the contractor must give notice, what contemporaneous records support the claim, who assesses it, and how an approved extension changes the completion date. State whether the claimant must update the notice as the delay continues and how overlapping causes are assessed, if the contract addresses them.

The Construction Industry Authority of the Philippines (CIAP) FAQ asks, “Can the Contractor ask for an extension of time?” Its answer discusses a particular referenced contract, including events such as owner delay, certain third-party events, force majeure, unsuitable weather, and owner-authorized changes. It also describes written notice and a 15-day notice period for certain events under that contract. Those causes and that timing are examples from the CIAP material, not a general entitlement or deadline for construction projects.

Check the actual notice period

Consumer Affairs Victoria describes a model-contract process in which a builder makes an extension claim within 15 business days after the delay ceases and the owner responds within 10 days. The guidance emphasizes checking the contract’s own notice requirements; these periods belong to the process it describes, not to every Australian building contract.

For either party, a clear clause should distinguish notice of a delay from a fully evidenced extension claim, if both are required. It should also explain how the parties record an approved extension so the operative completion date is not ambiguous.

What belongs in a change-order or variation clause?

Control authorization and the written record

Specify who may instruct a change and whether an instruction must be written before changed work proceeds, except for any separately defined urgent procedure. The record should identify the changed work, its scope, and any assumptions or exclusions. This reduces the risk that a field instruction, revised drawing, or discussion is later treated differently by the parties.

The CIAP FAQ reproduces this term from its referenced contract: “The OWNER shall issue a written CHANGE ORDER to the Contractor to authorize changes or variations in the work whether or not it requires an adjustment in the Contract Price or Contract Time.” This illustrates how authorization can be tied to a formal record; it is not a universal clause requirement.

Connect the change to price and time

Set out how the parties value added or omitted work and decide any adjustment to the completion date. The process can identify the information needed to price a change, the person who reviews it, and whether the parties must agree on the adjustment before work proceeds. CIDB Malaysia’s construction-contract-administration framework includes variations, extensions of time, monetary claims, and payment certificates as administration topics, underscoring that change control and payment administration are linked.

How should progress payments, retainage, and withholding work?

Make the payment workflow traceable

State what a proper payment application must contain, where it is submitted, who reviews or certifies it, when payment falls due, and how the parties handle a rejected or incomplete application. Explain any retainage: how it is calculated, whether it applies to particular work, what conditions release it, and when release is due. If the contract permits withholding, identify the allowed grounds and require a written explanation of the amount and reason.

Understand the federal example’s limits

For US federal construction contracts, Federal Acquisition Regulation (FAR) 52.232-27 specifies a 14-day due date for certain progress payments after the designated billing office receives a proper payment request. The clause also addresses prompt-payment provisions flowing down to subcontractors, permits agreed retainage in subcontracts, and addresses written notices for withholding. These are federal procurement rules for covered contracts, not a general payment timetable for private projects or other jurisdictions.

Which dispute steps should the contract set out?

Build a usable escalation path

Say how a party gives notice of a dispute, what records or claim detail it supplies, and who first reviews the issue. Then identify the next available steps if the initial discussion does not resolve it. CIDB Malaysia lists negotiation, mediation, conciliation, arbitration, and litigation among dispute-resolution methods. These are options to consider in context, not a prescribed sequence for every contract.

When comparing procedures, check who decides, whether a decision is interim or final, what notice and timing rules apply, how much process is involved, and whether work and payment continue while the issue is being handled. Also establish whether a decision can be reviewed or followed by another contractual or legal remedy.

Distinguish contractual escalation from statutory adjudication

Some jurisdictions provide a statutory adjudication route for covered construction payment disputes. Western Australia’s government fact sheet describes adjudication under the Construction Contracts Act 2004; the fact sheet was first published on 7 November 2024 and last updated on 20 July 2026. Canada’s federal Prompt Payment for Construction Work Act, section 16, provides an adjudication route for covered non-payment disputes. Neither example establishes that adjudication applies to every project, nor that it replaces all later remedies. Check coverage, eligibility, and applicable procedure for the specific project.

What should a liquidated-damages clause make clear?

If the contract provides liquidated damages for late completion, identify the applicable completion milestone or date and state the rate and the period to which it applies. Under FAR Subpart 11.5, US federal construction contracts that include liquidated damages must describe the rate per day. The regulation says that rate should include estimated government inspection and superintendence costs and other expected expenses resulting from delay. This is a federal procurement example, not a universal rule about private contracts or the enforceability of a particular rate.

How should parties choose a contract form or review a draft?

Compare administration, not just the form’s name

CIDB Malaysia’s competency framework names JCT, FIDIC, PAM, ARCA, ICE, and CIDB forms as examples in its context. A form’s suitability depends on the project and governing law; the list does not establish that one form is best across jurisdictions. Compare how each candidate addresses:

  • Project type and allocation of design, coordination, and approval responsibilities.
  • Change authorization, valuation, and time-extension procedures.
  • Payment applications, certification, retainage, and withholding.
  • Notice requirements, initial decisions, and dispute escalation.

Review the operational details before signing

For each clause, verify that the named roles match the project, the required notices can be sent through the stated channels, and the timelines work with the project’s reporting and payment cycle. Check that related provisions use consistent definitions for completion, approved changes, payment applications, and claims. The Texas Department of Transportation states that its Construction Contract Administration Manual was revised in January 2026; its existence is an administration reference, not a substitute for the governing contract’s terms. The UK Cabinet Office published its Contract Management Playbook on 25 March 2026, a public-sector contract-management resource rather than a universal construction clause standard.

Because legal effect and statutory coverage depend on jurisdiction and contract context, use jurisdiction-specific advice before adopting clause wording or relying on a deadline. The examples here show the questions a well-administered contract should answer; they do not supply a clause template.
