Keep the ordinary commercial, accounting and tax records for each AI-agent transaction, plus enough evidence to show who authorized the agent and reconstruct what it was instructed to do, what it sent or received, and what changed. The Indian rules covered here do not create a separate, universal AI-agent recordkeeping category. They do, however, address electronic records and automated systems, while company, GST, tax and data-protection duties may apply depending on the business and transaction.
Build a transaction record that can be reconstructed
For each transaction, link the relevant records together using a transaction ID or another reliable reference. The aim is not to preserve every technical event forever; it is to retain the evidence needed to explain the business decision, establish authority and show the outcome under the rules that apply to the business.
- Authority and scope: Keep the instruction, approval, delegation or policy that permitted the agent to act. Record the business identity and approving person or role, along with applicable limits, spending thresholds and any required human approval or override.
- Input and operating context: Preserve the transaction trigger or request, material information supplied to the agent, and relevant workflow, system or policy configuration. This context helps explain what the agent was allowed to do; it is a prudent auditability practice, not a statutory AI-log schema.
- Agent activity and communications: Retain the transaction-relevant action or message and, where available, the exact electronic record sent or received. Capture timestamps, recipient or counterparty, destination and any tool or system interaction needed to reconstruct the result.
- Commercial evidence: Link the contract or order, invoice, receipt, delivery or service evidence, payment and settlement records, relevant tax documents, and transaction-related correspondence or acceptance.
- Accounting records and corrections: Preserve the accounting entry and its supporting documents, reconciliations and corrections. Where applicable, retain an edit history showing what changed, when, and by whom or which process.
- Integrity and retrieval: Keep records complete, legible and accessible through the applicable retention period, in original form or an accurate representation. Use retrieval, backup and access controls suited to the relevant rules and record type.
- Personal data: Identify whether inputs or outputs contain personal data and manage the records according to the data-protection duties in force for the relevant processing date. The Digital Personal Data Protection Rules, 2025 have staged commencement; they should not be treated as fully in force on every date.
For example, a purchase made by an agent should be traceable from the approval and purchase instruction through the outgoing order, counterparty response, invoice, delivery or service evidence, payment and accounting or tax entry. A complete trail lets a reviewer connect the automated act to both its authority and its commercial result.
What Indian law says about electronic and automated records
The Information Technology Act, 2000 recognizes electronic records where a law requires information in writing, provided the information is made available electronically and remains usable for later reference. Section 7 addresses retention: information must remain accessible for subsequent reference, be preserved in its original format or a format that accurately represents it, and include details identifying origin, destination, and the date and time of dispatch or receipt. Read the Information Technology Act, 2000, including sections 4, 7 and 11–13.

Section 11 also provides that an electronic record is attributed to its originator if it was sent by that originator, someone authorized to act for it, or an information system programmed by or on the originator’s behalf to operate automatically. That provision makes it important to preserve evidence of the agent’s authority and enough transaction detail to establish what the system did. It does not, by itself, resolve every question about a contract, consumer transaction, payment, tax treatment or sector-specific obligation.

Which specific recordkeeping rules may apply?
Requirements depend on the business’s legal form, tax status, records and activity. These are the key rules in the official materials relevant to an AI-mediated transaction:

GST materials also contemplate electronic recordkeeping and production, backups, and audit-trail or interlinkage information when demanded. The GST Council’s agenda notes describe these electronic-record aspects; they do not set a single retention schedule for every kind of AI-related data. How long should you keep the records?
Do not use one retention period for every record. Apply the period required for the relevant record class and business, then check whether an audit, notice, dispute or other preservation duty requires records to be held longer.
- Classify the records. Identify which materials are company books, GST records, tax-return or assessment support, transaction contracts, personal-data records, or operational logs.
- Apply the rule that covers that class. For GST-covered accounts and records, CBIC’s section 36 material gives a baseline of 72 months from the due date of the annual return for the relevant year. Calculate from that due date rather than from the transaction date, and document the calculation. CBIC, GST Act section 36.
- Check for a longer hold before deletion. A pending audit, tax notice, dispute or other legal preservation duty may affect whether records can be deleted under an ordinary schedule.
- Review personal-data handling separately. Keep transaction evidence in a way that meets applicable recordkeeping duties while managing personal data under the provisions in force for the relevant processing date.
The cited materials do not establish one universal retention period for every Indian business or every AI-related record.

Account for the DPDP Rules’ staged commencement
MeitY published the Digital Personal Data Protection Rules, 2025 on 13 November 2025. Under the commencement schedule in the published Rules, rules 1, 2 and 17–21 commenced on publication; rule 4 is scheduled to commence one year after publication; and rules 3, 5–16, 22 and 23 are scheduled to commence eighteen months after publication. As of 7 October 2026, the provisions scheduled for commencement at eighteen months had not yet reached that scheduled date. Check the Gazette notification for the commencement schedule.
If an agent processes personal data, determine which duties apply on the date and facts at issue. Where applicable, retain relevant evidence of consent, notices, sharing or processing, without treating all provisions of the Rules as already commenced.

Choose a record system that supports an audit trail
Whether records are held in one system or linked across several, assess whether a reviewer can retrieve a coherent transaction record later. A useful system should support:
- Completeness: connecting the authority, instruction, agent action, counterparty response and business outcome.
- Attribution: linking an electronic act to the person or system acting with authority on the business’s behalf.
- Integrity: preserving originals or accurate representations and making changes detectable through dated logs where applicable.
- Legibility and retrieval: producing records that staff, auditors or authorities can access and read through the required period.
- Retention and deletion controls: applying different schedules by record class and pausing deletion where a legal hold applies.
- Backups and access: using safeguards appropriate to the record type and the applicable rules, including the India-based daily server backup requirement for company books within Rule 3’s scope.
For company books maintained using accounting software, verify that the software meets Rule 3’s audit-trail requirements for the relevant financial year; a general-purpose agent activity log is not a substitute for the required accounting-software trail. Keep the business transaction record linked to the accounting entry so that the operational evidence and official books can be reconciled.
Practical boundaries to keep in mind
- The sources do not prescribe a universal, AI-specific log format or require every prompt to be retained forever.
- Retain transaction-relevant prompts and context for the applicable statutory period and any longer legal hold, while minimizing unrelated personal or confidential material consistent with applicable law and business needs.
- Electronic retention can satisfy a writing or retention requirement when the statutory conditions are met, but another law may impose additional format or process conditions.
- The Information Technology Act’s treatment of automated electronic records does not eliminate the need to assess authority, sector-specific rules, tax treatment or other obligations for the particular transaction.
