Tokenized stocks do not all use the same legal or operational model. A token may represent economic exposure to a stock without making its holder a shareholder; custody, pricing, and redemption depend on the specific issuer, token, account, and jurisdiction. In general, an issuer arranges backing, issues tokens under its product terms, and supports a reference price or redemption route, while secondary-market prices are set by trading activity. The details in this article describe the named issuers’ own product disclosures, not an independent audit or a universal standard.
How does a tokenized stock work?
A tokenized stock is a digital token whose value is linked to a stock or ETF. That link does not, by itself, establish that the token holder directly owns a share. The product’s legal documents determine what the token represents, who owes obligations to its holder, what backs it, and whether any shareholder rights apply.
- An issuer arranges the structure. The issuer or platform describes the legal vehicle, assets, custody arrangements, and terms that apply to the token.
- Tokens are issued against described backing. The issuer may say that securities or other assets are held to support the product. The token’s legal claim and the process for enforcing it depend on the governing documents.
- Prices are observed in different places. The underlying stock has a market price; an issuer may use a reference price for primary issuance or redemption; and the token trades at its own price on each secondary venue.
- Redemption is subject to terms. A holder may be able to redeem through an issuer’s primary channel only if the holder, token, location, and account meet the product’s requirements and the service is available.
Token transfers or trading on a crypto venue are not the same thing as a right to redeem through the issuer. Nor does a token transfer necessarily transfer direct ownership of the underlying share.
Who holds the shares behind a tokenized stock?
Custody is product-specific. An issuer’s description can help explain the structure, but it should not be treated as independent confirmation of balances, legal enforceability, or the exact claim available to every holder.

Questions to answer in the product documents
- Who is the legal issuer, and is the holder a direct shareholder, security holder, creditor, or contractual claimant?
- Which entity holds the underlying assets? Are they segregated, and who can enforce any security interest?
- What document governs default, insolvency, and distribution of proceeds?
- Who verifies reserves, how often, and what exactly does the verification cover?
- Which jurisdiction’s law applies, and what restrictions apply to your location and account?
Why can the token price differ from the stock price?
There are at least three distinct prices to keep separate:
- Underlying-market price: the price of the stock or ETF in its own market.
- Issuer reference or primary price: the price an issuer uses for direct issuance or redemption under its process.
- Secondary-market token price: the price at which buyers and sellers trade the token on a particular exchange or decentralized venue.
xStocks says secondary-market prices are set by supply and demand on each platform, while direct clients can issue or redeem through its issuer platform at prevailing underlying-equity prices. Its developer materials describe price data from on-chain providers and Nasdaq, with Blue Ocean supplying overnight and extended-hours data. Data sources and feeds are part of the product mechanics, not a guarantee that every venue’s token price will match a stock’s price at every moment. Ondo describes primary minting and redemption at the prevailing underlying value, with arbitrage as one possible way to narrow a gap: if a token trades above the primary value, an eligible participant may acquire through the primary route and sell on a secondary venue, adding supply. That mechanism can help align prices, but it cannot guarantee exact parity. Access restrictions, market hours, liquidity, fees, operational interruptions, and price-feed timing can all limit or delay arbitrage. See Ondo’s explanation of Global Markets.
How corporate actions may be reflected
xStocks’ developer materials say dividends, splits, and reverse splits are reflected through an on-chain multiplier, and that its API provides market-price and multiplier data. That documentation describes xStocks’ approach; it does not establish identical treatment across other issuers. For any token, consult its governing terms to see how corporate actions affect value and redemption.

Can you redeem a tokenized stock for the underlying shares?
Do not assume that a token can be exchanged one-for-one for a share. The redemption asset, eligible users, minimums, fees, settlement process, and whether redemption involves cash or delivery of securities must be established by the product’s current terms. The cited xStocks and Ondo descriptions establish issuer redemption routes, but do not justify a general promise that any wallet holder can redeem directly for an underlying share.
xStocks: issuer route for direct clients
xStocks says direct clients may issue or redeem through the issuer platform at prevailing underlying-equity prices. Its documentation describes issuer issuance and redemption as operating 24/5, aligned with U.S. equity-market hours. A holder who acquired a token on a secondary platform may instead need to sell there; access to the issuer route is not established for every wallet holder. See the xStocks overview and xStocks FAQ.

Ondo: availability depends on token and eligibility
Ondo’s product page describes minting and redemptions as 24/5, subject to availability exceptions. Separately, Ondo’s June 25, 2026 announcement said eligible users could mint or redeem SPYon, QQQon, CRCLon, NVDAon, TSLAon, and GOOGLon at any time, including weekends and U.S. public holidays. That announcement concerns a defined group of assets and eligible users; it should not be read as a 24/7 promise for every Ondo token or every account. Check the current Ondo product overview and the June 25, 2026 announcement for applicable terms.
Even where token transfers or secondary-market trading continue around the clock, primary redemption may have different operating hours or conditions. Confirm the exact token, eligible party, supported settlement asset, service windows, outage or cutoff rules, and redemption form in current product documents.

Do tokenized stocks give you voting rights?
Not necessarily. xStocks says holders receive economic exposure but not shareholder rights such as voting; its legal overview describes the product as a bearer debt instrument classified as a tracker certificate, while noting that legal classification may vary by jurisdiction. Rights can differ even within an issuer’s offerings. Ondo’s July 2, 2026 announcement describes a separate U.S. third-party custodial tokenized-securities deployment with Broadridge and says that deployment provides full voting rights for tokenized equity holders. This statement applies to that named deployment, not automatically to Ondo’s other tokens or tokenized stocks generally. See Ondo’s July 2, 2026 announcement.
What to verify before using a tokenized-stock product
- Read the prospectus, terms, and custody and insolvency disclosures for the exact token—not just the platform’s general description.
- Identify the legal issuer and the precise right the token gives you; do not infer direct share ownership from a stock-linked name or price.
- Check how backing is held and verified, who can enforce any security interest, and how default proceeds would be handled.
- Compare the underlying price, primary issuance/redemption reference, and token price on the venue where you plan to trade.
- Confirm redemption eligibility, supported assets, fees, operating windows, settlement method, and geographic restrictions for your account.
- Check local legal and regulatory restrictions. Product terms and availability can change, and rights may depend on jurisdiction.
