A stock ETF share is an interest in a fund that owns a portfolio of securities. A token marketed as a tokenized stock may instead be a security issued on a blockchain, an indirect entitlement to shares held by a custodian, or a product linked to a stock without giving the holder rights against the company. The name “tokenized stock” alone does not tell you what you own; the product’s legal documents do.

Do tokenized stocks give you ownership?

Sometimes, but not necessarily ownership of the referenced company’s ordinary shares. The rights depend on the token’s legal structure, who issued it, and what the governing documents promise. The SEC’s Investor.gov explains three broad models in its tokenized securities overview.

Issuer-sponsored tokenized securities

A company or its agent issues the security on a blockchain. It may carry the same rights as a traditional share of the same class, but an issuer could create a different class with different rights. Check the offering documents for the class, voting rights, dividends, and other terms.

Custodial tokens

A token may represent an indirect interest in a security held through a custodian or other intermediary. In that case, the holder’s rights may be a security entitlement against an intermediary rather than direct registration as a shareholder. The custody and entitlement terms determine what the holder can claim and what happens if an intermediary fails.

Synthetic or linked tokens

A third party may issue a token whose value is linked to a stock through a security or derivative. The price may track the reference stock, but the holder may have no claim against that company and may not receive shareholder rights. Instead, the holder’s rights depend on the third party’s contract and ability to meet its obligations.

The SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets said on January 28, 2026: “There are a variety of models used to tokenize securities and they vary in terms of structure and the rights afforded to holders.” That document states staff views, not a rule or binding Commission statement, and has no legal force or effect. The SEC staff also emphasizes that an asset’s nature depends on its economic reality, not just its label. Read the staff statement alongside the product’s own documents.

Are tokenized stocks the same as stock ETFs?

No. An ETF pools investors’ money into a portfolio; each ETF share represents part ownership of that portfolio and its income. The fund, rather than each investor individually, owns the portfolio securities. Many stock ETFs hold shares in multiple companies and industries, while some are concentrated or track a single stock. Investor.gov describes how ETFs work and trade.

An ETF can provide diversification, but it is not guaranteed: a single-stock ETF or a narrowly focused fund may remain highly concentrated. A token referencing one company does not become diversified simply because it is represented on a blockchain.

What fees do tokenized stocks and ETFs charge?

Compare the full cost of buying, holding, and selling the same exposure over the same period. A “zero commission” claim does not establish that a trade has no costs, and a low headline fee does not include every charge along the transaction path.

ETF costs

ETF fees and expenses are deducted from the fund’s NAV, so investors pay them indirectly. Brokerage commissions or other transaction costs may apply when buying or selling. Investor.gov notes that differences in fees and expenses can affect returns over time. Check the fund’s prospectus and shareholder report for its stated expenses and strategy, then check the brokerage’s trading terms.

Token costs

There is no single fee schedule for tokenized-stock products. Check the actual quote and terms for the specific product and venue, including any purchase or sale spread, trading fee, custody or platform charge, conversion or withdrawal charge, and network fee that applies. Availability of a fee category does not mean every product charges it.

The fair comparison is the same underlying exposure and holding period, with both entry and exit costs included. The reviewed sources do not establish that tokenized products as a category are cheaper or more expensive than ETFs.

What are the risks of tokenized stocks compared with ETFs?

Both routes are exposed to market losses: a stock can fall, and an ETF can decline as its holdings lose value. The additional risks differ according to what the investor holds and how the product operates.

ETF-specific considerations

  • Concentration and strategy: A fund’s holdings and investment strategy determine whether it spreads exposure across companies or concentrates it.
  • Market price versus NAV: An ETF’s exchange price can be above or below the value of its underlying assets per share, so a buyer’s execution price may differ from NAV.

Token-specific considerations

  • Rights and counterparty exposure: A holder may depend on an issuer, custodian, or other intermediary rather than having a direct claim against the referenced company. Some third-party structures can expose holders to the third party’s bankruptcy.
  • Custody and transfer rules: The terms may limit where or to whom a token can be transferred, and how it can be redeemed or withdrawn.
  • Operational dependencies: Trading or holding the token may rely on a platform, custody arrangements, or network processes. The product documents should explain which parties perform those functions and what happens if they cannot.

Investor.gov’s current tokenized-securities explainer describes tokenized securities as securities subject to SEC regulation and investor protections, while distinguishing the rights available under different models. That does not make every token that references a stock the same kind of security, or guarantee that a holder has direct shareholder rights. The SEC staff statement is separate from binding law.

How to compare two specific products

Use the governing documents and the actual trading terms, not the product name or a claim that it “tracks” a stock. Answer these questions before choosing between an ETF and a token:

  1. Identify the legal interest. Is it a fund share, an issuer-sponsored security, a custodial entitlement, or a linked security or derivative? Name the party that legally owes the holder what the documents promise.
  2. Check shareholder and payment rights. Find out whether voting, dividends, company information, and corporate-action treatment are included, and under what conditions.
  3. Calculate total costs. For the ETF, review stated fund expenses and brokerage transaction costs. For the token, verify the quoted spread and any applicable trading, custody, platform, conversion, withdrawal, or network charges.
  4. Match the exposure. Review the ETF’s holdings and concentration, and identify exactly which stock or other reference the token tracks. Similar labels do not mean identical exposure.
  5. Check trading and liquidity. Confirm the venue, available trading times, transfer limits, and what determines the execution price. For an ETF, compare its market price with NAV; for a token, consult its venue and product terms.
  6. Trace custody and failure scenarios. Establish who holds any underlying shares or entitlement, who maintains the records, and what the documents say would happen if an issuer, custodian, or platform became insolvent.
  7. Read transfer, redemption, and governing-law terms. Verify whether and how you can sell, transfer, redeem, or withdraw, and which jurisdiction’s documents govern the offering.

Investor.gov’s pages and the SEC staff statement cited above are U.S.-oriented sources. Rights, availability, tax treatment, and investor protections may differ by jurisdiction and by offering; consult the documents that apply to the specific product and location.
