The best way to avoid problems in a brand-creator partnership is to put the practical details in writing before work begins: what will be made, when it is due, how it can be used, what it costs, how approvals work, and how the relationship can end. Creators and brands should also plan any required sponsorship disclosure as part of the content—not as a last-minute fix.
What should a creator-brand agreement cover?
A useful agreement turns assumptions into specific commitments. Before signing, make sure both sides can answer the following questions in the same way.
- Campaign objective and scope: What is the campaign meant to achieve, and exactly what will the creator produce?
- Schedule and review: Which platforms and formats are included? When are drafts and posts due? How many revision rounds are included, and how long does each side have to respond?
- Compensation: Is payment a fixed fee, commission, a hybrid, or another form of value? What documentation is required, when is payment due, and what happens if the campaign changes?
- Content ownership and permissions: Who owns the finished work, and what specific uses does the brand receive?
- Exclusivity: Which competitors or product categories are covered, and for what territory and period?
- Disclosure and claims: What sponsorship disclosures are needed, which product claims are approved and supported, and who handles corrections?
- Exit terms: How can either side terminate the agreement, and what happens to fees, unfinished work, published posts, and usage rights?
Industry contract guidance treats scope, schedule, payment, rights, exclusivity, and termination as core topics, but a checklist is not a substitute for reviewing the agreement under the law that applies to the deal. How do you prevent scope and approval disputes?
Replace vague deliverables with a list
“One social post” does not say whether the deal includes a video or image, a caption, a link, a story, extra assets, or revisions. Name each deliverable and its platform, format, due date, and posting date. Also state who supplies products, facts, and other campaign materials, and how quickly each side is expected to respond. This makes it easier to tell when the agreed work is complete.

Set review rules that protect both sides
Choose a named contact for each party, a deadline for feedback, and a limit on included revision rounds. Define what counts as an in-scope correction—for example, fixing an inaccurate product fact—versus a new request that changes the brief or adds work. A clear review window helps prevent a campaign from stalling while a draft waits for approval.
Keep the brief clear without scripting a false experience
The brief should identify required facts, substantiated claims, brand guidelines, and any language that must appear. It should also leave room for the creator to speak naturally and describe only experiences they actually had. Plain-English instructions and defined approval timelines are practical recommendations in this American Bar Association article on influencer agreements.
How should content rights and paid use be handled?
Payment for a creator’s post does not, by itself, clarify every way a brand may use that content later. Separate the creator’s agreement to publish on their own channel from the brand’s permission to reuse or promote the work.

Specify whether the brand may repost organically, run the content as paid advertising, authorize ads through the creator’s account (often called whitelisting), edit the material, or use it on particular channels. Set the territory, duration, renewal or extension process, and any limits on edits. If a permission is not included, do not leave its status to assumption.
BCMA’s Influencer Briefing Kit quotes influencer Francesca Newman-Young: “There is a huge difference between an agreement to post content out on your own channel and having a brand invest in paid media with the content you’ve created.” The distinction matters because paid use can give a brand different control, reach, and value from a single creator-channel post.
How can you make exclusivity fair and clear?
If a brand expects a creator to avoid competitors, define the restriction rather than relying on a broad phrase such as “no competing brands.” State the covered companies or a sufficiently clear product category, the geography, and the start and end dates. Specify whether the restriction applies only to sponsored deals or also to other mentions, and whether it covers a period before or after the campaign.
There is no universally best level of exclusivity. A narrower restriction gives the creator more room to take other opportunities; a broader one gives the brand more separation from competing campaigns but can limit the creator’s work. The parties should agree on the actual boundaries and compensation rather than leave either side to guess.

How do you prevent payment and cancellation surprises?
Write down the fee or calculation method, any commission terms, gifted products or experiences, invoice requirements, and the payment deadline. For performance-based pay, define the metric, how it is measured, and when the amount becomes payable; a vague promise to pay based on “performance” leaves room for disagreement.

Identify which fees are earned at each milestone and whether expenses or gifted items are treated differently. The BCMA guide recommends specifying when and how payment will be made and considering the effect of breach on fees.
How should disclosure be planned?
For activity covered by U.S. Federal Trade Commission guidance, a material connection between an endorser and a brand can include payment, free or discounted products, or another benefit. Disclosures should be easy to notice and understand and placed with the endorsement. In a video, the disclosure should appear in the video itself, rather than only in the description. Plan the wording and placement in the brief, then check the published content in context. Do not assume that a profile note, a past disclosure, a viewer’s familiarity with the creator, a cluster of hashtags, or an end-of-video note will make the connection clear. These are U.S. FTC materials; creators and brands should check requirements that apply where they operate and where their audience is located.

Set out how either side can terminate, how much notice is required, and how the parties will handle work in progress and earned fees. Decide whether published posts must remain live, whether content permissions continue after termination, and whether any rights end when the relationship ends.

If the agreement includes a reputation or “morality” clause, define the conduct that may trigger it and the process for responding as precisely as possible. Broad or unclear wording can create uncertainty; the effect of any particular clause depends on the contract and governing law. Industry guides identify termination and safeguarding as topics to address, not as one-size-fits-all legal rules.

Which deal terms involve trade-offs?
There is no single set of terms that is best for every campaign. Compare the practical effect of each option before agreeing.

Pre-signature checklist
- Campaign goal, every deliverable, platform, format, dates, revision limit, and approval deadline.
- Fee or other value, invoicing requirements, payment deadline, cancellation terms, and extra-work rules.
- Ownership and each permission for reuse, paid promotion, whitelisting, editing, territory, duration, and renewal.
- Exclusivity scope, covered competitors or category, geography, and duration.
- Disclosure plan, supported product claims, responsibility for review, and correction process.
- Named contacts, response times, any confidentiality terms, termination process, and post-termination obligations.
- A plain-language brief that gives direction without asking the creator to claim an experience they did not have.
For high-value deals or unusually broad rights and restrictions, jurisdiction-specific legal review can help the parties assess the actual contract rather than relying on a generic form.
