Make a creator contract specific about the work, schedule, review, payment, and permitted uses—not just “one post.” For each deliverable, name its format, quantity, platform, due or posting date, required tags or links, and whether raw or editable files are included. Then state whether the creator keeps copyright and licenses defined uses to the brand, or transfers ownership. This is a practical U.S.-focused guide, not a jurisdiction-neutral contract form or legal advice.

Define each deliverable so both sides know what is due

“One post” can mean very different amounts of work. List each item separately, distinguishing content the creator will publish on their own channel from files produced for the brand to publish or use elsewhere.

  • Format and quantity: specify the number and type of assets, such as one short-form video, a set of photos, or a sequence of stories.
  • Platform and placement: name the creator account and platform for creator-published work, or identify the intended brand channels for delivered files.
  • Schedule: give the draft, delivery, and/or publication dates that apply. Say how delivery is confirmed.
  • Content requirements: list required tags, links, talking points, and any other agreed elements.
  • Files: state whether the fee includes only final exports or also raw footage, alternate cuts, editable project files, or other versions. If included, list each as its own deliverable.

These are drafting choices to negotiate, not a universal industry standard. A creator post and a file handoff are different obligations; describe both if the campaign requires both.

Set review, approval, and revision rules

Specify how drafts will be reviewed and how feedback affects the schedule. Neither the sources cited here nor U.S. law establishes a universal number of revision rounds or approval deadline, so write the parties’ actual agreement rather than implying there is a standard.

  • Set the review window and identify who can approve or consolidate feedback for the brand.
  • State how many revision rounds are included and what qualifies as a correction to the agreed brief versus new work or a change in scope.
  • Explain what happens if feedback or approval arrives late, including whether the delivery or posting date moves.

Put payment and cancellation terms in writing

Record the fee and when it is earned and paid. Include invoice requirements, payment dates, any deposit or milestone trigger, and whether expenses or products are part of the consideration. Address late cancellation and payment for work already completed. There is no supported universal creator rate or cancellation term; the parties should negotiate terms that reflect the defined scope.

Choose ownership or a clearly bounded license

Under U.S. copyright law, copyright generally begins with the author, subject to statutory exceptions and transfers. The Copyright Act states: “Copyright in a work protected under this title vests initially in the author or authors of the work.” 17 U.S.C. § 201(a). Possessing a delivered copy does not, by itself, transfer copyright; the Copyright Office explains the distinction between ownership of a copy and ownership of copyright in its copyright basics circular.

State which arrangement the parties intend: the creator retains copyright and grants the brand a license, or the agreement transfers rights or ownership. Avoid relying on a label alone. The statutory definition of “work made for hire” covers specified employee work and certain commissioned works; a commissioned work qualifies only in limited categories and when the parties expressly agree in a signed writing. See 17 U.S.C. § 101 and the Copyright Office’s work-made-for-hire circular. Whether a particular arrangement qualifies depends on its facts and the law.

If the creator grants a license

Spell out the exact permission rather than saying only “the brand may use the content.” The sample agreement cited below illustrates possible clause combinations; it is not a recommended or neutral template.

  • Use and channels: distinguish organic reposting from paid advertising and name the platforms, accounts, and other channels allowed.
  • Term and territory: specify how long the permission lasts and where it applies.
  • Editing: say whether cropping, subtitles, adaptations, or other edits are allowed, and whether material changes need creator approval.
  • Further sharing: identify whether affiliates, retailers, agencies, or media buyers may use the content, and on what terms.
  • Additional assets and identity: address raw footage, project files, alternate cuts, and permission to use the creator’s name, likeness, voice, handle, or account authorization.
  • Paid creator-account use: state whether whitelisting or partnership ads require separate permission or a separate fee.
  • End of term: explain what happens when permission expires, including removal of active ads where feasible.

If the agreement transfers ownership

Say clearly that ownership is being transferred, identify the work covered, and document the transfer in the agreement. Do not treat delivery of a file or a work-made-for-hire heading as a substitute for the applicable legal requirements.

Limit exclusivity to a defined restriction

If the brand requests exclusivity, define the competitor category, restricted activity, platforms, territory, and start and end dates. State whether exclusivity has separate consideration. The sources here do not establish a standard exclusivity period or fee, so neither should be assumed.

Allocate third-party rights and check platform permissions

Identify who is responsible for clearing music, stock footage, artwork, locations, and other third-party material for both the creator’s publication and the brand’s later use. Permission to use a track on one platform does not necessarily establish permission for the brand to use it in paid advertising elsewhere. Verify platform-specific rights and policies before reuse; the agreement example raises these issues but does not settle them. The sample agreement is illustrative only, not a template or evidence of market norms.

Make endorsement disclosures part of the campaign plan

FTC staff guidance says creators should disclose material connections, including payment, free or discounted products, and other perks, clearly with the endorsement. Put the disclosure where viewers are likely to notice and understand it in context. For stories or images, use visible overlay text when needed; do not rely only on a profile page, a hidden “more” section, or a cluster of hashtags. For video and live content, make the disclosure noticeable and understandable in the content itself. A contract may assign tasks or provide suggested wording, but the creator remains responsible for making required disclosures. This guidance is U.S.-focused; laws elsewhere may also apply.

Compare proposals on the same terms

When reviewing two offers, compare the scope and rights side by side rather than comparing the fee alone. Ask whether each proposal covers:

  • the same deliverables, schedule, review burden, and included revisions;
  • creator ownership with a license, or a transfer of ownership;
  • organic and paid use, channels, duration, and territory;
  • editing, raw files, sublicensing, creator identity, and account authorization;
  • exclusivity, payment timing, cancellation, and any renewal terms; and
  • responsibility for third-party clearances and disclosure execution.

There is no single standard creator deal. This guide addresses U.S. copyright and FTC disclosure principles; it does not resolve state contract law, taxes, worker classification, privacy or publicity rights, union requirements, platform-specific permissions, or non-U.S. rules. For advice on a particular agreement, consult a qualified lawyer in the relevant jurisdiction.
