Before signing with a vendor, assess what it will access or operate, how much your business depends on it, and what could happen if its systems are compromised or its service becomes unavailable. Then investigate the supplier and relevant products across five areas: foreign ownership, control, or influence (FOCI); provenance; resilience; foundational cybersecurity practices; and supply-chain tiers. Scale the depth of review to the supplier’s criticality, verify important claims where possible, and keep a written record of your evidence and decision.

Start by defining the service and its risk

Set the scope before collecting documents or sending a questionnaire. Identify the specific service or product you are considering, how you plan to use it, and the consequences of compromise, disruption, or supplier failure. NIST’s July 2026 SP 1326 due-diligence guide describes due diligence as an investigation of pertinent supplier or product information to support informed decisions about new acquisitions and existing systems.

  • Data: What information will the vendor handle, store, transmit, or be able to view? Include sensitive and regulated data where relevant.
  • Access: Will it have accounts, administrative privileges, network connections, physical access, or the ability to change your systems?
  • Dependency: Which business processes or systems rely on the service, and how quickly could you switch providers or operate without it?
  • Impact: What would a confidentiality, integrity, or availability failure mean for your organization?
  • Risk tolerance: Which exposures are unacceptable, and which might be managed through safeguards, contract terms, or remediation?

Use those answers to set review priorities. A vendor with privileged access to critical systems warrants deeper scrutiny than a supplier with no access to sensitive information and an easily replaceable service. NIST SP 1326 focuses on information and communications technology (ICT) suppliers, while noting that due-diligence assessments can also be applied to other suppliers.

Identify the supplier and choose the depth of review

Confirm the exact legal entity and product under consideration; a familiar brand name may not identify the company that will contract with you, deliver the service, or handle your data. Record traceable details and check applicable government restriction or exclusion sources before proceeding.

  • Legal company name and, where relevant, parent or subsidiary relationships
  • Whether the company is publicly held, privately held, or otherwise controlled
  • Headquarters and relevant operating locations
  • Company website and the precise product, service, or product version being evaluated
  • The entity responsible for support, hosting, maintenance, and data handling

NIST distinguishes basic desktop research using publicly available information from enhanced due diligence that may add commercial datasets, proprietary sources, or supply-chain illumination tools. Choose an approach that matches the service’s criticality and your available resources. For important findings, seek confirmation from more than one source when possible; an unverified supplier statement is not equivalent to independent evidence.

Evaluate the supplier across five risk areas

Apply the same five categories to each candidate so that comparisons are meaningful. They are NIST SP 1326’s core research areas for ICT suppliers, not a universal scoring formula.

1. Foreign ownership, control, or influence (FOCI)

Look beyond the country where the supplier is incorporated. Consider ownership and investment, leadership ties, headquarters, operating locations, applicable foreign laws, and other relationships that could affect management, operations, or information handling. Decide in advance which countries and kinds of exposure matter to your organization, based on your sector, jurisdiction, data, and contract. A geographic connection alone does not establish that a supplier is unsafe; assess how it could create influence or exposure in your specific circumstances.

2. Provenance

Map where the supplier and the product are developed, assembled, hosted, maintained, and distributed. Where available, examine the origins of important hardware, components, software, and subcomponents. For software, investigate open-source and third-party dependencies as well as the supplier’s own code. A software bill of materials (SBOM) can help identify component relationships, but having an SBOM does not prove that the software is secure, current, or free of vulnerabilities.

3. Resilience

Assess whether the supplier can continue meeting its commitments and provide reliable, authentic products. Relevant signals may include financial distress, leadership turnover, regulatory violations, litigation, data breaches, counterfeits, and product performance problems. Interpret each signal in context: establish when it occurred, what product or service was involved, the severity and business impact, and what the supplier did to contain the issue and prevent a recurrence. A past incident is a finding to evaluate, not an automatic reason to reject every vendor.

4. Foundational cybersecurity practices

Consider both the supplier’s own security posture and the way it develops and maintains the product you would use. Look for evidence relevant to exposed credentials, malware or compromises, unnecessary open ports, patching cadence, obsolete software, unpatched product vulnerabilities, end-of-life status, update frequency, and product-specific development practices. Ask how the supplier identifies, prioritizes, fixes, and communicates vulnerabilities, and check whether the answer applies to the product and service in scope.

5. Supply-chain tiers

Identify direct suppliers and important sub-tier dependencies, such as hosting providers, component makers, or maintenance providers. Consider whether critical dependencies are shared across vendors, sole-sourced, or difficult to replace. Where the service’s criticality justifies it, examine relevant FOCI concerns and restriction or watch-list exposure farther down the chain. A supplier’s security depends in part on the providers and components it relies on, so a review limited to the contracting company may miss material dependencies.

Judge the evidence, not just the claims

For each material finding, record the source, date, relevance, completeness, and apparent accuracy. Distinguish supplier-provided answers from independent reporting, official records, or technical evidence, and note where facts conflict or remain unknown. A dated statement about a product or company may no longer describe its current state.

For an incident or vulnerability, establish the timing, affected products or systems, severity, and effect on confidentiality, integrity, or availability. Then assess the supplier’s response: what was fixed, what mitigations were implemented, and whether the issue remains relevant to the service you plan to buy. NIST SP 800-161 Rev. 1, with Update 1 published November 1, 2024, emphasizes documented sources and consistent assessment criteria in supply-chain risk management. Compare candidates and make a documented decision

Use consistent baseline criteria for every candidate, then add factors specific to your service, sector, jurisdiction, and contract. Do not treat an unexplained numerical score as a substitute for judgment. A comparison should make clear both the relative risk and the quality of the evidence behind it.

Evidence quality Source independence, recency, completeness, conflicting information, and unresolved questions

Keep the underlying sources and write down your rationale, residual concerns, and decision. If a risk is manageable, turn it into a specific control or obligation—for example, limiting access, requiring remediation before deployment, setting incident-notification expectations, or increasing monitoring. If the remaining risk exceeds your organization’s tolerance, choose another supplier or do not proceed. NIST does not prescribe one universal score or risk threshold; the organization must make that decision in context.

Reassess the vendor during the relationship

Pre-contract due diligence is a starting point, not a permanent guarantee. Ownership, products, dependencies, vulnerabilities, and incidents can change after onboarding. Set review intervals and event-driven triggers in proportion to criticality and contractual exposure. Examples include a change of control, a major product or hosting change, a newly disclosed vulnerability affecting the service, or a significant incident. Preserve the evidence trail so later reviews can identify what changed and whether existing safeguards still fit.
