If a contractor’s breach may have exposed your organization’s data or systems, act on two tracks at once: contain further access and preserve evidence. Then establish what the contractor could reach, verify remediation, assess legal and contractual duties, and make a documented decision about who must be notified. There is no single notification deadline that applies to every organization; the answer depends on the data, affected people, your role, and the jurisdictions involved.

What to do first: contain access without destroying evidence

Activate the response team and coordinate the work across security or IT, operations, legal, communications, and management as appropriate. The Federal Trade Commission’s Data Breach Response: A Guide for Business advises businesses to move quickly to secure systems and fix vulnerabilities, while also warning: “Do not destroy evidence.”

Contain the incident

  • Work with the response team to secure affected systems and stop further data loss. If a device is affected, the FTC advises taking it offline but not turning it off before forensic experts arrive.
  • Update credentials that may have been stolen, and restrict contractor accounts or permissions that are no longer needed.
  • Coordinate any access suspension with the investigation. Depending on the severity, cutting off the contractor’s access until vulnerabilities are fixed may be appropriate.

Preserve evidence

Keep relevant logs, devices, messages, and other records available for investigation. Document actions taken and avoid making changes that could destroy forensic evidence. If your team lacks the expertise to establish the source or scope, the FTC identifies independent forensic investigators and experienced cybersecurity staff as possible support.

Find out what the contractor’s breach could reach

A contractor’s incident is not necessarily limited to the contractor’s own environment. An attacker may have used contractor access to enter your network or reach connected systems. Investigate your own environment as well as the provider’s account of what happened.

Establish scope

  • Identify the systems, accounts, and personal information the contractor could access.
  • Determine whether the attacker used that access to enter your organization’s network or access other data.
  • Use preserved logs and other available evidence to establish what information was accessed, whether it was encrypted, and how many people may be affected.
  • Review the contractor’s current permissions and remove access that is not required for its work.

Do not treat the contractor’s initial description as a complete account of the incident. The scope can change as logs are reviewed and the investigation develops.

Require and verify the contractor’s remediation

Ask the contractor for a clear explanation of the incident, the systems and information involved, and the corrective actions it has taken. Match those claims against your own investigation and verify that the fixes work; assurances alone do not establish that a vulnerability is resolved.

Keep access restricted or suspended where needed until the relevant vulnerabilities are fixed and the information is safe. Also check your own network for unauthorized activity through the contractor’s access. The FTC’s Cybersecurity for Small Business guidance recommends asking vendors how they will correct a problem and considering access cutoff until it is fixed.

Assess legal and contractual duties before deciding whom to notify

Notification obligations depend on the organization’s role, the type of data, the people affected, and the places where those people live. Review the vendor agreement and its incident-notice terms promptly, identify the relevant jurisdictions and rules, and involve privacy or security counsel where appropriate. FTC guidance recommends consulting legal counsel because federal and state requirements may apply.

For U.S. incidents, do not assume there is one nationwide deadline

The FTC says all states, the District of Columbia, Puerto Rico, and the U.S. Virgin Islands have breach-notification legislation. State laws typically govern what notices must or must not say, and federal or sector-specific rules may also apply. Identify the affected states and check the rules that apply to the data and organizations involved.

For UK GDPR, distinguish processor notice from controller reporting

If a contractor acts as a processor, it must inform the controller without undue delay after becoming aware of a personal data breach. The controller assesses whether the breach is notifiable to the Information Commissioner’s Office (ICO). Under the ICO’s Personal data breaches: a guide, a controller must report a notifiable breach without undue delay and no later than 72 hours after becoming aware of it. That is a UK GDPR requirement, not a universal deadline for every breach.

If the information needed for an ICO report is incomplete, the ICO allows phased submission without undue further delay. A controller that decides a breach is unlikely to pose a risk and therefore does not report it must be able to justify that decision. The ICO says organizations must document breaches and their decisions about whether to report.

Check the special U.S. rule for certain health-data services

The FTC Health Breach Notification Rule can cover personal health record vendors, related entities, and third-party service providers; coverage is not the same as simply handling health information, so check whether the rule applies rather than assuming HIPAA is the only relevant framework. Under FTC guidance reflecting the July 2024 rule amendments, a covered third-party service provider must notify its designated client contact—or a senior official if no contact is designated—identify affected people, and obtain acknowledgment. The guidance describes a 60-calendar-day outer limit, while also requiring action without unreasonable delay. The covered entity’s downstream duties differ.

Make a documented notification decision

Once you have a working view of scope and risk, decide which authorities, business customers, and affected individuals must be notified under the applicable law and contract. Record the decision, its basis, and the information used, including when the organization became aware of the breach. For a UK controller, the ICO specifically expects a record even when the decision is not to report.

Coordinate notice timing with law enforcement when relevant, without letting that coordination obscure any applicable legal deadline. If facts are still developing, use an authorized phased submission where the regulator permits it rather than waiting for every detail before taking a required first step.

Communicate clearly and help affected people reduce harm

Notices should describe what is known, what information was involved, what actions the organization has taken, and what practical steps recipients can take. Provide a reliable contact point for questions. Avoid misleading assurances or speculation, and do not publish technical details that could create additional security risk.

Tailor protective advice to the exposed information. For example, the FTC points people whose Social Security numbers were exposed toward fraud alerts or credit freezes. Credit monitoring or identity-restoration support may also be considered, particularly when financial information or Social Security numbers were involved. The FTC recommends considering at least a year of free credit monitoring or other identity support in such cases; this is a recommendation, not a universal legal requirement or a measured guarantee of protection.

Record lessons and strengthen supplier controls

Keep an incident record that captures what happened, the response, remediation, and notification decisions. Then review whether the supplier relationship needs stronger controls. The ICO’s guidance on third-party arrangements recommends written terms that specify processor breach responsibilities, reporting timescales, and communication contacts. The ICO page says that guidance is under review following the Data (Use and Access) Act, so check the current guidance and applicable law when updating agreements.

  • Set clear security expectations and limits on the data and systems a supplier may access.
  • Specify incident-notice channels, contacts, and timescales in the contract.
  • Require an account of corrective actions and a way to verify that fixes have been implemented.
  • Review access periodically and remove permissions that are no longer needed.
