The SEC’s quorum amendment took effect October 2, 2026. It keeps three commissioners as the ordinary quorum, but lets fewer than three commissioners in office form a quorum—and, for a particular matter, lets one or two eligible commissioners form a quorum when the others are disqualified. A report dated October 7 said Hester Peirce’s departure left Paul Atkins and Mark Uyeda on the Commission. The procedural change may affect the SEC’s ability to act; it does not itself decide crypto policy or the outcome of any crypto matter.

What changed in the SEC quorum rule

The amendment to 17 CFR 200.41, Release No. 34-106537, became effective October 2, 2026. It preserves three commissioners as the standard quorum and adds no blanket one-member quorum. Instead, the regulation sets out two exceptions to the ordinary rule.

The amended text says: “A quorum of the Commission shall consist of three members; provided, however, that if the number of Commissioners in office is less than three, a quorum shall consist of the number of members in office; and provided further that on any matter of business as to which the number of members in office, minus the number of members who either have disqualified themselves from consideration of such matter pursuant to § 200.60 or are otherwise disqualified from such consideration, is two or one, that number of members shall constitute a quorum for purposes of such matter.” Read the published rule text.

The SEC says the Exchange Act does not set a quorum requirement for the Commission; this is a procedural quorum rule the agency set in its regulations. It changes the conditions under which commissioners can constitute a quorum, not the substantive standards of securities law or the SEC’s authority over every issue. See the SEC’s final-rule page.

Why the reported two-member roster matters

A CryptoSlate report dated October 7, 2026, said Hester Peirce’s departure, effective October 2, left Paul Atkins and Mark Uyeda as the two commissioners. That is a dated report, not a permanent roster; the membership can change. Read the October 7 report.

If that reported roster is accurate, the fewer-than-three provision is the directly relevant exception: the members in office can form a quorum. The separate disqualification provision applies to a different situation—when commissioners cannot participate in a particular matter. It does not let one commissioner act alone simply because the Commission has two members.

Can one commissioner act alone?

Only in the limited, matter-specific circumstance described by the rule: after subtracting members disqualified from a particular matter, one commissioner remains eligible. That one member then constitutes a quorum for that matter. The exception does not create a general one-person quorum for all SEC business.

With fewer than three commissioners in office, the other exception uses the actual number in office. For example, if two commissioners are in office, those two can constitute a quorum under that provision. The rule’s two exceptions should not be conflated: one addresses low membership across Commission business; the other addresses disqualification on an individual matter.

What this could mean for crypto decisions

A quorum determines whether the Commission can proceed under its procedural rule. In a two-member Commission, the low-membership exception may allow the agency to conduct business without waiting for a third commissioner. That can affect its practical ability to act, but the rule does not prescribe which crypto policies commissioners choose, guarantee action on any proposal, or establish the outcome of a specific crypto matter.

The distinction matters when following SEC crypto developments: a procedural change is not itself a crypto policy change. The quorum amendment should not be read as a prediction that the SEC will adopt, reject, or accelerate any particular crypto rule.

How to distinguish the SEC’s crypto actions

The SEC has taken separate actions with different legal status. As of the dates stated on the agency’s pages, one is a proposal and another is an issued interpretation; neither should be mislabeled as the other.

Regulation Crypto Assets is a proposal

The SEC issued its Regulation Crypto Assets proposal in August 2026, with comments due October 20, 2026. The proposal describes two offering exemptions: up to $5 million over four years, and up to $75 million during each 12-month period. These are proposed terms, not exemptions already in effect. The March interpretation is a separate action

Separately, the SEC issued an interpretive release on how federal securities laws apply to certain types of crypto assets and transactions. The agency lists it as effective March 23, 2026. It is distinct from the later Regulation Crypto Assets proposal. Read the SEC interpretive-release page.
