xAI’s March 2025 acquisition of X was announced as an all-stock deal that valued xAI at $80 billion and X at $33 billion in equity value. Those were figures Elon Musk announced—not independently audited valuations. The companies were placed under a new parent, X.AI Holdings Corp. In February 2026, SpaceX acquired xAI, changing the ownership picture again. Musk said the original combination was intended to bring xAI’s AI capabilities together with X’s reach, but the cited announcements and filings do not establish a specific future X or Grok product roadmap.
What did xAI pay for X?
Musk announced the March 2025 transaction as an all-stock deal. In his announcement, he put xAI’s value at $80 billion and X’s equity value at $33 billion. He also described X’s value as $45 billion when including $12 billion of debt.
These figures describe the transaction as announced, not a cash price paid for X. The distinction matters: $33 billion is the stated equity value, while $45 billion is the debt-inclusive figure. The companies were privately held, and contemporaneous Associated Press coverage noted they were not required to disclose their finances publicly. The announced figures should therefore not be treated as independently audited fair values or public-market prices.

March 2025: xAI and X placed under a new parent
Musk announced that xAI had acquired X in March 2025. A Tesla SEC proxy filing described xAI and X as wholly owned subsidiaries of a new parent company, X.AI Holdings Corp. In other words, the transaction brought the two businesses together under a shared holding company rather than leaving X as a standalone company owned directly by xAI.

February 2026: SpaceX acquired xAI
SpaceX announced on February 2, 2026 that it had acquired xAI. The related SEC filing describes xAI Holdings as becoming a wholly owned subsidiary of SpaceX. That later transaction means the ownership story did not end with xAI’s acquisition of X: the structure subsequently changed again when SpaceX acquired xAI.
Why did Musk combine xAI and X?
Musk’s stated rationale was to bring together “the data, models, compute, distribution and talent.” He described the goal as blending xAI’s AI capabilities and expertise with X’s reach. That explains the strategic ambition he announced; it does not, by itself, demonstrate that a particular integration succeeded or that a promised feature was delivered.

What is established about what comes next?
The announcements and filings described here establish the deal, corporate structure and stated rationale. They do not lay out a detailed future roadmap for X or Grok, give a schedule for user-facing changes, or report measurable integration outcomes. Associated Press coverage of the initial deal also noted that it was unclear whether the transaction would change the experience for X users.

What Musk said when the deal was announced
In the announcement reproduced by Associated Press on March 28, 2025, Musk wrote: “xAI and X’s futures are intertwined. Today, we officially take the step to combine the data, models, compute, distribution and talent. This combination will unlock immense potential by blending xAI’s advanced AI capability and expertise with X’s massive reach.” This is Musk’s description of the deal’s intended potential, not independent evidence of results.
