Wolfspeed announced a conditional commitment for up to $1.5 billion in long-term financing from the U.S. Department of War, through its Office of Strategic Capital. It is a proposed loan facility—not confirmation that Wolfspeed has received $1.5 billion. The company says financing remains subject to diligence, definitive agreements, government authorization and approval, appropriations, and third-party consents.
What Wolfspeed announced
Wolfspeed’s October 7, 2026 announcement describes a proposed senior secured, delayed-draw term loan of up to $1.5 billion. The named government counterparty is the U.S. Department of War, acting through its Office of Strategic Capital. The stated aim is to support domestic production and capabilities in silicon carbide (SiC) and other wide-bandgap technologies, including gallium nitride (GaN).
The distinction between a commitment and funded proceeds matters: Wolfspeed says there is no assurance that definitive agreements will be executed or that financing will be provided. The project undertaking in the filing spans four related areas, rather than SiC production alone:

That scope connects commercial semiconductor manufacturing with technologies the company and agency say have national-security relevance. Wolfspeed CEO Robert Feurle said, “SiC and GaN have critical national security applications.” That is the CEO’s characterization, not an independent technical assessment. How the proposed loan is structured
Wolfspeed’s Form 8-K text describes up to four funding tranches: an initial tranche of up to $600 million, followed by as much as $900 million across later tranches. The proposed initial draw would refinance outstanding first-lien senior secured notes due in 2030 and cover transaction costs; later draws would fund project expenditures.

The facility is expected to have a 30-year maturity and a 36-month commitment period for draws. Those are proposed terms, subject to conditions and definitive agreements.

The filing describes an expected interest rate comparable to a U.S. Treasury rate of similar maturity, plus a provisionally contemplated risk premium of 1.25% to 1.75%. The premium is subject to diligence and negotiation, so it is not final pricing. Interest would be payable quarterly; under specified conditions, interest could be capitalized during the first five years. Proposed warrants
Wolfspeed says it would issue the Department of War VWAP-based warrants covering up to 7.5% of fully diluted equity in aggregate, pro rata as financing tranches are funded. How this differs from the 2024 CHIPS proposal
The 2026 conditional loan is separate from a 2024 Department of Commerce announcement of non-binding preliminary terms for up to $750 million in proposed CHIPS Act direct funding. That earlier proposal concerned Wolfspeed SiC projects in Siler City, North Carolina, and Marcy, New York; it was a different agency, program, and financing instrument. The two figures should not be added together as though they were one financing package.

Commerce said in 2024 that the earlier projects were estimated to create over 2,000 manufacturing jobs and 3,000 construction jobs. What remains uncertain
The announcement and filing text set out a conditional financing proposal, but the reviewed materials do not establish whether definitive agreements, required approvals and appropriations, or any tranche funding were completed by October 9, 2026. Readers should therefore treat the amount, pricing, warrant coverage, draw schedule, and project financing as proposed rather than final or delivered.
