Strategy did not receive $4.12 billion in cash. In an October 5, 2026 Form 8-K, the company estimated a $4.12 billion income-tax benefit for the three months ended September 30 after bitcoin’s fair value rose above its cost basis. The benefit came from reversing a deferred tax asset and releasing a valuation allowance; it was an accounting adjustment, not a tax refund or cash windfall.
What Strategy reported for Q3 2026
Strategy estimated that the change in its bitcoin position reduced deferred tax expense from approximately $6.00 billion to $1.88 billion, creating an estimated income-tax benefit of about $4.12 billion. The company also reported an estimated $20.91 billion gain on digital assets for the three months ended September 30, 2026, and an estimated digital-asset carrying value of $70.82 billion as of that date. These are separate accounting figures, not cash receipts. Strategy’s October 5 Form 8-K says the estimates exclude additional deferred tax assets and related valuation allowance associated with its software operations.
How the tax-accounting adjustment worked
The key comparison is bitcoin’s fair value against its cost basis at a reporting date. A deferred tax asset can reflect a potential future tax benefit associated with losses; a valuation allowance reduces that asset when the company does not consider it more likely than not to be realized. Neither entry is equivalent to cash in hand.

| Reporting date | Bitcoin value versus cost basis | Deferred tax position | Reported effect |
|---|---|---|---|
| June 30, 2026 | Fair value was below cost basis. | Strategy reported a $4.12 billion deferred tax asset related to unrealized bitcoin losses, offset in full by a valuation allowance against domestic net deferred tax assets. | The company maintained the valuation allowance. June 30 Form 10-Q |
| September 30, 2026 | Fair value exceeded cost basis. | Strategy said the $4.12 billion deferred tax asset associated with the June loss was reversed and the associated valuation allowance released. | Estimated $4.12 billion income-tax benefit; estimated net deferred tax liability related to bitcoin holdings and activity was $1.88 billion. October 5 Form 8-K |
In the company’s explanation, the move above cost basis changed the tax accounting for the earlier loss-related asset and its valuation allowance. The resulting release reduced the estimated deferred tax expense. It does not mean Strategy sold bitcoin or realized a trading profit to fund the benefit.

Why the $4.12 billion is not cash
An income-tax benefit in financial reporting changes the tax expense recognized in the accounts. It does not establish that the company received a payment from the government. Strategy’s June filing separately explains that unrealized gains on digital assets do not generate cash unless the bitcoin is sold or the company otherwise generates cash from the holdings. The June 30 Form 10-Q makes that distinction. The Q3 8-K therefore supports describing the amount as an estimated accounting benefit—not a refund, cash inflow, or realized gain.
What could change the estimate
The September 30 comparison is a period-end accounting snapshot, not a permanent outcome. Strategy cautioned that actual results may differ materially, including because bitcoin prices can change and affect deferred tax assets, valuation allowances, and tax expense. The reported amount also concerns bitcoin holdings and activity; it does not establish that future tax exposure has been eliminated.

The Q3 financial information was prepared by Strategy management. KPMG LLP had not audited or reviewed it and expressed no opinion on it, according to the October 5 Form 8-K. Accordingly, the figures are company estimates rather than audited Q3 results.

“Windfall” is shorthand for the estimated $4.12 billion income-tax benefit—not money arriving in Strategy’s bank account. The more precise reading is that, as of September 30, Strategy estimated bitcoin fair value was above cost basis, reversed a previously reported deferred tax asset, released its associated valuation allowance, and lowered estimated deferred tax expense. The $20.91 billion asset gain and $70.82 billion period-end carrying value are related context, but neither should be confused with the tax benefit or cash proceeds.
