Paying for a digital item does not tell you exactly what you own. You might have a limited license to view content, a contractual claim against a platform or custodian, or a token whose practical control belongs to whoever can use the relevant cryptographic keys. Access and transfer depend on the contract, technical controls, service availability and the law that applies to the transaction.
The useful question is not simply “Do I own it?” Ask instead: What right did I acquire, who can block or enable access, what can legally be assigned, and what happens if the account holder dies, loses credentials or the provider shuts down?
“Owned” can describe several different legal positions
A storefront receipt, account balance or token purchase is evidence of a transaction, not a complete description of your rights. The asset may be one of several fundamentally different things.
| What you may have | What it usually means in practice | What can limit access or transfer |
|---|---|---|
| Content license | Permission to view, use or display content under stated conditions | Personal-use terms, device limits, account suspension, revocation or bans on assignment |
| Platform-dependent purchase | A record that a service will normally make content available through an account or compatible software | Provider rights, service closure, format support, removal of content or loss of a login |
| Custodied cryptoasset | A claim or position maintained by an intermediary that controls the means of moving the asset | Withdrawal rules, freezes, approvals, insolvency, key custody and regulatory controls |
| Self-custodied token | Control through the private key or other signing mechanism needed to cause a transfer | Lost keys, damaged recovery material, smart-contract restrictions, network failure or mistaken transactions |
| Assignable legal right | A contractual or statutory right that may be transferred independently of a particular app or token | Assignment clauses, consent requirements, privacy law, eligibility rules and governing jurisdiction |
These categories can overlap. A token may represent a license, a claim or another contractual benefit. A platform account may contain licensed media and a separate monetary balance. Read the terms for the specific asset and transaction rather than relying on the label “purchase,” “ownership” or “digital property.”

Why a purchase may be a license rather than an unrestricted copy
Digital content is commonly delivered under a license. The buyer receives permission to access or use the content, while the service retains control over distribution, software and account administration. A license can be valuable without being freely resellable or inheritable.
Amazon’s Kindle Store Terms of Use illustrate the distinction. They describe a non-exclusive, personal-use right to view, use and display Kindle Content within stated limits. Their limitations section says: “Unless specifically indicated otherwise, you may not sell, rent, lease, distribute, broadcast, sublicense, or otherwise assign any rights to the Kindle Content or any portion of it to any third party.” That is a term for that service and its applicable regional agreement, not a universal rule for every digital purchase.
Such terms can also address termination and revocation of service access in specified circumstances. Even if a file has been downloaded to a device, the permitted use may still be constrained by the license. Copying a file, giving someone account credentials or selling an account therefore may not transfer the underlying right.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsAccount access is not the same as access to every item
A functioning login is a route into a service. It does not prove that every item in the account can be downloaded, used on every device or transferred to another person.
Service and device dependencies
Digital content may require an approved application, a supported operating system, an online authorization check or continued operation of a provider’s servers. A change in device support can make an otherwise valid purchase harder to use without changing the original transaction.

Content can disappear from a catalog
Apple’s Media Services Terms state that purchased content will generally remain accessible, but also warn: “Content also may be removed from our Services at any time (for instance, because Apple loses its right from the Content provider to make it available), after which it cannot be downloaded, redownloaded, or otherwise accessed from Apple.” This describes Apple’s regional terms and does not establish a general rule that all digital purchases are temporary.
Account suspension and deactivation
A provider may suspend an account for nonpayment, suspected abuse, a legal demand or a breach of terms. The practical result can be loss of access even when the customer believes the original purchase was legitimate. Recovery may depend on identity verification, transaction records and a process that is available only to the account holder.
Crypto custody: identify who can actually cause a transfer
For a cryptoasset, the key question is who controls the means of access. UK Financial Conduct Authority guidance in PERG 18 examines whether a provider can bring about a transfer of the benefit “through any means,” including possession of private keys or arrangements that distribute key shards.
Custodied arrangements
In a custodial arrangement, an intermediary may hold the private key, enough key shards or an operational control that is required to sign a transaction. The customer can have a valuable claim while lacking the technical ability to move the asset independently. Withdrawal windows, manual reviews, freezes and approval queues are all signs that the provider remains involved in transfer control.
Self-custody
A provider is not safeguarding cryptoassets in a self-custody arrangement when the customer controls the asset and the provider has no means to bring about a transfer. A contract promising not to exercise control is not decisive if the provider’s technical systems still let it override the customer’s authority. Test the real control path: who can sign, who can replace a key, who can pause a transaction and who can recover the account?

Hardware devices do not create ownership
A hardware cryptocurrency wallet can help protect key material from routine online exposure, but it does not establish legal entitlement, guarantee recovery or make platform-based media transferable. If the device or its recovery information is lost, technical access may be lost even when a contract or token record still exists.

Technical transfer and legal transfer are separate questions
A token moving from one address to another is a technical event. Whether the rights represented by that token can be assigned is a legal and contractual question.
FCA guidance distinguishes those questions. A cryptoasset may be considered transferable through rights capable of assignment off-chain even when the token itself cannot move on-chain. Conversely, a token that moves freely on a network may still represent a right that the issuer’s contract restricts. Lockups, know-your-customer checks, whitelists, approval steps and freeze controls do not, by themselves, prove that transfer is impossible or that it is legally permitted.
Questions to ask before sending or selling a token
- What right does the token represent: a payment claim, access entitlement, license, voting right or something else?
- Does the offering document or contract permit assignment, resale or gifting?
- Can the recipient satisfy geographic, identity or eligibility requirements?
- Can an issuer, custodian or smart contract freeze, reject or reverse a transfer?
- Is an off-chain registry, approval or separate contract needed for the recipient to receive the benefit?
Inheritance, incapacity and account recovery
Death and incapacity expose the gap between a person’s legal interest and a provider’s access procedure. The outcome depends on the governing jurisdiction, terms of service, privacy rules, custodian policy and technical feasibility.
Florida example
Florida Statutes, Chapter 740, section 740.05 (2026), makes a fiduciary’s authority subject to the applicable terms of service and other law. A personal representative or other fiduciary may therefore need to satisfy both the statute and the provider’s process. The statute is a Florida example, not a universal rule for every U.S. state or country.

Delaware example
Delaware Code, Title 12, Chapter 50, provides documented request routes for fiduciaries seeking control or access to digital assets and accounts. It also recognizes statutory limits, including technological impracticability. A fiduciary may have legal authority yet still be unable to obtain data that a provider cannot technically retrieve or decrypt.
What an estate plan should record
- The names of platforms, custodians and wallets, without placing secret keys in an exposed document.
- Where recovery instructions, purchase confirmations and current terms are stored.
- Which assets are licenses, claims, tokens or other rights.
- The jurisdiction governing important contracts and the location of relevant estate documents.
- A trusted person who knows how to begin the provider’s formal process.
Do not assume that giving a fiduciary your password is lawful or safe. Some services prohibit credential sharing, and a password alone may not bypass multifactor authentication, device binding or key encryption.

Provider failure can produce different outcomes depending on the asset. A licensed media item may become unavailable if the service loses distribution rights. A custodial crypto customer may have a contractual claim in an insolvency proceeding but no immediate withdrawal ability. A self-custodied token may remain on the network while the issuer’s promised utility disappears.
Regulation (EU) 2023/1114 (MiCA) includes liability for certain losses attributable to cryptoasset custodians. That liability is not a general promise that every digital asset will be recovered, nor does it solve lost-key, issuer-shutdown or license-expiration problems. Determine whether the relevant failure is a custody loss, a contract breach, a service discontinuation or a customer-side access failure.

- Save the transaction record. Keep the receipt, invoice, token sale record and the terms in force when you acquired the asset.
- Locate the governing agreement. Search for sections titled license, ownership, assignment, transfer, suspension, termination, account closure, death and incapacity.
- Classify the right. Mark it as a license, a platform-dependent access right, a claim against a custodian, a token-controlled right or an assignable legal claim.
- Map the access path. Record the required login, device, recovery method, private key, key shards, signing software and network.
- Test the recovery route. Confirm that backup codes, recovery contacts or key backups work before an emergency. Do not test with a valuable irreversible transaction unless the procedure is designed for that purpose.
- Check transfer conditions. Look for assignment bans, recipient eligibility, approval steps, lockups, withdrawal limits and geographic restrictions.
- Document the failure plan. Note what happens after death, incapacity, account deactivation, provider shutdown or a lost device.
- Escalate high-value issues. Check local law and obtain qualified legal advice for estate, insolvency, tax or substantial-value questions.
A decision framework for comparing access and custody options
| Question | Why it matters | Evidence to collect |
|---|---|---|
| Who controls the login and recovery credentials? | Account access may depend on one person, a provider or a recovery service | Terms, recovery flow, multifactor requirements and deactivation policy |
| Who controls the private key or enough key shards? | Key control often determines who can initiate an on-chain transfer | Wallet architecture, signing roles and recovery documentation |
| Can someone freeze, delay, approve or initiate a transfer? | Operational control may remain with a custodian even when the customer is called the owner | Withdrawal rules, approval queues, freeze powers and technical permissions |
| Is the right assignable? | A technical handoff may not transfer the legal benefit | License, sale agreement, issuer terms and applicable law |
| What happens at death or incapacity? | Privacy and account rules can block an otherwise lawful request | Fiduciary procedure, identity requirements and estate documents |
| What technical dependencies remain? | Software, networks, servers and encryption can fail independently of legal rights | Supported devices, export options, backup tests and provider status |
Common mistaken assumptions
- “I paid, so I can resell it.” Payment may buy a personal license whose assignment is prohibited.
- “It appears in my account, so I can download it forever.” A provider may lose distribution rights or discontinue a service.
- “The token is on my address, so the issuer cannot affect me.” The represented benefit may depend on an issuer, registry, approval or off-chain contract.
- “The app says self-custody, so nobody else has control.” Examine whether the provider can technically cause or block a transfer.
- “My heirs can show the death certificate and get everything.” Procedures, privacy rules, terms and technical impracticability can limit access.
- “A wallet backup guarantees recovery.” A backup may restore a key while leaving the legal right, service or token utility unavailable.
What to preserve now
Keep purchase confirmations and the applicable terms together with a plain-language description of each asset. Record recovery locations and responsible contacts, but store passwords, seed phrases and private keys using security practices appropriate to their value. Tell a fiduciary where instructions are held without casually sharing secrets. Recheck the arrangement after a provider changes its terms, you change devices, or the asset’s issuer changes its technology or transfer rules.
The CFTC’s consumer advisory on digital coins and tokens recommends identifying the rights a token conveys and preserving the offering materials. It also highlights technology changes, liquidity, theft and uncertainty about future uses as risks to consider. Those factors matter even when the blockchain record itself remains visible.
