IBM announced the sale of its global PC business to Lenovo on December 7, 2004, and the deal closed on May 1, 2005. Lenovo took over IBM’s desktop and notebook operations, including ThinkPad and ThinkCentre, while IBM shifted its focus toward enterprise software, services and infrastructure.

When did Lenovo buy IBM’s PC division?

The deal was announced on December 7, 2004, as an agreement for Lenovo to acquire IBM’s Personal Computing Division. The parties completed the transaction on May 1, 2005, after regulatory review, including review by the Committee on Foreign Investment in the United States. They announced that review was complete on March 9, 2005. IBM and Lenovo’s 2004 announcement and Lenovo’s closing release document the timeline.

How much did IBM receive?

The announced consideration was US$1.25 billion in cash and Lenovo equity. At closing, Lenovo paid approximately US$650 million in cash and US$600 million in Lenovo shares. The broader transaction value was about US$1.75 billion when assumed debt and liabilities are included; IBM’s historical summary describes the total as approximately US$1.75 billion in cash, stock and debt. IBM expected a pre-tax gain of approximately US$1 billion, according to the May 2005 closing announcement.

Why did IBM sell its PC business?

IBM said the PC market was becoming more like consumer electronics: a business driven by enormous economies of scale and aimed at individual buyers. IBM’s 2005 filing characterized the decision as consistent with exiting lower-margin, commoditized businesses and repositioning the company for faster-growing opportunities. IBM’s filed announcement includes its market rationale; its 2004 annual report records CEO Samuel J. Palmisano’s view that the sale was the best path forward for the PC business.

The sale was a strategic change in ownership, not an end to IBM’s technology business. IBM intended to concentrate on enterprise software, services and infrastructure, and maintained a commercial relationship with Lenovo as a preferred services and customer-financing provider. Lenovo brought the scale and consumer-market reach that IBM believed the PC operation needed. The stated rationale explains IBM’s decision; it does not by itself establish how the acquisition affected later market share or shareholder returns.

What did Lenovo acquire?

Lenovo acquired IBM’s global desktop and notebook PC business—not IBM as a whole. The package included the ThinkPad notebook franchise, ThinkCentre desktops, enterprise PC technologies, product-development expertise and global sales and distribution reach. Lenovo and IBM projected approximately US$12 billion in combined PC revenue for 2003 and described the combined operation as the world’s third-largest PC business at the time of the 2004 announcement. The announcement sets out that projection, while Lenovo’s company history identifies ThinkPad as part of the acquisition.

About 10,000 employees transferred

Approximately 10,000 IBM employees joined Lenovo as part of the transaction. The announcement said more than 40% were already based in China and fewer than 25% in the United States. These figures describe the transferred workforce at the time of the deal, not Lenovo’s later staffing levels. The SEC-filed announcement provides the employee details.

Did Lenovo really buy ThinkPad from IBM?

Yes. ThinkPad was part of the PC division Lenovo acquired, and Lenovo became the owner and operator of the continuing product line. IBM’s official ThinkPad history says many IBM designers, engineers and marketers moved with the brand. “IBM ThinkPad” therefore refers to the line before the sale; ThinkPads produced under the continuing line after the acquisition are Lenovo products.
