For a U.S. public company, start with the latest Form 10-K or Form 10-Q cover page to find the number of shares outstanding, the share class, and the exact “as of” date. Then open the company’s definitive proxy statement (DEF 14A) and locate “Security Ownership of Certain Beneficial Owners and Management” or similar wording. Use the proxy’s beneficially owned share count and applicable denominator when supplied; otherwise calculate beneficially owned shares ÷ applicable shares outstanding × 100 after checking every footnote. The two filings may use different measurement dates, and options or convertible securities can affect a named holder’s reported percentage under SEC beneficial-ownership rules.
What “shares outstanding” means in a filing
Shares outstanding are the company’s issued shares currently held by shareholders, reported at a particular date. They are not a live, continuously updated number. New stock issuance, repurchases, conversions, option exercises and other transactions can change the count after a filing is submitted.
Always record three things together:
- the number of shares;
- the exact class, such as common stock, Class A or Class B; and
- the filing’s “as of” date.
A company-wide outstanding-share count and an insider ownership table can therefore show different dates or even different class denominators. Treating either figure as undated is a common source of incorrect ownership percentages.

Use EDGAR as the starting point
The SEC’s EDGAR company search is the primary place to locate a public company’s annual reports, quarterly reports, proxy statements and ownership filings. Open the SEC EDGAR company filing page, search by the company’s legal name or ticker, and verify that the CIK and company identity are correct before opening a document.

EDGAR lists filings by form and date. For this task, the most useful forms are:
- 10-K: the annual report, whose cover page normally states shares outstanding as of a specified date;
- 10-Q: a quarterly update with another dated outstanding-share count;
- DEF 14A: the definitive proxy statement, usually containing the directors’ and officers’ beneficial-ownership table;
- Forms 3 and 4: initial ownership and subsequent changes reported by directors, officers and other Section 16 insiders; and
- Schedule 13D or 13G: beneficial-ownership filings by certain large shareholders, which are not substitutes for the management table but can explain major holdings.
Find the dated outstanding-share count
1. Open the newest 10-K or 10-Q cover page
On the cover page, look for a sentence similar to “As of [date], [number] shares of [class] were outstanding.” Copy the number, class and date exactly. The cover-page figure is the cleanest starting denominator for a basic calculation, but it is valid only for that stated date and class.
2. Check whether a later filing is more appropriate
If the proxy’s ownership table is dated after the latest 10-K, a newer 10-Q may provide a closer company-wide count. Do not silently substitute a newer number: note which filing supplied it and why its date is relevant to your calculation.
3. Confirm whether multiple classes exist
Dual-class companies can have separate Class A and Class B counts, sometimes with different voting rights. A Class A insider percentage must use the Class A denominator unless the proxy expressly defines a combined calculation. Do not add classes together merely because both are described as common stock.

Locate the insider ownership disclosure
Search the definitive proxy statement
Open the company’s DEF 14A and use the browser’s find function for “Security Ownership,” “Beneficial Ownership,” “Directors and Executive Officers,” or “significant shareholders.” Wording varies, but the relevant table generally identifies directors, director nominees, named executive officers, all directors and executive officers as a group, and certain large shareholders.
The SEC’s How to Read a 10-K guide explains that Item 12, “Security Ownership of Certain Beneficial Owners and Management and Related Stockholder Matters,” covers shares owned by directors, officers and certain large shareholders, along with shares covered by equity-compensation plans.
Follow an Item 12 incorporation reference
Many 10-Ks do not reproduce the ownership table. Instead, Item 12 says the information is incorporated by reference to the company’s proxy statement, often one that will be filed later. Follow that reference and use the specified section of the proxy. The 10-K’s incorporation language is not itself the ownership data.
Read the table heading and footnotes before copying numbers
Ownership tables commonly state a measurement date near the heading, such as “as of” a date several weeks before the proxy is filed. Footnotes explain whether holdings are direct or indirect, whether voting or investment power is shared, and whether securities exercisable or convertible within 60 days are included.

Step-by-step workflow
- Identify the issuer. In EDGAR, confirm the legal company name, ticker and CIK.
- Open the latest 10-K or 10-Q. On the cover page, copy the outstanding-share count, class and “as of” date.
- Open the latest definitive proxy statement. Search for the security-ownership section and record its measurement date.
- Choose the holder and class. Select the specific director, officer or group and make sure the shares belong to the same class as the denominator.
- Copy the company’s reported percentage, if provided. Use it as the primary figure because it reflects the issuer’s stated assumptions and footnotes.
- Recalculate only after reading the notes. Use the applicable beneficially owned share amount and denominator, not an unrelated total from another table.
- Investigate later changes when necessary. Review subsequent Forms 3 and 4 for transactions after the proxy’s measurement date, while retaining the proxy’s definitions as the basis for interpretation.
How to calculate insider ownership
For a straightforward, single-class calculation:
Insider ownership percentage = beneficially owned shares ÷ applicable shares outstanding × 100
For example, if a proxy reports that an officer beneficially owns 2,000,000 shares and the applicable class has 100,000,000 shares outstanding, the arithmetic is 2,000,000 ÷ 100,000,000 × 100 = 2%. This is an illustration of the method, not a reported percentage for a particular company.
When a proxy supplies both the holder’s percentage and its denominator, prefer the company’s stated percentage. A home-made calculation can disagree if it ignores securities included for that holder, shared ownership, excluded holdings or a different class.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsKeep the two relevant dates visible
Write down both dates in your notes or article:
- the date of the 10-K or 10-Q outstanding-share count; and
- the date on which the proxy measured beneficial ownership.
If they differ, label the result as a dated calculation rather than a current or live percentage.

Do options and convertible securities count?
Sometimes. SEC beneficial-ownership conventions can treat securities that a named holder has the right to acquire within 60 days as beneficially owned by that holder. The proxy’s footnotes determine whether qualifying options, warrants, restricted securities or convertible instruments are included.
The treatment is holder-specific. Shares underlying an option exercisable within 60 days may be added to that holder’s beneficially owned amount and to the denominator used for that holder’s reported percentage, while not being added to another shareholder’s denominator. Consequently, dividing a holder’s headline share count by the cover-page total can produce a result that does not match the company’s table.
Look specifically for notes about:
- options, warrants and other rights exercisable within 60 days;
- convertible securities;
- shares held through trusts, entities, spouses or family members;
- shared voting power or shared investment power; and
- holdings excluded from the table or from a particular person’s percentage.
Why two legitimate figures can differ
| Figure | What it measures | What to verify |
|---|---|---|
| 10-K or 10-Q cover count | Shares outstanding for a stated class and date | “As of” date, class and whether the count is issued and outstanding |
| Proxy ownership table | Beneficial ownership of named insiders, groups and certain large holders | Measurement date, holder-specific denominator and footnotes |
| Form 3 | An insider’s initial beneficial ownership report | Filing date, transaction date and security type |
| Form 4 | Reported changes in an insider’s beneficial ownership | Transaction code, number of securities and resulting holdings |
Before concluding that a number is wrong, compare the filing purpose, class, measurement date, securities counted for the particular holder and whether the figure is issued and outstanding or beneficially owned under SEC rules.
Examples of the two-step lookup
Reliance, Inc.
Reliance’s 2025 Form 10-K cover page reports 51,733,277 common shares outstanding as of February 20, 2026. The filing says management ownership information will be included in the proxy statement by reference. The example shows why the cover page and proxy must be read together; the dated count is not a universal or current figure for another company. See the Reliance 2025 Form 10-K.

Alphabet Inc.
Alphabet’s 2026 proxy bases ownership percentages on 5,823,665,113 Class A shares and 835,779,041 Class B shares outstanding as of April 6, 2026. Its explanations of qualifying options and convertible securities demonstrate why the class and holder-specific assumptions matter. These are dated filing figures, not general market statistics. See the Alphabet 2026 proxy statement.
Use Forms 3 and 4 for changes after the proxy
A proxy can be weeks or months old by the time you read it. EDGAR’s Forms 3 and 4 can reveal later acquisitions, dispositions, option exercises and other reportable changes. Use them to investigate what happened after the proxy’s measurement date, but do not treat a single Form 3 or Form 4 as a replacement for the proxy’s ownership definitions.
For a current-looking analysis, state the proxy date, list relevant later Forms 3 or 4, and explain that the resulting figure is an estimate or update based on those filings rather than a new company-certified ownership table.
Common mistakes and how to avoid them
- Using a search-engine number without a date: return to the filing and capture the “as of” date.
- Mixing classes: match Class A with Class A and Class B with Class B unless the company expressly defines a combined denominator.
- Stopping at the 10-K: follow Item 12’s incorporation reference to the DEF 14A.
- Ignoring footnotes: read notes about 60-day exercisability, trusts, family interests and shared power before calculating.
- Calling the result live: describe it as of the relevant filing dates.
- Adding every insider’s shares yourself: use the table’s “all directors and executive officers as a group” row when available, because group calculations can reflect different beneficial-ownership assumptions.
- Comparing unlike filings: a cover-page outstanding count, proxy beneficial ownership and a later Form 4 answer different questions.
A practical worksheet
| Item to record | Your entry |
|---|---|
| Company legal name, ticker and CIK | From EDGAR |
| Outstanding shares | Exact number from the 10-K or 10-Q cover |
| Outstanding-share class | Exact class named in that filing |
| Outstanding-share “as of” date | Date printed on the cover page |
| Proxy measurement date | Date stated above the beneficial-ownership table |
| Insider and security class | Name and matching class |
| Beneficially owned shares | Table amount, including only securities covered by its notes |
| Company-reported percentage | Copy if supplied |
| Independent calculation | Beneficially owned shares ÷ applicable denominator × 100 |
| Footnote assumptions | Options, convertibles, trusts, family interests and shared power |
| Subsequent Forms 3 or 4 | Record only when post-proxy changes matter |
This worksheet preserves the context needed to explain why your result may not match a number copied from a different filing.
