An acquisition is a trigger to verify your SaaS supplier, not proof that the service or your rights have changed. Confirm whether the deal is proposed, signed, or completed; obtain the buyer’s written plans; review your executed contract and data terms; test continuity, security, and data export; then decide whether to stay, renegotiate, or migrate before renewal or a forced transition.
1. Establish exactly what has happened
Start with facts rather than headlines. A vendor may have announced a proposed transaction, signed a definitive agreement that has not closed, or completed the acquisition. Those stages can involve different operating entities, approval conditions, notices, and timelines. Ask the supplier to identify the current stage and provide the expected closing date if the transaction is not complete.

Ask your account contact or legal contact for a written description covering:

- The acquiring company and the entity that will contract with customers after closing.
- Whether the current subscription agreement, order form, renewal, data-processing terms, security addendum, and service-level commitments will remain in force.
- Expected changes to product scope, support channels, service levels, pricing, billing, policies, integrations, hosting locations, or the product roadmap.
- The person responsible for customer questions and the dates on which each change is expected.
Do not assume that a press release answers these questions. An acquisition does not automatically amend a customer contract or require a switch. The outcome depends on the transaction structure, the signed agreement, the services and data involved, and the law governing the relationship.

2. Map how much your business depends on the service
Build a current dependency record before evaluating alternatives. Include every workflow, integration, user group, data set, and internal owner connected to the SaaS application. Record what would stop or degrade if the service became unavailable, materially changed, or could no longer process a particular type of data.
Inventory the operational footprint
- List production, development, test, and administrative tenants.
- Identify single sign-on, identity-provisioning, API, webhooks, data warehouse, finance, support, and automation integrations.
- Record user counts, privileged administrators, business owners, and technical owners.
- Classify the information stored or processed, including personal, confidential, regulated, or customer-owned data.
- Document manual workarounds, recovery priorities, and the business consequence of an outage or degraded feature.
For a critical service, ask how business continuity, incident escalation, disaster recovery, and communications will operate during and after the ownership change. Canadian Centre for Cyber Security guidance on managed services treats acquisition-related supply-chain uncertainty and exit planning as risks to assess. Federal Acquisition Regulation Part 39 offers a risk-based continuity and security reference for U.S. federal contracting, but it is not a rule for private companies.
3. Assemble and read the signed documents
Use the executed versions, not a marketing page or an outdated order form. Collect the subscription or master services agreement, every order form and renewal, data-processing agreement, security addendum, service-level terms, acceptable-use and privacy documents, and amendments. Note the version and effective date of each document.

Clauses that deserve a close review

The American Bar Association’s SaaS Agreements: Key Contractual Provisions (November 2021) and World Commerce & Contracting’s III. SaaS Contract Checklist (March 2025) treat data return, continuity during transition, cooperation, fees, processing rights, and exit assistance as matters to negotiate in the contract. They do not create universal customer rights. If the wording is ambiguous or the stakes are high, obtain advice for the governing jurisdiction.
4. Verify continuity, support, and the product plan
Request specific answers instead of accepting “business as usual.” Ask whether the operating teams, hosting arrangements, support hours, escalation path, status-page process, maintenance windows, service-level measurements, and incident-notification process will change. Ask for the timeline, the responsible owner, and the effective date for each proposed change.
Questions for the vendor
- Will the current service, APIs, integrations, and authentication methods be maintained?
- Will support contacts, ticket systems, severity definitions, response targets, or escalation executives change?
- Will the service-level agreement and service credits remain the same through the current term and at renewal?
- Are any features being retired, consolidated, rebranded, or moved to another edition?
- Will maintenance, hosting, subcontracting, or incident communications be handled by a different entity?
- What is the migration plan if the buyer intends to combine products or tenants?
Compare the answers with your dependency record. A roadmap change that is harmless to one team may break an integration or control that another team considers essential. Reassess supply-chain and continuity risk whenever the answers materially differ from the pre-acquisition service.

5. Reassess privacy, security, and compliance
Determine whether the buyer, its affiliates, or new subprocessors will access customer data. Ask whether processing purposes, categories of data, storage or support locations, cross-border transfers, retention periods, or security controls will change. Request an updated subprocessor list, security documentation, breach-notification process, audit reports or certifications that your policy requires, and the effective date of any revision.

Compare the vendor’s response with the data-processing agreement, security addendum, privacy notice, internal security policy, customer commitments, and applicable law. UK government guidance for organizations using SaaS advises involving security specialists, assessing information and data-protection risk, and checking that data can be safely retrieved or removed. Crown Commercial Service guidance on contract data and GDPR-related agreements is relevant to public-sector arrangements; it is not a substitute for the terms governing your own relationship.
- Confirm which party is controller, processor, or equivalent under the applicable privacy regime.
- Check whether a new affiliate or subprocessor needs notice, approval, or an opportunity to object.
- Verify encryption, identity and access management, logging, vulnerability management, backup, and incident response commitments against your requirements.
- Review whether the buyer’s personnel can use data for analytics, product development, marketing, or group-wide administration beyond the existing purposes.
- Update your own records of processing, risk assessment, vendor register, and customer disclosures when the facts change.
6. Prove that you can retrieve your data
Do not wait for a dispute or service outage to discover that an export is incomplete. Ask for the exact procedure, authentication required, export formats, rate limits, included metadata, audit logs, attachments, configuration, and retention period after termination. Clarify whether export access remains available during a suspension, after non-renewal, or only for a stated number of days.

Run a controlled export test
- Choose a representative, non-production or approved production sample that includes records, attachments, relationships, timestamps, permissions, and configuration you would need to rebuild the service.
- Use the vendor’s documented export method and record the requester, date, format, duration, volume, and any rate or size limits.
- Validate the files independently: open them, check counts and relationships, confirm character encoding, and verify that timestamps, identifiers, access information, and attachments are usable.
- Ask the supplier to explain anything missing, proprietary, aggregated, or dependent on an API rather than a standard export.
- Store the export with the same access controls, encryption, retention, and deletion protections applied to the live data.
Also obtain a written deletion and retention schedule. It should explain when primary and backup copies are removed, how legal holds affect deletion, and what evidence of deletion is available. Contracting guidance from the Canadian Centre for Cyber Security, the ABA, WorldCC, and UK government all identify usable data return, transition duration, cooperation, and fees as exit-planning issues.

Make the decision before the next renewal deadline, while you still have bargaining leverage and time to test alternatives. Treat staying as an active decision with documented conditions, not as the absence of a migration project.

Use the same comparison axes for every option
- Continuity and support: operational stability, escalation quality, roadmap, and incident handling.
- Contract and renewal rights: notice windows, assignment, termination, price changes, and leverage at renewal.
- Security and privacy: access, processing purposes, locations, subprocessors, controls, and compliance obligations.
- Portability: completeness, machine-readable format, metadata, export frequency, and validation results.
- Transition effort and cost: supplier cooperation, duration, professional-services fees, internal staffing, and overlap period.
- Replacement risk: implementation complexity, integration changes, user disruption, data loss risk, and control gaps.
Set a threshold for escalation. For example, an uncorrected inability to export required records, a processing change that conflicts with your obligations, or a missed contractual notice should have a named executive owner and a documented response. The threshold is your governance choice; it is not a universal legal test.

8. Keep a decision record and follow-up plan
Save the acquisition notice, vendor answers, contract versions, export test results, risk assessment, renewal dates, meeting notes, approvals, and final rationale in a controlled location. Record who owns each unresolved question and the date for follow-up.
Minimum fields for the record
- Transaction stage, announced and expected close dates, and post-close contracting entity.
- Services, tenants, integrations, data classes, business owners, and criticality.
- Applicable agreement versions, change-of-control and assignment analysis, and notice deadlines.
- Continuity, support, security, privacy, subprocessor, pricing, and roadmap responses.
- Export procedure, validation evidence, retention and deletion commitments, and transition fees.
- Decision, conditions, approver, review date, renewal date, and contingency owner.
Revisit the record when the transaction closes, a policy or subprocessor changes, an incident occurs, a material feature is retired, or renewal approaches. This turns a one-time announcement into ongoing vendor governance.
What this checklist cannot decide for you
No general checklist can determine whether a particular acquisition permits termination, requires consent, changes data-processing responsibilities, or creates a regulatory filing. Those conclusions depend on the executed agreement, transaction structure, data and services, and applicable jurisdiction. The Federal Acquisition Regulation applies to U.S. federal acquisitions; Canadian and UK government guidance addresses its own contexts. Private-sector customers should apply the same risk-management principles to their contracts and obtain jurisdiction-appropriate legal or privacy advice when the consequences warrant it.
