Do not assume construction is either fully cleared or fully stopped when an archaeology contractor disappears. Immediately stabilize any affected work, notify the owner’s contract lead and the responsible permitting or lead agency, preserve the project record and site, and obtain written direction on what may continue. Before archaeological work or ground disturbance resumes in controlled areas, the replacement archaeologist, permit status, work plan, and agency approvals must be confirmed in writing.

The correct response depends on the land manager, jurisdiction, permit and mitigation commitments, discovery status, and contract. The steps below provide a decision process for owners, developers, construction managers, public agencies, and site managers; they do not replace project-specific legal or agency advice.

First 24 hours: stabilize the project and establish the facts

Treat a shutdown as a project-control and resource-protection event, not merely a vendor problem. Tell the construction superintendent, environmental or cultural-resources lead, owner’s representative, and contract administrator that the archaeology coverage has changed. Put the notification in writing and record the time sent.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Determine what actually happened

Contact the contractor’s project manager, if reachable, and ask for a written status. Distinguish among a temporary staffing failure, a missed mobilization, a formal cessation of business, insolvency, termination, or a subcontractor failure. Record:

  • the last date and time the contractor performed work;
  • the areas inspected, monitored, excavated, or left incomplete;
  • the names and qualifications of staff who were on site;
  • equipment, samples, artifacts, documents, and digital files still in the contractor’s possession;
  • subcontractors, laboratories, tribal or community contacts, and other parties involved;
  • the contract notices already sent and any response deadlines; and
  • the physical condition of the site, including open units, exposed deposits, temporary fencing, weather protection, and hazards.

Do not treat an unanswered phone or an absent field archaeologist as proof that the contract is terminated. The owner, procurement official, or contracting officer must determine the contractual status.

Issue an interim field instruction

Tell supervisors to follow the existing stop-work, inadvertent-discovery, environmental, and safety commitments. The absence of an archaeologist does not create an automatic clearance to excavate, trench, grade, drill, or haul through a sensitive area. Ask the responsible permitting or lead agency to state in writing:

  • which areas and activities, if any, may continue;
  • whether monitoring, spot checks, or a qualified archaeologist must be present;
  • which areas must remain barricaded or otherwise protected;
  • what temporary security, erosion, weather, or public-safety measures are required; and
  • what approval is needed before a successor begins.

Distribute the agency’s response to the superintendent and every affected subcontractor. Keep a decision log showing who gave each instruction and when.

Can construction continue while the archaeologist is unavailable?

Sometimes unaffected work can continue, but the contractor’s shutdown alone does not answer the question. Review the permit conditions, approved cultural-resources or archaeological work plan, mitigation commitments, environmental document, right-of-way requirements, and any agency correspondence. Then compare the proposed activity with the actual controls in those documents.

Question Continue only when the answer supports continuation
Is the work area outside the controlled or archaeologically sensitive zone? The permit and approved plan do not require coverage, monitoring, or a clearance for that activity.
Is qualified coverage required for this activity? A qualified archaeologist or an agency-approved alternative is available as specified in writing.
Has a discovery occurred or is one suspected? The discovery protocol has been completed and the responsible authority has issued instructions.
Is the site safe and protected? Open excavations, exposed deposits, artifacts, samples, and sensitive locations are secured.
Has the authority confirmed the scope? The owner has written direction identifying the areas and activities that may proceed.

Use two operational paths rather than a reflexive project-wide shutdown:

Path A: keep unaffected work moving

This path is appropriate only where the permit and mitigation plan clearly separate the work, no discovery is active, safety and resource protection are in place, and the agency confirms the limits. Mark the boundary in field drawings, daily reports, and the superintendent’s briefing. Require workers to stop and call the designated contact if soil conditions, artifacts, features, human remains, or unanticipated deposits appear.

Path B: pause a wider scope

Pause a broader area when the permit requires continuous coverage, the work boundary cannot be reliably identified, the site contains exposed or unstable deposits, a discovery is unresolved, or the agency has not yet determined what may proceed. A wider pause may cost time, but unauthorized disturbance can create greater schedule, enforcement, mitigation, and evidentiary problems.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

There is no universal threshold for a project-wide pause. Base the decision on the permit, qualified coverage, agency direction, discovery status, safety, and documented project risk—not on the contractor’s business status alone.

Apply the discovery protocol if archaeological materials are found

A contractor shutdown and an archaeological discovery are separate events. If materials or features are discovered, follow the project’s written discovery plan and the responsible authority’s instructions immediately. Protect the location, stop the activity specified by the plan, and prevent collection, concealment, photography that exposes sensitive coordinates, or unauthorized movement of artifacts.

Land-based construction example

Texas Department of Transportation guidance illustrates the kind of instruction that may apply in a state right-of-way. Its Construction Contract Administration Manual says: “If archaeological materials are identified within the ROW or a Department-designated material source, cease all construction-related activities and report the find to the AE and DEQC in accordance with the contract and the Department’s Emergency Discovery Guidelines.” This is Texas guidance, not a rule for every state or project. Use the contacts and reporting sequence in your own contract and agency plan.

Offshore federal example

For a narrowly defined offshore situation, 30 CFR §585.702(a)(2) requires a person conducting specified BOEM-approved activities to halt seafloor-disturbing activity in the discovery area, notify the Bureau of Ocean Energy Management within 72 hours, and protect the location pending evaluation and instructions. The 72-hour period applies to that regulation and activity; it is not a general deadline for ordinary land construction.

Keep the discovery record controlled

Record the date, time, coordinates using the project’s approved system, photographs, soil or feature description, personnel present, work stopped, protective measures, and every notification. Restrict sensitive location data to people authorized under applicable law, permit terms, or tribal and agency requirements.

Review the contract, permit, and funding documents

As soon as the site is stable, assemble the executed agreement and its operational documents. This review identifies who can direct a replacement, who owns the records, and what notices are required.

  • Executed scope, specifications, amendments, change orders, and rates.
  • Notice, cure, default, suspension, termination, insolvency, and assignment clauses.
  • Insurance, performance bonds, payment bonds, surety contacts, and subcontract terms.
  • Deliverable acceptance, invoicing, audit, confidentiality, data-security, and record-ownership provisions.
  • Permit, approved work plan, mitigation measures, monitoring requirements, and agency correspondence.
  • Funding conditions, federal or state procurement rules, tribal requirements, and land-manager policies.

This is a practical checklist, not a claim that every agreement contains every term. Have procurement officials and counsel interpret the actual contract and governing law before issuing a termination, withholding payment, or assignment.

Federal construction contracts

For federal construction contracts, Federal Acquisition Regulation Subpart 49.1 (shown as FAC 2026-01, effective March 13, 2026) addresses termination administration. FAR 49.105-4 states that, for a terminated construction contract, the contracting officer must direct action to ensure site cleanup, protection of serviceable materials, removal of hazards, and other action needed to leave a safe and healthful site. That federal rule is not a substitute for advice on a private, state, local, or non-U.S. agreement.

Secure the archaeological and project record

Do not wait for a replacement firm to discover that essential information is missing. Request a written inventory and transfer of all project materials, while confirming custody and access rights with the contracting party and agency.

Records to request

  • Survey, testing, monitoring, excavation, and treatment reports, including drafts and appendices.
  • Daily logs, context sheets, unit forms, maps, plans, field notebooks, and chain-of-custody records.
  • Original and processed photographs, video, drone imagery, and image metadata.
  • GIS, CAD, geodatabases, coordinate-system information, and survey control.
  • Artifact, ecofact, sample, and laboratory inventories; accession numbers; and storage locations.
  • Permits, amendments, agency approvals, correspondence, meeting minutes, and decision logs.
  • Data backups, file-format information, passwords or transfer credentials held by the contractor for project systems, and a list of missing or corrupted files.
  • Outstanding analyses, laboratory orders, curation tasks, public-reporting commitments, and unresolved agency comments.

Protect custody and confidentiality

Do not move artifacts, human remains, samples, or sensitive site-location data merely because a contractor has closed. Confirm who has legal custody, where materials may be stored, and which agency, tribal authority, museum, or land manager must approve a transfer. Photograph the current site condition and temporary protection without publishing sensitive coordinates. Use an evidence-style transfer log listing each item, file, date, sender, recipient, and condition.

A California Energy Commission docket provides one project-specific illustration of an owner-led transfer to a successor, but it does not establish a universal ownership rule. Your contract, permit, funding terms, and applicable law control.

Do not assume the old permit transfers

Permit transfer rules vary. On National Park Service parklands, non-NPS archaeological investigations generally require an Archaeological Resources Protection Act permit unless they are performed under a specifically written, supervised NPS contract or cooperative agreement. A successor therefore should ask the park or regional archaeologist and permitting official what authority applies before fieldwork begins. The same principle applies elsewhere: obtain the issuing authority’s confirmation rather than relying on an informal handoff.

Plan the handoff and restart

  1. Freeze the evidence. Secure files, samples, artifacts, exposed deposits, equipment, and site photographs. Record the condition before anything is moved.
  2. Build a gap list. Separate completed, partially completed, missing, and disputed tasks. Identify deadlines, agency comments, laboratory work, and areas not yet inspected.
  3. Brief the successor. Provide the approved documents, maps, access rules, safety plan, discovery protocol, contact list, and unresolved decisions. Require the successor to acknowledge what was received.
  4. Obtain agency approval. Secure written acceptance of the successor and any revised permit, work plan, monitoring plan, or mitigation measure.
  5. Define the restart boundary. State the exact locations, equipment, depths, and activities allowed to resume. Mark them in drawings and daily instructions.
  6. Conduct a supervised restart. Have the qualified archaeologist inspect the handoff area, verify protection measures, and brief the superintendent and subcontractors.
  7. Document each decision. Keep the agency direction, attendance, photographs, permits, and daily reports in the permanent project record.

Restart only after these controls are complete. If the agency cannot yet define the permitted scope, keep the affected work controlled while continuing only clearly authorized activities.

Handle termination, payment, and surety issues separately

Operational continuity and commercial enforcement are related but different workstreams. Preserve notices, invoices, timesheets, accepted and rejected deliverables, change orders, correspondence, and evidence of costs caused by the interruption. Follow the contract’s notice and cure process and applicable procurement rules. Coordinate with procurement, counsel, insurers, and any performance or payment bond surety before declaring default, terminating, paying a substitute contractor, or assigning records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Insolvency can affect who may release files, artifacts, equipment, and confidential information. A receiver, trustee, landlord, laboratory, museum, or subcontractor may hold material relevant to the project. Counsel should determine the lawful route to recover it and whether any privacy, cultural-property, export, employment, or bankruptcy restriction applies.

Common mistakes and how to avoid them

  • “No archaeologist means no archaeological risk.” Risk remains until the permit and agency identify an authorized path.
  • “We can use the old permit with a new company.” The issuing authority may require a transfer, amendment, or entirely new approval.
  • “A 72-hour rule applies to every discovery.” The 72-hour notice in 30 CFR §585.702 is an offshore BOEM rule for specified activities, not a general land-construction deadline.
  • “The contractor owns everything it created.” Ownership and custody depend on the contract, permit, funding terms, law, and agency requirements.
  • “A verbal instruction is enough.” Obtain written direction, circulate it, and preserve the decision log.
  • “We can sort out the records later.” File loss, overwritten backups, moved artifacts, and changed site conditions become harder to reconstruct with every day of delay.
  • “Stopping every activity is always safest.” A blanket pause may be unnecessary if the agency authorizes clearly separated work; make the boundary explicit rather than guessing.

What a complete closeout package should contain

Before the successor is considered fully mobilized, require a package that lets an independent reviewer understand what happened and what remains:

  • shutdown chronology and contractual status;
  • site-condition survey and protection photographs;
  • agency notifications and written directions;
  • permit and work-plan status, including amendments or pending requests;
  • record inventory with file checks, storage locations, and custody signatures;
  • completed-versus-outstanding task matrix;
  • successor qualifications, insurance, and approved scope;
  • restart map showing controlled and authorized areas;
  • discovery, safety, and emergency contact list; and
  • commercial claim, invoice, bond, and notice log maintained by the owner or contracting entity.

This package protects the archaeological record, gives field crews unambiguous instructions, and allows the agency to verify that the replacement work satisfies the original commitments.

Bottom line

When an archaeology contractor shuts down, protect the site first, notify the contract and permitting authorities, preserve every record, and obtain written direction before affected disturbance resumes. Keep only clearly authorized work moving. Confirm the successor’s qualifications and permit status, follow the project discovery protocol for any find, and handle termination, surety, payment, and ownership questions under the actual contract and governing law.
