Before buying, verify what the company has actually demonstrated, what its products are legally allowed to do, how it expects to earn revenue, how much funding it may need, and what rights the listed security gives you. Use the latest company filings and official regulator and exchange records: a pipeline announcement is not proof of clinical benefit, an approval is not a guarantee of sales, and a share listed offshore may not represent direct ownership of a mainland operating company.

This is a company-diligence checklist, not a recommendation about a particular share, valuation, or investor’s suitability.

How strong is the clinical evidence for each major drug candidate?

Assess each asset separately. A company can have several candidates at very different stages, and a promising mechanism or announced trial is not evidence that a treatment works or will reach the market. China’s drug-registration provisions describe clinical trials as human research used to establish safety and efficacy for marketing registration, and set out Phase I through IV and bioequivalence trials.

Build an evidence record for each asset

  • Record the target indication, mechanism, trial phase, public trial identifier, trial start date, and the next disclosed milestone.
  • Check the design: participant numbers and characteristics, control or comparator, primary and secondary endpoints, follow-up period, and whether the trial is randomized or blinded when relevant.
  • Read the reported efficacy results and adverse events, not just the company’s characterization of them. Consider whether the endpoint is clinically meaningful and whether follow-up is long enough to assess the claimed benefit and risks.
  • Compare company announcements with public trial records and relevant regulator information. China’s registration provisions require qualified, filed trial institutions and ethics committee review, and provide for trial-protocol and result information to be disclosed on the NMPA platform.

Distinguish milestones that are often blurred together

Milestone What it establishes What it does not establish
Trial announced or initiated The company reports a planned or started study. That enrollment is complete, results are positive, or a regulator will approve the drug.
Enrollment completed The planned recruitment milestone has been reached, if confirmed in the record. That the primary endpoint was met or safety is established.
Top-line results disclosed The company has reported selected trial outcomes. That all results are available, independently replicated, or sufficient for approval.
Marketing application accepted The regulator has accepted an application for review. That the application will be approved or that commercial sales will follow on a particular date.
Marketing approval A regulator has authorized the specific drug for the approved scope and jurisdiction. Approval in another jurisdiction, broad use beyond the label, reimbursement, sales volume, or profitability.

A trial permission or expedited review timeline is a process milestone, not an efficacy conclusion. The NMPA’s 2025 policy interpretation reported an average review timeline of approximately 50 working days under the existing 60-day implicit-approval system and described an additional 30-day pathway for selected applications. Those are reported process figures, not promises about a particular candidate’s review.

What exactly has the regulator approved, and where?

Make a product-by-product, jurisdiction-by-jurisdiction record. China’s Drug Administration Law generally requires drugs marketed in China to obtain a drug approval license; its review considers safety, efficacy, and quality management. The law also allows conditional approval in specified circumstances, including certain serious or urgent needs when trial data show efficacy and predictable results.

  • Identify the regulator, drug, indication, application type, decision date, and approved label.
  • Record any conditions, post-approval studies, or other commitments, plus subsequent safety updates or label changes.
  • Check official regulator records for the claimed decision rather than relying only on a company announcement.
  • Search for inspections, warning letters or notices, suspensions, recalls, and safety actions relevant to the product or its manufacturing.

An NMPA decision applies to its specific product and authorized scope in China. Do not treat it as US, European, or other-market approval. A conditional approval is still a formal decision, but its conditions and evidence basis matter to the risk assessment.

Can approval turn into durable commercial sales?

Approval alone does not establish access, reimbursement, sales volume, or margins. For products already being sold, examine revenue by product and geography, realized prices, gross margins, customer concentration, distributor dependence, and hospital or channel access. For products not yet launched, separate management’s commercial plans from demonstrated sales.

Check the policy and economics around each product

  • Determine reimbursement and tender status, pricing history, and exposure to centralized procurement or other price-adjustment policies.
  • Review whether sales depend on a small number of products, distributors, hospitals, or regions, and whether reported revenue is supported by receivable collection and inventory trends.
  • Identify competing therapies, patent and exclusivity timelines, licensing obligations, royalties, milestone payments, and how economics are divided with partners.
  • For manufacturing, check capacity, GMP compliance, inspection history, quality complaints, recalls, third-party manufacturers, and supply concentration.

China’s Drug Administration Law places quality-system and post-market safety responsibilities on marketing authorization holders, including when manufacturing is contracted. Issuer disclosures identify procurement, medicine-price adjustments, distribution policy, inspections, and quality as potential risks, but their effect varies by product and company. The available evidence does not support one quantified or universal estimate of how centralized procurement affects all Chinese pharmaceutical companies; check the current policy and the issuer’s disclosures for the specific product and procurement cycle.

How much cash does the company have, and what could dilute your stake?

Use audited annual and interim financial statements, notes, and subsequent-event disclosures. For a development-stage company, cash runway is an estimate tied to spending assumptions and upcoming milestones, not a fixed property of the business.

  • Track cash and restricted cash, operating cash flow, recent burn, debt balances and maturity dates, receivables, inventory, and capital commitments.
  • Separate recurring product revenue from one-time licensing income, milestone payments, royalties, government grants, and other nonrecurring items.
  • Review trial commitments, planned study costs, launch spending, and whether management’s runway estimate includes the milestones it expects to reach.
  • Check share-based compensation, convertible securities, options, warrants, placements, prior fundraising, and the fully diluted share count.
  • Look for related-party transactions and changes in working capital that could make reported profit or cash generation less durable.

Calculate more than one runway case using recent cash use and committed spending, then test what changes if a trial is delayed, costs rise, or revenue arrives later than planned. A 2025 SEC-filed annual report example identifies financial prospects and additional capital needs as issuer risk areas; that is a prompt for issuer-specific review, not evidence that every Chinese pharmaceutical company has the same financing profile.

Does the listed company directly own the operating business?

Trace the legal structure from the listed issuer to the subsidiaries and entities that hold drug licenses, patents, research operations, manufacturing assets, contracts, and cash-generating businesses. Record where each entity is incorporated and where its assets, employees, and funds are located.

Read the ownership and control arrangements

  • Map direct and indirect ownership, and identify any variable interest entity (VIE) or other contractual arrangement.
  • For contractual structures, read who the parties are, what control and economic rights the contracts provide, how they can be terminated, how disputes are resolved, and what happens if enforceability is challenged.
  • Confirm whether the listed parent owns each important license or patent directly, through a subsidiary, or only has contractual rights connected to it.
  • Review controlling shareholders, voting rights, dual-class or weighted voting structures, board independence, executive incentives, share pledges, pre-IPO investors, lockups, and related-party transactions.
  • Follow how cash can move from operating entities to the listed issuer and ultimately to shareholders, including any contractual, regulatory, or corporate steps described in the filings.

A security issued by an offshore holding company is not necessarily a direct share in its mainland operating subsidiaries. A 2025 SEC-filed China-operating issuer discusses this structural distinction and related enforcement risks; HKEX listing guidance also identifies contractual arrangements, governance, controlling shareholders, and connected transactions as disclosure areas. Treat these as prompts to read the named issuer’s documents, not as a conclusion about every company.

What security are you buying, and can you trade it on your terms?

Identify the legal issuer, exchange, ticker, share class, and trading currency. If the security is an American depositary share (ADS), check the depositary ratio, rights attached to the deposited shares, fees, and how voting and corporate actions are handled through the depositary.

  • Check voting and economic rights, including any differences between share classes.
  • Confirm that your broker offers access to the exchange and that you meet any investor eligibility requirements.
  • Understand settlement, currency conversion, and any relevant capital-control or cross-border constraints.
  • Compare average turnover and bid-ask spreads; a listing by itself does not guarantee liquidity.

Review audit and listing-specific risks

Read the auditor’s report, audit opinion, auditor location, internal-control findings, material weaknesses, and any auditor changes. For a US-traded issuer, check current SEC and PCAOB records for the auditor’s inspection status and any identification under the Holding Foreign Companies Accountable Act (HFCAA). A 2025 SEC-filed example describes a possible US-trading prohibition after two consecutive years of non-inspection under the law discussed in that report; the issuer’s current auditor and regulator records determine the company-specific position. Historic risk disclosures are not a substitute for checking current status.

For Hong Kong, HKEX Chapter 18A provides a listing route for clinical-stage, pre-revenue biotech companies. HKEX reported 73 Chapter 18A listings since 2018 that raised US$16 billion through IPOs as of H1 2025. Those are exchange-reported listing and fundraising figures, not measures of clinical success, later share returns, or investment suitability. A route to listing does not show that a company is commercially mature.

How should you compare companies or test a valuation?

Compare companies at similar development stages and, where possible, in similar therapeutic areas. Do not reduce a biotech to one headline metric: a valuation reflects assumptions about clinical outcomes, timing, pricing, market access, margins, partnerships, and future financing.

Comparison area Questions to test
Clinical evidence How sound is the trial design? Are endpoints meaningful, results transparent, safety described, and findings replicated?
Regulatory position What formal decisions exist, for which jurisdictions and indications? What conditions, inspections, or milestones remain?
Product economics What pricing, procurement, reimbursement, competition, intellectual-property life, and partner economics are plausible?
Financial resilience How much cash runway is supported by the assumptions? What debt, development costs, and dilution may lie ahead?
Execution Has management delivered disclosed trial and regulatory milestones? Can the company manufacture to quality standards and reach customers?
Ownership and security What are the legal structure, shareholder rights, audit status, listing venue, liquidity, and access constraints?
Valuation assumptions What sales, approval probabilities, launch timing, prices, margins, royalties, and financing assumptions would justify the current market price?

Separate reported facts from company forecasts and your own assumptions. Test downside cases such as trial failure or delay, lower realized prices, slower uptake, weaker margins, or another capital raise. Without a named issuer and a current share price, there is no company-specific valuation or investment conclusion to draw.

What to verify immediately before making a decision

Because trial status, approvals, safety actions, cash, debt, share count, ownership arrangements, audit status, and exchange rules can change, use the latest available records rather than an old summary or a historical risk paragraph. A practical final pass is:

  1. Read the latest annual and interim filings, including risk factors, financial statements, notes, share-count disclosures, and subsequent events.
  2. Verify each material trial and regulatory claim against public trial records and the relevant regulator’s current information.
  3. Check current product pricing, reimbursement, procurement, manufacturing, and quality disclosures for the specific products that drive the investment case.
  4. Trace the issuer’s subsidiaries, contractual arrangements, licenses, cash flows, voting rights, and dividend pathways.
  5. Confirm the current exchange listing, security terms, trading access, audit information, and auditor inspection status from official records.
  6. Write down the assumptions behind your valuation and financing case, including what would invalidate them.

HKEX’s listing guidance separately addresses risk factors, regulation, business, financial information, use of proceeds, contractual arrangements, governance, and biotech topics. Those categories can help assess how completely an issuer explains its risks, but they do not replace company-specific analysis.
