Shares of an Ethereum treasury company are not the same as ETH. They add corporate risks—including share dilution, debt, custody, operating costs and changes in the stock’s valuation relative to its assets—to exposure to ETH’s price. A company’s stock can therefore lose value even when its ETH holdings do not change, or move differently from ETH.
How a treasury company’s shares differ from ETH
A treasury company holds ETH through a corporate structure. The company, not its shareholders individually, controls those assets under its own custody and governance arrangements. A shareholder’s return depends not only on ETH’s price, but also on the company’s liabilities, financing choices, costs, share count and market valuation.
That makes treasury size alone an incomplete measure of exposure. A useful starting point is to compare the value of the company’s ETH and other assets with its liabilities and fully diluted share count, then consider how the stock trades relative to that net asset value.
Risks to evaluate
ETH concentration and price volatility
A company heavily concentrated in ETH has limited ability to offset a decline in ETH with other treasury assets. SharpLink Gaming, Inc. said in its 2026 Form 10-K that its concentration in ETH limits its ability to mitigate risk through a more diversified treasury. That is SharpLink’s own disclosure, not a description of every issuer.
#1 Best Overall
SharpLink’s filing reports that ETH traded below $1,472 and above $4,821 on Coinbase during calendar year 2025. This is a historical range for that venue and year—not a current quote, a market-wide range or a forecast. ETH’s price can change the value of a treasury quickly, while the company’s stock may also respond to corporate and valuation factors.
Share premium, dilution and financing
A company’s shares may trade above or below the net value of its assets. If a premium narrows, the stock can fall relative to the underlying holdings even if the amount of ETH is unchanged. A smaller premium may also make it harder for the company to raise equity on terms that increase ETH exposure per share.
New share issuance can dilute existing ownership. Whether it also reduces an investor’s exposure to assets per share depends on how much the company raises, the price and terms of issuance, and how it uses the proceeds. Debt and convertible securities can add interest, repayment or conversion claims. BitMine’s annual report discusses premium-collapse risk, dilution fatigue from repeated capital raises, and the possibility that leverage and premium compression can amplify an equity decline; these are the issuer’s stated risks, not a universal measured relationship.

Treasury holdings can rise while each share’s proportional exposure falls if the share count or claims on the assets grow faster.
Staking and validator operations
Staking may generate rewards, but those rewards are conditional, not guaranteed yield. Protocol or provider performance, validator downtime, slashing, operational failures, and third-party arrangements can affect results. Staked ETH may also have withdrawal or access constraints that matter if the company needs liquidity.
Read the issuer’s disclosures for its staking participation, validator and service-provider arrangements, reward variability, slashing exposure, withdrawal process and counterparty terms. An advertised or reported annualized reward should not be treated as a guaranteed return.
Custody, counterparties and access to assets
Custody arrangements differ by issuer. Key control, legal segregation, insolvency treatment, insurance terms and the ability to access or sell ETH are distinct questions; the presence of a custodian does not by itself answer them. Trading counterparties can introduce additional exposure, particularly if assets or proceeds are held with them.

That is an issuer-specific disclosure. Review each company’s own custody and counterparty terms rather than assuming shareholder protections or asset access are identical across companies.
Accounting results versus cash and obligations
Digital-asset fair-value accounting can make reported financial results volatile as ETH’s value changes, even if the company does not sell ETH. SharpLink’s 2026 Form 10-K describes this potential volatility. A reported accounting gain or loss is not, by itself, cash generated or spent.
Read earnings alongside cash balances, operating cash flow, cash burn, debt service and other obligations. Those help show whether the company can fund its operations without relying on an asset sale or new financing.
Legal, network and technology risks
Legal treatment can affect both ETH and a company’s activities, including how it holds, stakes or offers exposure to the asset. A 2026 issuer quarterly report describes SEC/CFTC interpretive guidance identifying ETH as a digital commodity, but also says the interpretation is non-binding on courts and could be changed, withdrawn, superseded or challenged. This does not settle every legal question involving ETH or related services.
Ethereum network upgrades, forks, software vulnerabilities, validator concentration, scaling systems and bridges may also affect asset value or operations. Consider whether the company explains how it would handle operational disruption or changes affecting the assets and services on which its strategy depends.
Corporate operations, governance and trading liquidity
Some treasury companies also operate a business. Its revenue, expenses and cash needs can affect shareholder outcomes independently of ETH. Examine the operating business, cash burn, governance, internal controls and management’s authority over financing and treasury decisions.
Stock-market liquidity is separate from liquidity in the company’s ETH holdings. A thinly traded share can be difficult to buy or sell at a desired price, especially during market stress. Review trading volume and the issuer’s disclosures about share liquidity rather than assuming the stock will track ETH closely.

Use figures from the same reporting date where possible. Share counts, ETH balances, liabilities and financing can change between reports, so note the date and definition attached to each figure.
- Measure asset exposure per share. Compare ETH holdings and ETH per fully diluted share, not just the headline treasury balance.
- Estimate the claim on those assets. Review cash, debt, preferred claims and other liabilities, then compare the share price with net asset value. Check how any premium or discount has changed over time.
- Read the financing terms. Look for recent or planned ATM offerings, private placements, convertibles, debt and other share issuance. Consider whether proceeds increase per-share asset exposure or support operating needs.
- Inspect staking and custody disclosures. Identify validators, service providers, withdrawal constraints, slashing exposure, key-control arrangements, insurance limits and counterparty terms.
- Assess the business and its ability to meet obligations. Review operating cash flow, cash burn, governance, internal controls, trading liquidity and the company’s sensitivity disclosures.
- Check the latest filings and product documents. Holdings, share counts, liabilities, valuation and arrangements can change. Use current issuer filings rather than relying on a figure from an older report.
How a spot ether product compares
A listed spot ether product can provide a structural comparison for someone seeking ETH exposure without buying shares in an operating company. It does not have the same corporate financing and operating risks as a treasury company, but it has its own terms. Compare fees, custody, any staking permissions, share premium or discount, and the product’s legal structure using its current filings. A June 2026 Grayscale Ethereum Staking ETF quarterly report is one date-specific example of an exchange-listed ether product; it is not interchangeable with a corporate treasury company.
The relevant choice is not simply “stock or ETH.” It is whether the particular company’s assets, liabilities, valuation, financing, custody and operations suit the exposure an investor intends to take.
