Before signing an exclusive supplier contract, confirm exactly what you must buy, calculate the full cost over the agreement’s term, and identify how you can respond to price increases, shortages, poor service, and an unwanted renewal. Exclusivity can provide dependable supply or other commercial benefits, but it also gives up some freedom to switch suppliers. Have local commercial counsel review consequential exclusivity, price-adjustment, and termination language.
What does “exclusive” require you to buy?
Do not rely on the contract’s title or a sales description. Read the operative clauses, definitions, schedules, and any documents incorporated by reference to find the actual commitment. A restaurant may be required to use an approved supplier even when similar goods are available elsewhere; the FTC discusses supplier restrictions in its U.S. franchise guidance, including Items 8 and 12 of a Franchise Disclosure Document.
- Products and services: Does the restriction cover named ingredients only, or also beverages, packaging, equipment, maintenance, delivery, or products sold by supplier affiliates?
- Locations and entities: Does it bind one restaurant, every location you operate, future locations, or related companies? Identify the exact legal entity signing.
- Purchase threshold: Must you buy all requirements, a specified share, or a minimum quantity? Check how the agreement defines requirements and calculates the threshold.
- Alternatives: Can you use equivalent products, another brand, or a different supplier with approval? Look for objective standards, a clear approval process, and a response deadline.
- Duration and reach: Establish when the restriction starts and ends, which purchases it covers, and whether any purchase or matching obligation continues after the contract expires.
What will the agreement cost over its full term?
An opening quote is not a total-cost commitment unless the contract makes it one. Build a term-wide estimate from the contract’s pricing rules and realistic purchase needs; compare the result with another supplier’s offer on the same basis.
- Price changes: Is the price fixed, tied to a stated formula, or set by the supplier? Identify permitted triggers, notice requirements, caps, and whether you may reject an increase or terminate. The Competition Bureau Canada warns that price escalation clauses can permit increases at any time or for many reasons in its guidance on exclusive dealing and related practices.
- All-in charges: Include freight, fuel, handling, delivery, minimum-order charges, equipment, fees, and required ancillary purchases—not just the unit price.
- Minimums and demand swings: Compare minimum quantities with actual use, including seasonal changes. Determine whether you must pay for or accept excess product, and what happens to unused, damaged, recalled, or expired goods.
- Credits and rebates: Check eligibility, calculation, timing, conditions, and who receives any rebate. Do not count a rebate as a saving until you understand whether it is paid to the restaurant, a franchisor, or another party.
- Records and disputes: Find out what invoices, volume records, or other documents the supplier can inspect and how either party can challenge a calculation.
Ask an accountant or restaurant bookkeeper to model minimum purchases, price changes, rebates, and likely waste if those figures are consequential. That financial exercise does not replace legal review of the contract.

Can the supplier meet your operating needs?
Exclusivity makes a supplier’s reliability and remedies more important because it may limit your ability to cover a service failure elsewhere. Put material operational promises in the signed agreement or an incorporated schedule; a sales assurance that is not part of the contract may not give you the remedy you expect.
- Specify delivery days, windows, and any service levels such as fill rates.
- Set product quality requirements and rules for substitutions, including who approves them and how quickly.
- Define the complaint process, credits or other remedies, and what happens after repeated late, incomplete, or defective deliveries.
- State what happens during a shortage, recall, emergency, quality issue, or supplier outage, including when you may buy from another source and how quickly the supplier must respond.
How can you renew or leave?
Read the exit provisions alongside the initial term and price. A low opening price may be outweighed by a long commitment, a missed renewal deadline, or a costly early exit. Canada’s Competition Bureau identifies automatic renewal, early termination fees, and rights of first refusal among the restrictions businesses should examine in its business guidance.

- Term and renewal: Record the initial term, renewal length, notice deadline, and the method and address for giving notice. Check whether renewal is automatic and whether prices or minimums reset then.
- Termination rights: Identify termination for cause, any termination for convenience, the cure period for a breach, and what happens if the supplier repeatedly fails to perform.
- Exit cost: Calculate any early-termination fee or stated damages and check whether equipment must be returned or transition assistance is available.
- Post-term restrictions: Review any right of first refusal, matching right, purchase commitment, or other restriction that may affect switching. A right of first refusal may require you to disclose a competitor’s offer and give the incumbent supplier a chance to match it.
Put the notice deadline on the business calendar as soon as the agreement is signed, with reminders well before it. Do not assume that a supplier’s willingness to release you informally changes the written terms.
What else should you review before signing?
Obtain the complete agreement, including schedules and incorporated documents, and compare at least one alternative quote. Ask for oral assurances to be written into the contract. Review these additional provisions for how they allocate risk; their meaning and effect depend on the actual wording and governing law.

- Limits on liability and force majeure provisions.
- Confidentiality, use of business data, and the forum and process for resolving disputes.
Useful negotiation requests may include narrowing the products, locations, or volume covered; setting a cap or limits on price changes; adding practical quality, shortage, and outage exceptions; and securing a workable termination right. Compare the promised benefits with the flexibility surrendered and the alternatives that remain available.
If you are a U.S. franchisee, check the franchise documents too
A franchisee’s supplier restriction may arise in the franchise agreement or system rules as well as in a separate supplier contract. The FTC’s franchise guide points readers to FDD Item 8 for required purchases and suppliers, Item 12 for territory and customer restrictions, and Item 17 for renewal and termination. Item 11 covers advertising and training; the FTC also advises asking whether the franchisor receives supplier rebates or commissions and who benefits.

The FTC states that covered franchise buyers must receive the Franchise Disclosure Document at least 14 days before they are asked to sign a contract or pay money to the franchisor or an affiliate. That disclosure timing concerns covered franchise transactions; it is not a general waiting period for every standalone restaurant supplier agreement. For franchises outside the United States, check the local disclosure rules and the executed franchise documents.

Not automatically. The legal treatment depends on the jurisdiction, agreement, market context, supplier’s position, alternatives, and extent of the restriction. U.S. FTC guidance recognizes possible benefits, including assured supply, lower contracting costs, and incentives for dealer loyalty or service investment. It also describes possible competitive harm when a firm with market power uses exclusivity to hinder rivals’ entry or expansion. The FTC calls exclusive dealing and requirements contracts common and generally lawful in manufacturer-retailer settings, while explaining that potential benefits and harms are assessed together in its supply-chain guidance.

As a risk indicator—not a standalone legality test—the FTC says: “The potential for harm to competition from exclusive contracts increases with: (1) the length of the contract term; (2) the more outlets or sources covered; and (3) the fewer alternative outlets or sources not covered.” See the agency’s guidance on exclusive supply or purchase agreements.
Rules differ elsewhere. In Canada, the Competition Bureau describes exclusive dealing as requiring or inducing a customer to deal mainly or only with a supplier or its chosen party. It says restrictive practices may contravene Canadian law when statutory conditions are met, including conduct by a major supplier or widespread conduct and a substantial lessening of competition; its guidance recommends legal advice when compliance is uncertain. Japan’s Fair Trade Commission says supplier restrictions or purchase-quantity requirements may be problematic when they exceed what is needed to operate a franchise system or unfairly disadvantage franchisees. Its franchise-system guideline was revised on April 28, 2021. These jurisdiction-specific frameworks are not a universal ruling on a particular restaurant contract.
Where the commitment is substantial or competition concerns are plausible, ask local commercial counsel to review the actual agreement under the law that governs it.
