Most of the businesses once associated with Software AG were sold or divested between July 2024 and January 2025. The continuing businesses named by Software GmbH were ARIS and Adabas & Natural, each set to operate independently. Software AG did not simply disappear: Software GmbH remains the holding entity, and Cumulocity described Software AG as a trademark of that company.
What happened to Software AG?
Software AG’s former portfolio was broken up through a series of transactions, not one sale. IBM completed its acquisition of webMethods and StreamSets in July 2024. Software GmbH later said it had divested TrendMiner and closed sales of Alfabet and Cumulocity. It identified ARIS and Adabas & Natural as the businesses continuing under its ownership.
The distinction matters: the name Software AG is still associated with the holding company, but many familiar products and businesses moved to other owners.

IBM said it completed the webMethods and StreamSets acquisition on July 1, 2024, after regulatory approvals. IBM’s SEC filing reported a transaction value of approximately $2.3 billion (€2.13 billion) in cash for the acquisition. IBM’s completion announcement and its filing for the quarter ended June 30, 2024 provide those details.

For TrendMiner and Alfabet, the available announcement establishes divestiture or a closed sale, but does not identify the buyer or disclose consideration. Those details should not be inferred.
What remained under Software GmbH?
In its January 7, 2025 announcement, Software GmbH said it would operate ARIS and Adabas & Natural (A&N) as standalone businesses, each with its own management team. The announcement described these as the continuing businesses in its portfolio; it does not establish that no other assets or central functions remained.

No. The portfolio changed substantially, but the evidence points to a distinction between the former operating businesses and the holding entity. Software GmbH was the entity announcing the sales and the continuing ARIS and Adabas & Natural businesses. In its January 20, 2025 transaction announcement, Cumulocity said Software AG was then a trademark of Software GmbH. Cumulocity’s announcement also identified its management team as the buyer, backed by Avedon, Schroders Capital, and Verso Capital.

What should existing customers check?
An ownership change does not by itself specify what happens to a particular customer’s contract, support arrangement, product roadmap, or integration options. The cited transaction announcements establish ownership moves, not current service terms. Customers evaluating an affected product should check its new owner’s current official documentation and confirm contractual details directly with their provider.
