A unicorn company is generally a privately held company valued at at least $1 billion, usually based on the price investors pay in a private financing round. “Unicorn” describes a valuation status—not $1 billion in cash, profitability, or a guaranteed sale price.
The label is useful shorthand, but it can conceal important details: which shares were priced, when the valuation was set, how much the company has raised, and whether it remains private.
What “unicorn company” means
In normal business and venture-capital usage, a unicorn is a private company whose implied valuation reaches the billion-dollar threshold. Many definitions say “at least $1 billion”; others say “over $1 billion.” Some also limit the term to startups, particularly venture-backed startups. This article uses “unicorn” for a private company valued at least $1 billion, while recognizing that trackers and publications may apply slightly different rules.

It is not a legal corporate designation. A company does not file a special form or receive a government certificate when it becomes a unicorn. The status is an industry label attached to a valuation inferred from private-market investment activity.

Why the company must usually be private
A public company has a continuously visible market capitalization based on its traded share price and shares outstanding. A private company does not have that same public quote, so its valuation is normally inferred when investors buy shares in a financing round. Once a unicorn goes public, it is generally discussed as a public company rather than counted as a current private unicorn; trackers may also remove companies that are acquired or otherwise no longer meet their rules.
Unicorn, startup, and “$1B+ private company”
“Unicorn startup” and “$1B+ private company” are common alternate phrasings. They are not perfectly interchangeable in every database. A tracker may include a late-stage private business that is no longer young, while another may require venture backing or a qualifying funding round. When comparing lists, check each source’s definition rather than assuming every list covers the same population.
Where the term came from
Venture capitalist Aileen Lee popularized “unicorn” in a 2013 article about a narrow group of U.S. software companies that had reached billion-dollar valuations. The metaphor emphasized how unusual those companies appeared in that period. Usage broadened afterward: today, the label is applied across countries and industries, not only to U.S. software startups.
That history explains why older articles may describe a unicorn as exceptionally rare or restrict the term to a particular technology segment. The modern category is broader, and the number of qualifying companies has changed substantially over time.
How a private-round valuation is calculated
A financing announcement often quotes a post-money valuation. In simple terms, post-money valuation equals the negotiated pre-money valuation plus the new investment. If investors put $100 million into a company at a $900 million pre-money valuation, the announced post-money figure would be $1 billion.

The calculation is usually an extrapolation. Suppose investors buy a preferred share for a particular price. The headline valuation may multiply that price by the company’s fully diluted share count, treating the priced shares as a proxy for all shares. The resulting figure describes what the company would be worth if the relevant price applied uniformly across the capitalization table.
Why one share price does not make every share identical
Private companies commonly have several share classes. A new financing may involve preferred shares with contractual protections that common shares do not have. Depending on the documents, preferred investors may receive priority in a liquidation, have conversion rights, protection against certain dilution, or other terms that affect their economic outcome.
Employees and founders often hold common shares, while earlier investors may hold preferred shares with different rights from the newest round. Therefore, the price paid in the latest round is not necessarily the cash value that every shareholder could obtain. Nor is the headline post-money figure a guaranteed price at which the entire company could be sold.
What the 2019 valuation study found
Will Gornall and Ilya A. Strebulaev analyzed legal financing terms for 135 U.S. unicorns in a 2019 study. Their abstract states: “We value unicorns using financial terms from legal filings and find that reported unicorn post-money valuations average 48% above fair value.” Their modeled fair values accounted for rights attached to preferred shares that a simple headline calculation can overlook.
The same study found that 65 of the 135 sampled companies fell below the $1 billion threshold after those adjustments. This is evidence about that historical U.S. sample and the authors’ methods, not a universal discount to apply to every company currently called a unicorn. It demonstrates why the financing terms and share class matter as much as the announced number.

Valuation is not money in the bank
A valuation is an estimate implied by an investment transaction. Funding raised is the cumulative capital investors have put into the company. Cash on hand is the amount remaining after spending, and it changes continuously. These are three different measures.

A historical funding-to-valuation comparison
CB Insights reported in 2023 that the median unicorn in its tracked cohort had raised $343 million in equity funding and had a median valuation of $1.6 billion. Those are cohort medians from that publication period, not a current market-wide average or a target that every unicorn should match.
Comparing funding with valuation can offer one lens on capital efficiency. For example, two companies with similar valuations may have used very different amounts of investor capital. But a funding-to-valuation ratio alone cannot establish quality: businesses differ in revenue, gross margin, growth rate, capital needs, accounting treatment, and the timing of their rounds.
How to evaluate a unicorn claim
When an announcement says a company “became a unicorn,” use the following sequence before drawing conclusions.
- Confirm the company’s status. Check whether it was private on the date of the round and whether the source uses a startup or venture-backed requirement.
- Identify the valuation date. Record the financing round, announcement date, currency, and whether the figure is pre-money or post-money.
- Find the priced security. Determine whether investors bought preferred shares, and note any liquidation preference, conversion, anti-dilution, or other material rights disclosed by the company or in filings.
- Separate new money from the headline value. A $1.2 billion post-money valuation does not mean $1.2 billion was invested in that round.
- Record total funding separately. Include only the category being compared, such as equity funding, and preserve the source’s definition.
- Check operating evidence. Where reliable figures exist, examine revenue growth, margins, retention, cash consumption, and the path to profitability rather than treating the label as a performance score.
- Check what happened afterward. A company may have gone public, been acquired, raised a down round, or remained private. Its status can change without rewriting the historical valuation at the time it was announced.
Why unicorn counts differ
There is no single permanent, real-time global count. Totals change when companies raise new rounds, cross the threshold, are acquired, go public, fall below a tracker’s criteria, or are classified differently. Sources also use different inclusion rules and update schedules.

Those figures should not be averaged or treated as contradictory measurements of one fixed population. A responsible article or presentation states the source, date, geography, and methodology alongside any count.

“A unicorn has $1 billion in cash.”
No. The billion-dollar figure is an implied company valuation. The business may have raised far less, spent much of what it raised, or hold a different cash balance at the date you are reading about.
“Every share is worth the latest round price.”
Not necessarily. The latest investors may own preferred shares with rights that common shareholders lack. A valuation based on that preferred price is a convention, not a guarantee that all shares have equal economic value.
“Unicorn status means the company is profitable.”
Profitability is not part of the definition. A private company can reach the threshold while investing heavily for growth, reporting losses, or having no publicly verified profit figure. Assess operating results independently.

“A unicorn is guaranteed to succeed.”
The label records a financing valuation at a point in time. It does not predict whether the company will reach durable profitability, maintain growth, complete an initial public offering, or avoid acquisition or failure.

“More funding means a better company.”
Funding provides resources, but it also reflects strategy, market timing, dilution, and investor expectations. A company that raised less may be more capital-efficient, while another may require substantial spending to build infrastructure. Compare funding with operating outcomes instead of ranking companies by dollars raised.
“There is one exact current unicorn list.”
Lists are snapshots. Before quoting a total, identify who compiled it, when it was updated, which countries and industries it covers, and whether it removes public companies and acquisitions.
What the label is useful for—and what it leaves out
“Unicorn” provides a quick way to identify private businesses that investors have valued near or above a significant threshold. It can help organize analysis of venture markets, regional startup ecosystems, and financing trends.
It becomes misleading when used as a substitute for due diligence. A complete profile should show the valuation’s date and round, the security and rights behind it, total funding, operating metrics, current ownership status, and subsequent financing or exit events. Those details explain whether the billion-dollar figure reflects a broad consensus, a small transaction with unusually favorable terms, or an old round that no longer represents current expectations.
Bottom line
A unicorn company is a private company assigned an implied valuation of at least $1 billion, usually through a financing round. The term says nothing by itself about cash, profit, share-by-share value, or future success. To understand what a unicorn claim really means, separate the round’s post-money valuation from funding raised and cash, inspect preferred-share rights, and attach a date and methodology to every count.
