A digital asset exchange is a platform or business that enables digital assets to be traded. It may match buyers’ and sellers’ orders, bring counterparties together, or otherwise facilitate trades. The label does not have one universal legal meaning: a venue’s regulatory status depends on what it trades, how it operates, and the laws of the relevant jurisdiction.

What does a digital asset exchange do?

In ordinary usage, a digital asset exchange provides a venue or system for trading digital assets. Trades may exchange an asset for fiat currency, such as dollars, or one digital asset for another. The operator might match orders from multiple participants, arrange counterparties, or facilitate an agreement through a trading system.

Regulators use related terms with specific scopes. The Financial Action Task Force (FATF) defines a virtual asset as a digital representation of value that can be digitally traded or transferred and used for payment or investment, while excluding digital representations of fiat currency, securities, and certain other financial assets covered elsewhere in its standards. FATF’s virtual asset service provider (VASP) definition can cover businesses that exchange virtual assets for fiat or other virtual assets, as well as certain transfer, safekeeping, administration, and issuer-related services. This is an anti-money-laundering and counter-terrorist-financing standards definition, not a universal consumer definition of an exchange. FATF virtual asset definitions.

How is an exchange different from a broker, dealer, or custodian?

These labels describe different activities, although one business may offer more than one service. The distinction matters because a venue’s name alone does not tell you how a trade is arranged or who controls assets.

Role What it does Example of a defined framework
Exchange or trading-platform operator Runs a venue or system that brings buyers and sellers together, matches orders, or facilitates trades. Thailand’s SEC describes an exchange as a center or network that matches orders, arranges counterparties, or facilitates an agreement or match. Under the EU’s MiCA framework, operating a trading platform means managing a multilateral system that brings together third-party buying and selling interests under system rules.
Broker Acts as an agent to arrange or carry out trades for a client, often for remuneration. Thailand’s SEC defines a broker as an agent for trading or exchange for remuneration.
Dealer Trades for its own account rather than acting only as an agent or running a matching venue. Thailand’s SEC defines a dealer as a business trading for its own account outside an exchange.
Custodian Safekeeps or administers assets or the means of accessing them. FATF includes certain safekeeping and administration in VASP activities; MiCA lists custody separately from platform operation and exchange services.

These are framework-specific descriptions, not a universal legal test. Thailand’s SEC’s definitions appear on its Digital Asset Business Operators page. MiCA defines crypto-assets and crypto-asset services separately, including custody, trading-platform operation, exchange, and order execution; see MiCA Article 3.

Why does the legal definition vary?

“Digital asset exchange” is a broad descriptive phrase, not a single global regulatory category. A regulator may classify an activity according to the asset involved, the operator’s actual conduct, and the rules of that jurisdiction. Terms used in marketing or by market participants do not necessarily match statutory definitions.

In the United States, a joint statement from the SEC, CFTC, and FinCEN explains that digital-asset treatment depends on the facts and circumstances, including economic reality and use. A platform called an “exchange” may or may not meet the securities-law definition of an exchange. That statement is about U.S. federal frameworks; it does not establish a legal status for every digital-asset venue. SEC, CFTC, and FinCEN joint statement.

The EU’s MiCA framework uses its own defined terms. It describes a crypto-asset as a digital representation of value or a right that can be transferred and stored electronically using distributed ledger technology or similar technology. Its definition of operating a crypto-asset trading platform focuses on a multilateral system that brings together third-party buying and selling interests under system rules and results in contracts exchanging crypto-assets for funds or other crypto-assets. MiCA Article 3.

Is a digital asset exchange regulated?

It depends on the jurisdiction, the assets traded, and the activities the operator performs. Do not infer that a venue is licensed, registered, or subject to a particular set of protections simply because it calls itself an exchange.

For U.S. securities, a platform that operates as an exchange under federal securities law generally must register as a national securities exchange or qualify for an exemption. An alternative trading system (ATS) is subject to broker-dealer registration and other requirements. These are securities-law rules, not a blanket statement that every crypto trading venue must register as a securities exchange. The SEC staff’s statement on online platforms trading digital assets cautions that some platforms using the exchange label may not be SEC-registered or meet national securities exchange standards. Its warning is specific to the U.S. securities-law context.

What should you check about a specific venue?

To understand what a particular platform is and what oversight may apply, look beyond its branding. Check its legal disclosures and the relevant regulator’s own records, where available.

  • What is traded? Identify whether the products are virtual or crypto-assets, fiat pairs, tokenized rights, securities, commodities, or derivatives. Different assets can fall under different frameworks.
  • How are trades arranged? Find out whether the operator matches orders or brings multiple third-party interests together, arranges counterparties as an agent, or buys and sells against its own inventory.
  • Who controls the assets? Determine whether the platform offers custody or administration, and who safeguards the assets or access credentials. Trading and safekeeping are distinct activities in the FATF and MiCA frameworks.
  • Which jurisdiction and rules apply? Identify the country, relevant regulator, asset classification, and any registration or exemption the operator claims. Check those claims with the regulator rather than relying on the platform’s name.
  • What protections are actually established? Do not assume an order book, asset-selection process, or other market feature has the same review or integrity standards as one at a registered national securities exchange. The SEC staff has specifically warned against that assumption in the U.S. context.
