IPO subscription numbers show how many bids were placed for shares during the offer period; grey market premium (GMP) is an unofficial pre-listing quote that reflects informal expectations. Both can offer clues about demand or sentiment, but neither establishes an IPO’s value, guarantees an allotment, or predicts its post-listing price.

What IPO subscription numbers mean

Subscription data compares bids received with the shares offered in an IPO, usually broken out by investor category, such as institutional, non-institutional and retail investors. A multiple above 1 means bids exceeded the shares available in the relevant pool. The overall multiple combines distinct categories and can conceal differences between them, so category-level figures are more informative.

Subscription measures applications, not the issuer’s intrinsic value. Strong demand does not show that a company is financially sound or that its shares are attractively priced. Nor does it mean each applicant will receive shares: allocation depends on the category and issue-specific allotment basis. Without data on applicants and the applicable allocation, an overall subscription multiple cannot be converted into an individual’s allotment probability.

Check the source and timing

NSE and BSE publish bid details for IPOs. Zerodha’s support guide describes the relevant exchange navigation as NSE “bid details” or “consolidated bid details” and BSE “bid details” or “cumulative bid details”: Zerodha’s guide to checking IPO subscription data. Use the relevant exchange’s data as the reference, and note whether the figure is live or final, along with its timestamp. A third-party snapshot may reflect a different time.

What grey market premium means

GMP is commonly calculated as the grey market price minus the IPO’s upper price band. SEBI describes this measure in its order in the matter of M/s Veerkrupa Jewellers Limited: SEBI’s May 2026 order. The quote comes from an informal pre-listing market; it is not an official exchange price.

A positive GMP is commonly interpreted as optimism about a listing, while a low or negative GMP is read as weaker sentiment. Those are interpretations of an informal signal, not promises about what will happen. SEBI’s order lists demand and supply, market sentiment, company fundamentals and perceived IPO valuation as commonly perceived influences, while cautioning that these factors are not sacrosanct and do not come from a regulatory mandate. GMP can also change as informal quotes and expectations shift.

There is no standardized, exchange-verified GMP history or representative sampling method established here, and no reliable forecasting-accuracy statistic to support a probability of listing gains. Treat a reported GMP as an unofficial quote from a particular time, not as a forecast or a mechanically determined listing premium. The cited material supports calling GMP unofficial; it does not establish a blanket legal conclusion about every grey-market trade.

How the two signals differ

Question Subscription figures Grey market premium
What is observed? Bids compared with shares offered, often by investor category. An informal grey-market quote relative to the IPO upper price band.
Where does the figure come from? Exchange bid details, such as NSE or BSE data. An unofficial pre-listing market; the cited SEBI order describes the measure but does not make it an exchange quote.
What might it indicate? Application demand during the offer period. Informal sentiment or expectations about listing.
What can’t it establish? Business quality, fair value, an individual allotment, or listing performance. A reliable listing-price forecast or guaranteed gain.
How should it be reported? Give the category, source and whether the figure is live or final. Label it unofficial and time-specific; do not present it as a forecast.

Why neither tells you the post-listing price

Before trading begins, subscription data records bids and GMP reflects informal expectations. Neither is the price buyers and sellers will establish on the exchange after listing. SEBI’s ICDR Regulations explicitly warn that the issue price, floor price or price band “should not be taken to be indicative of the market price” after listing, and that there is no assurance of active or sustained trading or of the price at which shares will trade: SEBI (Issue of Capital and Disclosure Requirements) Regulations.

For the same reason, neither indicator substitutes for reading the offer document and assessing the issuer’s valuation, business, financial performance, use of proceeds, risks, dilution, selling shareholders and wider market conditions. Subscription and GMP are pieces of context, not standalone grounds for a decision.

Does oversubscription improve your allotment chances?

Not necessarily. Oversubscription means bids exceed the shares offered in a pool; it does not guarantee an allotment or, by itself, quantify your odds. The category and the issue’s allotment basis matter. ASBA explains how application funds are handled, not how likely an applicant is to receive shares: SEBI says funds are blocked in the applicant’s account until allotment, the amount for allotted shares is debited, and no refund is needed when there is no allotment. See SEBI Investor’s explanation of applying through ASBA.
